received a terminal cancer diagnosis, and their families, within the
Norfolk area, by the provision of support and practical advice.

11 Functions and dulles of charity trustees
The charity trustees shall manage the affairs of the CIO and may for that
purpose exercise all the powers of the CIO. It is the duty of each charity
trustee
a) to exercise his or her powers and to perform his or her
f unctions in his or her capacty as a trustee of the CIO in
the way he or she decides in good faith would be most
likely to further the purposes of the CIO., and
b) to exercise, in the performance of those functions, such
care and skill as is reasonable in the circumstances
having regard in particular to..
any special knowledge or experience that he or
she has or holds himself or herself out as having-
and.
if he or she acts as a charity trustee of the CIO in
the course of a business or profession, to any
special knowledge or experience that it is
reasonable to expect of a person acting in the
course of that kind of business or profession.

21 Eligibility for trusteeship

if he or she would automatically cease to hold
off ice under the provisions of Glause 12{1 Ile).
b) No one is entitled to act as a charity trustee whether on
appointment or on any re-appointment until he or she has
expressly acknowledged, in whatever way the charity
trustees decide, his or her acceptance of the office of
charity trustee.
c) At least one of the trustees of the CIO must be 18 years of
age or over. If there is no trustee aged at least 18 years,
the remaining trustees may only act to call a meeting of
the charity trustees, or appoint a new charity trustee.
31 Number of charity trustees
a) There must be at least three charity trustees. If the
number falls below this minimum, the remaining trustee or
trustees may act only to call a meeting of the charity
trustees, or appoint a new charity trustee.
b) The maximum number of charily trustees is 12. The
charity trustees may not appoint any charity trustee rf as a
result Ihe number of charity trustees would exceed the
maximum.

Achievements and performance
Amber's Army has seen a growth period where the previous year's
f undraising has now allowed the charity to begin to eslablish itself into
supporting families as per our declared Means, this has proven
successf ul in our financial ability to meet families needs in both an
emotional and physical form.
The ongoing fundraising events, with some being ad hoc event, some
annual events. and the addition of more external bodies supporting us
through fundraising activities and sponsored events.
The charity is becoming more established in terms of being recognised
by the general public within a 10 mile radius of supporters and followers,
also by hospitals, hospices and social workers, where we receive
referrals for new families. The charity has created a wide range of both
physical and online promotional materials and processes allowing for
growth online and at events organised & invited to.

charity's policy on reserves
1) Subject to sub-clause121 of this clause, all decisions of the charity
trustees, or of a committee of charity trustees, shall be valid
nO￿lthStandIng the participation in any vote of a charity trustee:
a) who was disqualified from holding off ice.,
b) who had previously retired or who had been obliged by the
constitution to vacate office;
c) who was not entitled to vote on the matter, whether by
reason of a Gonf lict of interest or otherwise-
if, without the vote of that charity trustee and that charity trustee being
Gounted in the quorum, the decision has been made by a majority of the
charity trustees at a quorate meeting.
2) SutFclause (1) of this clause does not permit a charity trustee to
keep any benefit that may be conferred upon him or her by a
resolution of the charity trustees or of a committee of charity
trustees if, but for sub-Glause {11, the resolution would have been
void, or if the charity trustee has not complied with clause 7
(Conflicts of inlerestl.

The charity has continued to f undraise signrficanlly during the 2024
year as well as receiving a number of donations from Gort)orate and
individual sponsors.
Expendilure lo support families as service users of the charity started
in 2024 and will increase in reach both in terms of numbers of families
supported and the geographical reach of the charity into 2025.
Cash reserves are currently invested into short term savings bonds to
balance return rates and accessibility to the cash as the charity grows
in the short term.

## **Independent examiner’s report to the trustees of Amber’s Army** 

I report to the trustees on my examination of the accounts of Amber’s Army (the Charity) for the year ended 31 December 2024. 

## **Responsibilities and basis of report** 

As the charity trustees of the Charity you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (‘the Act’). 

I report in respect of my examination of the Charity’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act. 

## **Independent examiner’s statement** 

attention in connection with the examination giving me cause to believe that in any material respect: 

1. accounting records were not kept in respect of the Charity as required by section 130 of the Act; or 

2. the accounts do not accord with those records. 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.
