1) Functions and duties of charity trustees
The charity trustees shall manage the affairs of the CIO and may for that
purpose exercise all the powers of the CIO. It is the duty of each charity
trustee
a) to exercise his or her powers and to perform his or her
functions in his or her capacity as a trustee of the CIO in
the way he or she decides in good faith would be most
likely to further the purposes of the CIO; and
b) to exercise, in the performance of those functions, such
care and skill as is reasonable in the circumstances having
regard in particular to:
i)
any special knowledge or experience that he or she
has or holds himself or herself out as having; and,
ii)
if he or she acts as a charity trustee of the CIO in
the course of a business or profession, to any
special knowledge or experience that it is
reasonable to expect of a person acting in the
course of that kind of business or profession.
2) Eligibility for trusteeship
every charity trustee must be a natural person.
a) No individual may be appointed as a charity trustee of the
CIO:
i)
if he or she is under the age of 16 years; or
ii)
if he or she would automatically cease to hold office
under the provisions of clause 12(1)(e).
b) No one is entitled to act as a charity trustee whether on
appointment or on any re-appointment until he or she has
expressly acknowledged, in whatever way the charity
trustees decide, his or her acceptance of the office of
charity trustee.
c)
At least one of the trustees of the CIO must be 18 years of
age or over. If there is no trustee aged at least 18 years,
the remaining trustees may only act to call a meeting of the
charity trustees, or appoint a new charity trustee.
3) Number of charity trustees
a) There must be at least three charity trustees. If the number
falls below this minimum, the remaining trustee or trustees
may act only to call a meeting of the charity trustees, or
appoint a new charity trustee.
b) The maximum number of charity trustees is 12. The charity
trustees may not appoint any charity trustee if as a result
the number of charity trustees would exceed the maximum.

Section D Achievements and performance

Amber’s Army was established in Dec 2022 so 2023 was our foundation Summary of the main year. The main focus through 2023 was to fundraise so we had the achievements of the charity money we would need when working with families in the future. Our during the year second focus was to promote ourselves as a charity in the local community and build our network of supporters. Having raised £130k we feel this was a very successful first year and has set us up for 2024 where we will start to work with families where a child has received a terminal cancer diagnosis.

We held multiple fundraising events, the largest ones being Amberfest (a family fun day) and the Amber’s Army ball. These were very successful, and we intend for these to become annual events.

In addition to our own events we had many supporters who either ran their own events, donated money or carried our sponsored events, including having over 50 runners representing us in Run Norwich 2023.

We feel we are now very well known within our immediate community and intend to add to this in 2024 by promoting ourselves wider within Norfolk.

I report to the trustees on my examination of the accounts of Amber’s Army (the Charity) for the year ended 31 December 2023.

Responsibilities and basis of report

As the charity trustees of the Charity you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (‘the Act’).

I report in respect of my examination of the Charity’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.

Independent examiner’s statement

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

accounting records were not kept in respect of the Charity as required by section 130 of the Act; or
the accounts do not accord with those records.
