Objectives and activities

The Charitable Company was incorporated on 23 August 2022. The main objective of the company is that of advancement of the common good and social welfare of the community of the world.

Spencer Grants Limited is committed to fostering positive change through the strategic financial support. As a newly registered charity, Spencer Grants Limited is working on securing additional funding to increase the pool of funds available for distribution in addition to identifying suitable beneficiaries/guarantees that align with its mission and demonstrate an ability to achieve tangible impact from financial support.

Achievements and performance

Since its inception, our charity has made significant strides in establishing itself and designing action plans to raise funds and establish impactful projects, to directly benefit individuals and charities in need. As we look to the future, we remain steadfast in our mission to address pressing social challenges and improve the quality of life for those in need.

During the year to 31 August 2024, the charity had net income of £19,692 (prior period: £200).

Structure, governance and management

Spencer Grants Limited is a private charitable company, limited by guarantee, incorporated in England & Wales on 22 August 2022, registered number 14312640, and registered with the Charity Commission for England and Wales, registered number 1202263.

The charitable company’s purpose and administrative arrangements are set out in the memorandum and articles of association (our ‘Constitution’).

At the annual general meeting, the trustees may elect any member as a trustee. Trustees may appoint new trustees at any time.

1. General Information

Spencer Grants Limited is a charitable company, limited by guarantee, incorporated in England & Wales, registered number 14312640. The charity registered number is 1202263 . The registered office is C/O Zedra, Booths Hall Booths Park 3, Chelford Road, Knutsford, Cheshire, WA16 8GS.

2. Accounting Policies

2.1. Basis of Preparation of Financial Statements

The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities (effective 1 January 2019) preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) - (Charities SORP(FRS102)(Second Edition)) and the Companies Act 2006 and Charities Act 2011.

The charity constitutes a public benefit entity as defined by FRS 102.

The financial statements are prepared in GBP (£) which is the functional currency of the company. Amounts are rounded to the nearest GBP.

2.2 Reporting period

The financial statements cover the year ended 31 August 2024 and the prior period from date of incorporation on 23 August 2022 to 31 August 2023.

2.3 Going concern

The Trustees consider it appropriate to prepare the financial statements on the going concern basis, given their belief that sufficient funding will continue to be made, and the company is able to continue in operational existence for the foreseeable future.

2.4 Incoming resources

Donations and voluntary income are accounted for gross when received.

2.5 Resources expended

Liabilities are recognized as resources expended was soon as there is a legal or constructive obligation committing the charity to the expenditure. All expenditure is accounted for on an accruals basis.

2.6 Fund Accounting

Income funds are unrestricted funds which are available for use at the discretion of the trustees in furtherance of the general objectives of the charity and which have not been designated for other purposes.

Cash at bank and in hand includes cash held.

2.8 Estimates and judgements

Estimates and judgements are continually evaluated and are based on historical experience and other factors, including expectations of future events that are believed to be reasonable under the circumstances. Although these estimates are based on the trustee's best knowledge of the amount, events or actions, actual results ultimately differ from these estimates. The trustees do not consider there to be any material estimates and judgments.

4. Company limited by guarantee

The company is limited by guarantee and has no share capital.

5. Subsequent events

On 27[th] June 2024, GBP 16,800 was received in error and was refunded on 30[th] September 2024, reducing the net profit position to GBP 2,892 and net assets to GBP 3,092
