Jades’ bags charity is a nonprofit organisa4on providing support, food and essen4al provisions to those in need in the local communi4es of Preston and surrounding areas.

Ul4mately, our aim is to provide further social needs from a local hub and extend our charity throughout the northwest.

Summary of the main acDviDes in relaDon to those purposes for the public benefit, in parDcular, the acDviDes, projects or services idenDfied in the accounts.

During the financial year 1st February 2024 to 31st January 2025, we provided food parcels, Christmas Day dinner parcels, furniture, school uniforms, bedding, kitchen ware, clothing, essen4als for children and babies, toys and toiletries aJer receiving referrals. We receive referrals from various organisa4ons, such as Social Services, Domes4c violence units, Mental health services, GP Surgeries, housing associa4ons, homeless services and Lancashire County Council. We also receive self-referrals.

Achievements and Performance

Summary of the main achievements of the charity, idenDfying the difference the charity’s work has made to the circumstances of its beneficiaries, and any wider benefits to society.

Our work has given beneficiaries peace of mind when oJen they were at their lowest. Some of our recipients had used other food banks but were unable to use again. Some food banks have a small charge which some simply couldn’t afford. They were relieved to know that our charity has no fee and provides free delivery of goods. One of our achievements is providing most of the wards at our local hospital with toiletries for in-pa4ents a s some pa4ents are admiTed without having essen4al items, and no friends or family to provide. We found out that staff on the wards were paying for toiletries out of their own pocket.

Jades’ Bags Charity provide boxes filled with toiletries. The wards contact us to let us know when boxes required replenishing. We have also had a Charity Ball and a Family Fun Day which will now be annual events. Both events were enjoyed by all who aTended

Providing relief to those in the Preston area of Lancashire who are in need due to ill health, poverty, financial hardship and domestic abuse through the provision of food parcels and gift bags that contain essential items such as clothing, toiletries, baby items and other such things identified by trustees.

The CIO has power to do anything which is calculated to further its object[s] or is conducive or incidental to doing so. In particular, the CIO has power to:

6. Benefits and payments to charity trustees and connected persons

1) General provisions

No charity trustee or connected person may:

26.Disputes

If a dispute arises between members of the CIO about the validity or propriety of anything done by the members under this constitution, and the dispute cannot be resolved by agreement, the parties to the dispute must first try in good faith to settle the dispute by mediation before resorting to litigation.

27.Amendment of constitution

As provided by sections 224-227 of the Charities Act 2011:

28.Voluntary winding up or dissolution

  1. As provided by the Dissolution Regulations, the CIO may be dissolved by resolution of its members. Any decision by the members to wind up or dissolve the CIO can only be made:

  2. a) at a general meeting of the members of the CIO called in accordance with clause 19 (General meetings of members), of which not less than 14 days’ notice has been given to those eligible to attend and vote:

    • i. by a resolution passed by a 75% majority of those voting, or

    • ii. by a resolution passed by decision taken without a vote and without any expression of dissent in response to the question put to the general meeting; or

  3. b) by a resolution agreed in writing by all members of the CIO.

  4. Subject to the payment of all the CIO’s debts:

  5. a) Any resolution for the winding up of the CIO, or for the dissolution of the CIO without winding up, may contain a provision directing how any remaining assets of the CIO shall be applied.

  6. b) If the resolution does not contain such a provision, the charity trustees must decide how any remaining assets of the CIO shall be applied.

  7. c) In either case the remaining assets must be applied for charitable purposes the same as or similar to those of the CIO

  8. The CIO must observe the requirements of the Dissolution Regulations in applying to the Commission for the CIO to be removed from the Register of Charities, and in particular:

In this constitution: “connected person” means:

“General Regulations” means the Charitable Incorporated Organisations (General) Regulations 2012.

“Dissolution Regulations” means the Charitable Incorporated Organisations (Insolvency and Dissolution) Regulations 2012.

The “Communications Provisions” means the Communications Provisions in [Part 9, Chapter 4] of the General Regulations.

“charity trustee” means a charity trustee of the CIO.

A “poll” means a counted vote or ballot, usually (but not necessarily) in writing.
