Structure, Governance and Management
Gra¢e Church Upton was e8tabkn8h8d as a newchurch in2021.
The Charity. which is a Church, was registered as a Charitabl8 Incorporated Organisation on
1110112023.with charity number 1201545. It is a CIO govemed bya Constitution and Rules. The
policy and operating decisions of the Charity rest with the Trustees who meet regularly to
monitor the activlties of the Charity.
The church operates within the Diocese ol Peterborough in the Church of England.
In accordance with the Rules trustees may be appointed by a majorty of the existing trustees.
There must be at least 3 charity trustees and a maximum of 12. including up to 2 External
Trustees who can serve uptotwoterms of3years. Trustees rnust meeta minimum of4tim8S 8
year and a quorum exlsts where 5096 of current trustees are pr8sent. subj8Ct to a rninimum
quorum of3 people.

Church ol England
Grace Church Upton continues to exist as an independent CIO. Although it is part of the Church
of England's Diocese of Peterborough. and operates with the full support of the incumbent of
the parish and ofthe bishop. it does not have a Bishop's Mlssion Order or other means to
operat8 in a regularised fashion within the structures of the Church of England. Tho minister.
Jonnie Deja. continues to be Associate Vicar at Moulton Parish Church and to receive a Church
of England stipend. The vicarage and principal office. 27 Ba¥ring street. 18 owned by the
Dioc88e.
Grace Church noted with deep sadne83 the House of Bi$hops'drrftt¢)wards denial ofthe
historic orthodox Christian faith during 2023.
People
- We gTrve thanks for each per80n who attends Grace Church Upton including several
newcomers in 2023. We seek to welcome 811 lo repeniance aNI falth in Jesus. irrespective of
age, physical ability. sexuality and b8ckground.

areal.

Our sermon5 in 2023 included ser￿5 on Luke 1-2. Genesis 12-25. John 14-17. Ecclesiastes and
1 Timothy.

- Our'loiningthe Dots Kids. children's group continued to growduring 2023, so that in
September, we split it into older and younger age groups.

- In August we had our thlrd weekend awaywrth &mon Gai88 speakingfrom the book of Jonah.
- We continu8d to consult and progress towards beginning Ltfe Groups.
- Thank8 to the work of Becty Davles. Matthew and Sarah ￿nton and many others. w8 began to
run a regular group for 11-16year olds. Rooted. on a Friday evening.
Outroach
During 2023, we ran a summer houday club."Epic Explorers.. an October Bright Light8
Parv, and 8 Christmas'walkthrough nalp4it¢ and carolservice.
We held the'Hope ￿lOred, and'321' evangeilstic courses In the winter and 8Lrtumn
respactively
We b&gan a monthly'songs of Pr8lse' outreach at Foxfield's resid8ntial home. which was
warmlywelcomed by stsff and residents.
For the first time. in early Decemb8rwe 8ang carols around Upton to rai8e awareness of
our Chri8tm8s 8vents.
We continue to prayfor an oirtpouringof God's Holy Spirit in our area and across our
nation for revival.
Partnershlp
We have partnered local churches of VdriOUS denominations to run a Men's and
Wom8n's Conference.
We partner with Local churches in the ReNew P8terborough ne￿rk to pioneer.
establish and secure healthy localAngiican churches.

Unrestricted income forthe period was £57.746. Stsrtupfunds of É84.319 were also received.
tot81 unrestricted income was therefore £142.065. Total unrestricted expenditure forthe period
amounted to £68.574. There was therefore a surplus lor the period ot £73.491.

The Trustees have designated 10% of unrestricted donated funds to be made available for
grants for variou3 projects that are aligned with the charitable objectives of the Charity, with 8
focus on local projects, national Christian ministry. and Intemational missionary work.
Therefore, £13,817 was 3et aside for future missions glving in 2024, see note 3 to the Accounts
page 11 for th8 calculation.
Free reserves at the end of this flnanoial p8riod w8re therefore É59.674.
In addition. r88tticted funds v4ere set up to support the costs of aTTainee Minister and the
people of Ukraine. Totsl Income to th6 Restricted Fund was £27.143 and expenditure £15.485.

Expen898 to the Trustees
One trustee incurred exp8n8es vthich were reimburned durfng the period, all relatingto the day-
to-day charttable activities of the Charity. There is one contract of employment with a related
party. who 18 th& spouse of 8 trustee. Detalis are given in the Notes to the Accounts. note 4 page
12. No othertrustee received ary other remuneration from the Charity during the period. as th
mlnister ￿ceiVe$ a stipend fromthe Church Commis8ion8rs.
The trustees have followed a robust policy reg8rding conflicts of interest arising through this
ernployment contract
Reservos Pollcy
The Trustees have est8blished a policy that a sensible level offree reserves should be
maintained to ensure the Chartycan continue to operate rf income is below budget or if
unplanned contingencies arise. A'fixed" reserve of 6 months staff costs, rent and parish share
should be used as a measure of the minimum requir8d in this event. The trust&es will
investigate the possibilities of a higher rate interest account in order to set 8sid8 an amount of
£30,000 under this policy. The amount of fixed reseNe will be reviewed annually. Free reserves
in excess of £30.000 are regarded as floating reserves. Ythich can be designated foi internal or
outreach projects in the future.
At 31 December 2023 the fr88 regeN88 totslled £59.674 and 30 reprgsentsd 1.99 times the
minirnum.

The tru3tees are satisfied that this is entirely appropriate for a young church that is establlshlng
priorities for its mission and means that the church is setting outwsth a sound financial base.
Inv8stment Pollcy
Since the reserves of the Charity are currently in exces8 of the minimum required by th8
Charitys reserves policy. the Trustees have soughtto invest some of the reserves in accordance
with the Charity's object8. It Is expected that the ext￿ reserves will be used in the near future,
so theTrust88SW88 decided thatth8Chartyshould ensurethe reserves are acces5iblewithin 3
months. and should carry ilttle Fisk. so as to minimise posslbie losses that would hinder th8
outreach WOTk the Charity hopes to do. The Trustees also decided that they would pursue
opportunities that saw the Ch8rity'$ resetves used forchristian purposes. in line with the
Charity'8 objects and will make final decisions duringthe year to 31 Decemb8r 2024.
The charlty trustees are responslble for Preparingthe trustees, annual report and financial
statements in accordance with applicable law and United Kingdom Ac¢ountinE standards
(United Klngdom GeneraliyAccepted Accounting Prnctice).
Charlty law requires the trustees to wepare financial ststements for each year which give a true
and fair view of the state of affairs of the charity and of the income and exponditure of the
h8rtyforthat period. In preparing the financial statements. the trustees are required to:
select sultab18 accounting pollcles and applythern consisterrtly.
observe the methods and principles in the applicabl8 Charities SORP.
makejudgements and estimatesthatare reasonable and prudent:
state whether app￿CabLe accounting standards have been followed, subject to any
material departures that must be disclosed and explained in the tinanclal statements:

presume thatthe charitywiu Continue in operation.
The trustees are ￿sponsIbLe for keeplng proper accounting records that disclose with
reasonable accuracy at 8nytime the financial position ofthe charity. and enable them to ensure
that the financial statements comply wth the Charf(ies Act 2011. the applicable Charlties
(Accounts arbd Reports} Regulations, and the provisions of the CIO constitution. They are also
responsible for safeguardlng the assets of the Charity and taklng reasonable steps for the
preventlon and detection of fraud and oth6r Irregularities.
