TRUSTEES’ ANNUAL REPORT
FOR THE YEAR ENDED 31 JULY 2024
The Trustees present their report along with the financial statements of the Charity for the year ended 31 July 2024. The financial statements have been prepared in accordance with the accounting policies set out on page 9 and comply with the Charity’s Constitution, the Charities Act 2011 and Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015).
Structure, governance and management
Merger with London Historical Fencing Club
On 18 April 2024, London Historical Fencing Club, charity number 1181581, agreed to merge with London Historical Fencing Club CIO, charity number 1200898. An analysis of the principal components of each charity is shown in note 12 to the accounts.
London Historical Fencing Club is the transferring charity, London Historical Fencing Club CIO is the receiving charity.
No significant adjustments have been required in order to align accounting policies of both charities.
There has been no major change to the overall purposes of the merged charities, with the London Historical Fencing Club CIO encompassing the purposes of the London Historical Fencing Club.
Governance Document
London Historical Fencing Club CIO is governed by its Constitution dated 30 September 2022. It is a registered charity with the Charity Commission.
Appointment of Trustees
A management committee elected annually at the Annual General Meeting shall manage the London Historical Fencing Club CIO as Trustees. There are currently 3 Trustees.
The committee shall consist of no fewer than four officers, a chair, secretary, treasurer and trustee, to be known as the elected officers. The committee may co-opt up to 6 other voting members, who shall resign at the next Annual General Meeting.
All committee members must be active members in good standing of the London Historical Fencing Club and there must be no legal impediment to their serving as Trustees of a charity.
Organisation
The management committee, comprised of trustees, administers the charity. The committee will generally meet monthly, but may meet more frequently during periods of higher activity. They will always meet at least quarterly.

Risk management
The Trustees have a risk management strategy which comprises :

An annual review of the risks the charity may face;
-
The establishment of systems and procedures to mitigate these risks identified in the plan; and
-
The implementation of procedures designed to minimise any potential impact on the charity should those risks materialise.

Objectives and activities
London Historical Fencing Club CIO runs Historical European Martial Arts (HEMA) classes in central London and offers grants to HEMA instructors.
Future plans for 2024/2025
In the upcoming year the charity plans to enhance its training offerings by introducing new classes that cater to a broader range of interest and skill levels. Notably, the charity will launch a high-intensity class for advanced practitioners and a sidesword class, delving into the techniques and historical context of this versatile renaissance weapon.
The charity is keen to continue to develop new instructors, to spread the workload of running classes and remove overreliance on single individuals wherever possible. The charity is keen to continue the growth of the club in its overall membership as well as increasing participation in HEMA overall.
The charity plans to host a series of competitions and events in the upcoming year. A highlight will be the inaugural “Fight Night”, an event designed to showcase the excitement and artistry of historical fencing in an entertainment format. This initiative aims to attract new audiences and provide our members with opportunities to test their skills in a dynamic setting.
The charity’s focus remains on creating a welcoming space where individuals from all backgrounds can explore and enjoy the practice of historical fencing.
Financial Review including Achievement and Performance
Incoming resources for the year exceeded resources expended by £ 9,985. In 2024 total incoming resources for the year were £ 51,276 (2023 £36,144) and total resources expended for the year were £ 41,291 (2023 £30,628).
Reserves policy
It is the Trustees’ intention to maintain sufficient funds at any time to be able to ensure that the lease obligations can be met as they fall due.

Trustees' responsibilities in relation to the financial statements
The law applicable to charities in England and Wales requires the Trustees to prepare financial statements for each financial year which give a true and fair view of the charity's financial activities during the year and of its financial position at the end of the year. In preparing financial statements giving a true and fair view, the Trustees should follow best practice and :
-
i) select suitable accounting policies and then apply them consistently;
-
ii) make judgements and estimates that are reasonable and prudent;
-
iii) prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in operation.
The Trustees are responsible for keeping accounting records which disclose with reasonable accuracy the financial position of the charity and which enable them to ensure that the financial statements comply with the Charities Act 2011, the Charity (Accounts and Reports) Regulations 2008 and the Provisions of the Trust Deed. The Trustees are responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

INDEPENDENT EXAMINER’S REPORT
TO THE TRUSTEES OF LONDON HISTORICAL FENCING CLUB CIO
I report to the charity’s Trustees on my examination of the accounts of the charity for the year ended 31 July 2024 which are set out on pages 7 to 15.
Responsibilities and basis of report
As the charity’s Trustees you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (“the Act”).
I report in respect of my examination of the charity’s accounts carried out under section 145 of the Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.
Independent examiner’s statement
I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect :

accounting records were not kept in respect of the charity as required by section 130 of the Act; or
-
the accounts do not accord with those records; or
-
the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a ‘true and fair view’ which is not a matter considered as part of an independent examination.
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

1. ACCOUNTING POLICIES
a) Basis of accounting
The accounts have been prepared under the historical cost convention and in accordance with applicable accounting standards and the Statement of Recommended Practice: Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015) and the Charities Act 2011.
b) Investment income
All investment income, including deposit interest, is shown on the basis of amounts received or credited in the year. No credit is taken for accrued interest at the balance sheet date.
c) Resources expended
All expenditure is accounted for on an accruals basis.
d) Operating lease agreements
Rentals applicable to operating leases are charged to the statement of financial activity on a straight line basis over the period of the lease.

11. TRANSACTIONS WITH CONNECTED PERSONS
No remuneration has been paid to any of the Trustees or any person connected with them. During the year, Kerri McArther received £NIL (2023: £1,729) of grants in their capacity as instructor. Kerri was a Trustee of the London Historical Fencing Club.
