THE FRIENDS OF THE CHURCH OF ST JOHN, BAPTIST, HAGLEY REPORT OF THE TRUSTEES FOR THE PERIOD ENDED 31 MARCH 2026 The Twslees present their annual report and financial statement for Ihe period ended 31 March 2026. These reports have been prepared in accoidance with the Charty Commission Guidelines and with consultation with the Charity's Accountants Crowe Uk LLP. Namely that the Friends Charity ICIOI is not a Company, and that the Charty's annual income is less then £250,000 thus allowing the preparation of Receipt and Payments Accounts wrthout the need for external audit. Structure and Recruitment of Trustees The Trustees are satisfied that the affairs of the Friends CIO are conducted in accordance wrth the constitutn. Trustees are appointed initially for a peric#J of five years. There must be al least hvo but not more that eleven elected Trustees and one ex officio Trustee - a churchwarden of Sl John's Church. Principal Activities and Objectives The charity's objectives are pnm8rity". to maintain, repair and enrich the fatrfK, fvrniture. and frttings of the Church of St John's, Hagley., and to preserve and enhance the beauty and frtness of the site and setting of the church., and to maintain and develop the MUS and other aspects of the worship and life of the church, and to maintain the preservation and maintenance of the churchyard. The gener81 policy 8dopted in furtherance of the objectives is lo consider all requests for support from Hagley Parochial Church Council {PCCI who are responsible for the church. and in accordance with the above aims and objeclives, there has been no change in poIY during the year. Broadly speaking The Friends usually pay or contribute, where Fossib, lo matters raised by the Church Architect in the Quinquennial Report. The Trustees have paid due regard lo guidance issued by Ihe Chanty Commissioners on publ benefit in deciding what activities the charty should undertake. Achievements and Perfomiance To achieve their objective, The Friends collect subscriptions and receive donations. Occasionally The Friends receive g2cleS and administer such anv)unts in their current inveslmenls. Funds held by The Friends are continualty monitored lo ensure they maintain good income whilst avoiding risk. The Friends are not inVoed in any trading actwrties. Nerther the Trustees nor any third related parties receive payment in any kind for work done on behalf of the Charity. Page 2

The Friends maintain a reasonable reserve lo meet unexpected contingencies. A significant proportion of funds are kepl in IUld form in Dudley Building Society. HSBC. CCLA Church of England Investment Funds and M&G Inveslrnents Funds which maximise income without sacrificing security. The Trustees are mosl keen to continue wrth this policy. The Friends carry Pubh'c Liability Insurance of £5M through E¢desiastical Insurance Limited. Risk Managemenl The Trustees have assessed the major risks lo vthich the Charty is exposed, especially those related to the operations and finances of the Charrty. They are satisfied that systems, controls and procedures are in place to mitigate over exposure to these. Year to Date The Trustees meet quarterly to discuss finance. fabric matters. and to deal with any requests for financial help from the PCC. In 2025 The Friends celebrated their 45 anniversary and are continually mindful of the Work, and love, for Sl John's Church that so many Members have given since The Friends became a registered chanty. During the current year The Friends have conlinued to support the PCC by granting funds of £39K+ for the repair of the Church f8bric- problems whh were highlighted in the Quinquennial Report. Contractual matters and liaison with the Diocese al Worcester have been handled on behalf of the PCC and The Friends by Alan Smith, Churchwarden al Sl John's. Alan is the PCC'S representative responsible for all fabnc matters at Sl John's and is an Ex-officio Trustee of 'The Friends.. The PCC hold endowment funds from the C G Davies Trust Fund and income from that fund is used only for work at St John's. These funds currenty lolal some £4.107. Following comments regarding Ihe kw surface of Ihe car park during very wel weather, we agreed to help the PCC, in conjunction with Hagley Hall Estates. lo carry out some addrtional stoning lo the car park and also to the pathway between the Cricket Ground and the Lych Gale. This now provides a tamiac access lo the Wchbury Room. These Works were CoMpted al a cost of £9,540 including VAT. We woukj like to record our thanks to Hagley Hall Estates for the continuing abilty lo use the car parking area for church 5ervice5 and other related functions. The FrEnds will continue lo monitor the car park surface. The annual December Concert by Ex Cathedra was supported by The Friends with a grant of £600 to help with the heating and lighting elc. Finalty, we ore sad to report that long standing member Theo Mayfiekl passed away lasl year. Theo was responsible for purchasing candles and cards at St John's and we are informed that a legacy has been left to The Friends for these purchases to continue for the foreseeable future. The Friends are a150 expecting a legacy from the e5tste of the late Anne Rosemary Capewell. Page 3

Whilst this 1$ disappointing, the Trustees do understand that the main reasons are lal the Covid Pandern and Ibl the move from an UnincorF)oraled Chartty lo a Chartlable InccKporated Organisalion with new banking arrangements and Icl some Members have moved away from the kxal area or Idl sadty have pasged away. Discussions are ongoing as to how to proceed wrth one suggestion being that two new categories of membership be formed.. {11 lo include Members who have contributed financialty in 2025 together with Honorary and Life Members - to be known as "Membors" who will have full voting rights and., (21 in recognition of past contributions lo include Members whose contributions have lapsed - lo te known as 'Associate Members". These woukl not have voting rigms. Trustees continue lo assess how best lo engage Members. current and pasl. and will rewrt further once decisions have been made.
