Structure and Recruitment of Trustees
TheTrustees are 88tisfied thatthe affairs of the Friends CIO ar8 conducted In accordance wEth the
ConstitLrtion. The First Trustees are MrGA BatteTsby. Mrj D Copa and Mr H W Green.
Trustees are 8ppointed initiaityfor a period of five years. There must be at iea8t two but not more that
eleven elected Trustees and one ex officioTrustee-a churchwarden otst John'8 Church.
In the original ConstTtution dated 2* September 20222 it W88 noted that no end date was setfor the
FirstTrustee8. Consequently, pennission w8s sought fiom. and given by, the Charity Comfnissioners
to amend thls. The Frlends Solicitors Higgs LLP kindly agreed to work on this amendment as
gesture of goodwlll and a Special meeting of The Frlends Members wa8 arranged for the 21"
November 2024 at wfiich approval was gNen bythe Members forth8 amendmentto go ahead.

setting of the church: and to maintain and develop the music and other aspects ofthe worship and
life of the church, and to maintain the preservation and maintenance ofthe churchy8rd.
The g6n8ral ￿lIcY adopted in furtherance of the objectives is to consider all requests for support
from Hag￿Y Parochial Church Council IPCC) who a￿ re8ponslble for thè church, and in accordance
with the abov8 aims and oblecttves. there has been no change in policy during the year.
The Trustee8 have paid du8 regard to guidance Issued lrythe Charty Commi88ioner8 on publlc
ben8tit in dacidingwhat activldes the charlty should undertake.
Achlevomems and PerloimarbCO
In orderto achieve their objective. The Friends coitect subscription$ and receive legacies ￿ft5 and
donations and adminlstertheirinvestments.

The Friands are not how8ver involved in 8nytr8ding activities. N8ithertheTrustee8 nor anythird
related parties receive p8yment in any knnd forwork done on behalf otthe Charity-
Flnanclal Revl8w and Reserv88 Policy
The charity 18 readyto help. within its own parameters. reque8tsforfin8nci81 assist8ncefrom the
PCC. It maintains 8 reasonable reseNe to meet unexpected contingenci88. A signiflo8nt proportlon
of funds are kepl In liquid form in Building Societie5 end CCLA Investments which are Subject to
maxlmlsing Income without $8crificing security. The Trustees are most keen to continue with this
policy. The Friends carry Public Liability Insurance of £SM through Ecclesiastical Insurance Limited.

The Trustees usually meetfour times a yearto discuss finan￿, fabr1¢ matters, and If necessary to
deal with any requests received from the PCC.
The ongoingfabric matters r8i8ed at the time oflhe 2020 Quinquennial Report. such 8$ repairs to the
88nd8tone have been addre8sed. We are happyto Teport thatthi8 contract commenced atthe end of
March 2025 and will cost approximately£30.000 and will be funded by The Friends,. ALLthe
contractual matters and knaison wlth the Diocese 8t Woi¢ester has been handled on b8half of the
PCC by Alan Smith. Churchwarden at St John's. Alan is thelr representstive responsibi8 for all fabric
matters and automatiC811y as a Trustee of'The Friends..
Followlng comm8nts ragardingthe state ofthe car park dUringverywetV￿ath8r. we have ogreed to
help the PCC, in conlun¢tion with Hagley Hall Estst88, to Carry out some addltional stoning to the cal
park and also the pathway between th8 Cricket Ground and the L￿h Gate. This now provides a
tarmac acces5 to the Wychbury Room. Th88e *vrks were cornpleted bythe end ol March at a cost of
£9.540 including VAT. Wewouid like to record ourthanks to Hagley Hall Estates forthe continuing
ability to us the car parking area for ¢hur¢h services and other relatsd functlons.
A grant of £1.200 was made to the PCC in respect ofthe heatlng and iightingfor church seNic8s and
to cover similar costs when musical events took place overthe year.
Duringthe p88tyearwe have to reportthe 8ad 1088 of Stewart Purton. a long standingTrugtee und
who w8$ also Treasurer of both Yhe Friends. and the PCC.
