## **Structure,�Governance�and�Management��** 

The�Friends�of�St.�Laurence,�Lurgashall�was�formed�as�a�Charitable�Incorporated�Organisation� (“CIO”)�and�registered�with�the�Charity�Commission�on�21�September�2022.��Its�constitution�follows� the�standard�form�published�by�the�Commission�for�a�CIO�whose�only�voting�members�are�its�charity� trustees.��There�is�a�requirement�for�there�to�be�at�least�three�trustees�and�the�maximum�number�is�six.� 

The�first�trustees�were�The�Earl�of�Cork�and�Orrery,�Michael�Pavia�and�John�Clark.��Very�sadly,� Michael�Pavia�died�on�5�December�2022.��At�a�meeting�on�21�February�2023,�the�remaining�trustees� appointed�Neil�Harding�and�Rory�St�Johnston�to�be�trustees�and�Neil�Harding�was�appointed�as� Honorary�Treasurer.� 

Since�incorporation�therefore,�the�following�trustees�have�served:��

Rory�St�Johnston�(appointed�21�February�2023)��� 

## **Objects�** 

The�objects�of�the�CIO�are:�� 

(1)�the�restoration,�improvement,�development,�maintenance�and�repair�of�the�fabric�of�the�Church�of� St.�Laurence�in�the�Parish�of�Lurgashall�in�the�Diocese�of�Chichester,�its�furniture,�ornaments�and� precincts�and�the�maintenance�and�conservation�of�its�churchyard,�all�for�the�benefit�of�members�of� the�public�(being�of�any�religious�faith,�or�none)�by�providing�grants�to�the�Parochial�Church�Council� of�St.�Laurence’s�to�assist�with�the�cost�thereof�and�by�funding�studies�for�its�preservation,�and�� 

(2)�the�advancement�of�education�by�making�historical�and�architectural�information�in�relation�to�St.� Laurence’s�Church�available�to�the�public.� 

## **Relationship�with�the�Parochial�Church�Council�(“PCC”)�** 

In�view�of�the�objects�of�the�CIO,�it�is�clear�that�there�is�a�close�relationship�with�the�PCC.��Currently� two�trustees�(John�Clark�and�Neil�Harding)�are�also�PCC�members.��The�PCC�gave�full�approval�and� support�for�the�formation�of�the�CIO�and�has�made�an�initial�generous�donation.��However,�the�two� bodies�are�entirely�independent�and�it�has�been�minuted�by�both�that�there�is�a�need�to�keep�their� dealings�at�arm’s�length.��Trustees�who�serve�on�both�bodies�declare�their�respective�interests�when� dealing�with�matters�involving�both.�� 

The�PCC�agreed�that�sums�contributed�to�the�donations�box�in�the�church�porch�should�be�for�the� benefit�of�the�CIO�and�the�box�was�rebranded�for�The�Friends.��This�has�been�a�useful�source�of� funds.�

## **General�review�of�the�period�since�incorporation�of�the�CIO���** 

The�trustees�met�seven�times�during�the�period�and�the�average�attendance�was�88%.�� 

The�initial�focus�was�on�the�setting�up�of�banking�arrangements�and�this�was�eventually�achieved�with� NatWest�Bank.��The�process�was�lengthy�and�not�completed�until�the�summer.��Subsequently�the�CIO� was�registered�with�HM�Revenue�and�Customs.��� 

Once�these�administrative�arrangements�had�been�completed�the�trustees�turned�their�attention�to� fundraising.��They�received�helpful�advice�from�the�fundraising�team�for�Chichester�Cathedral� Restoration�and�Development�Trust�and�produced�a�brochure�for�use�in�approaches�to�potential� donors.� 

Fundraising�was�then�able�to�proceed.��The�financial�results�for�the�period�are�reported�below.� 

There�have�been�no�outgoings�during�the�period,�any�minor�expenditure�having�been�covered�by�the� trustees�personally.��All�income�has�therefore�been�available�for�the�objects�of�the�CIO.� 

No�request�for�grant�aid�has�been�received�from�the�PCC�during�the�period.��It�is,�however,�anticipated� that�grants�may�be�required�in�2024�as�the�PCC�will�be�faced�with�a�quinquennial�inspection�of�the� church�and�churchyard.� 

## **Financial�Review�** 

During�the�period�from�inception�to�31�December�2023,�donations�to�the�CIO�totalling�£28,683�have� been�received�in�the�form�of�lump�sum�donations�and�donations�through�a�QR�code�payment�system.�� These�included�a�donation�of�£13,500�from�the�PCC,�£12,500�of�which�related�to�a�donation�to�the� PCC�prior�to�the�opening�of�the�CIO’s�bank�account,�which�the�donor�requested�should�be�directed�to� the�CIO.��� 

In�addition,�donations�to�the�donations�box�in�the�church�porch�totalled�£404.��A�fundraising� Christmas�wreath-making�event�raised�a�further�£630.��Gift�Aid�tax�recovery�on�the�lump�sum�and�QR� code�donations�were�£1,278.��A�further�£3,772�in�Gift�Aid�in�respect�of�donations�prior�to�31� December�2023�was�recovered�from�HMRC�in�January�2024.� 

Interest�on�the�deposits�with�the�Church�of�England�Deposit�Fund�totalling�£170�was�received�in�the� period.� 

As�noted�above,�there�were�no�expenses,�and�no�grants�have�been�made�in�the�period.��� 

The�total�retained�surplus�in�the�period�was�£31,165.����� 

The�CIO’s�funds�at�31�December�2023�were�held�in�a�current�account�at�NatWest�Bank�(£745)�and� the�CBF�Church�of�England�Deposit�Fund�(£30,420),�which�at�31�December�2023�was�paying�interest� at�an�Annual�Equivalent�Rate�of�5.4063%.���������
