The Jane Austen Society {a Charitable Incorporated Organisation) Report of the Trustees for the Year Ended 315t December 2025 OBJEcllvES AND ACTivmES &8nificant artiwties 2025 OVERVIEW During 2025, which marked the 250th annwersary of Jane Austen's birth, the Siety maintained its routine activities and introduced new one5 which will survive the annNersary year. The Society also launched some specific projects to mark the anniversary which will not be repeated. The surge of interest and events sparked by the annniersary placed a considerable strain on the Societls volunteef resources. such that it was difficult to take advantage of the occasion to raise the Socievs protile.The Society'5 250 fund was utilised to support some of these 3ttNlties and redUd to £0 at the year end. The Societ15 routine activities comprise its publications and its online and in-person events. Publi¢*ions Following a hard copy newsletter published in the Spring of 2025. the kKiety introduced a digital newsletter, the first issue of which was published in June. This enhancement was enabled by the introdurtion of our new membership system. Veryconnett, allowing us to autofftate and streamline our membership administration. Five digttal editions were published during the year. of which two were dedicated to book reviews, recognising the surge of books issued to mark the annwersary. and one to the activities of the S(le5 branches. The digital format wa5 not welcomed by all, although many members recognised that the content was fresher and more flexible. with more illustrations and 3 text which could magnified for the benefit of those with weak eyesight. The c05t ol printing and. more particularly, postage had made the hard copy newsletter unaffordable. Each issue was costing in the region of £5,000. With a lag of 6-8 weeks between the deadline for contributions and the distribution to members. much of ts content became stale and the limitations of size meant that many ftems had to be excluded for lack of space. The trustees recognise that many members would have preferred a continuation of the hard copy. notwithstanding tts eCo-unfriend format. bLrt the economics were irresistible. The frequency and content of the digital version are still settling down, bur the flexibility of the digital format means that spontaneous decisions can be made in response to events. The Annu31 Report, which includes the SoCiets Report and Accounts for the preceding calendar year will continue to be distributed in hard copy format. for rhe f0see3b1e hjture. The 2025 edition will be Significantly longer than usual to mark the 250th anniversary. It will also be an index year. Online Events With respect to events. the Society finally launched online C[ureS in late 2024 and these are now established as month]y from September to May. taking a break during the summer months. They take place at 4.Tr) pm on 3 Saturday and have proved popular, especially among membeis who for one reason or another cannot easily attend in-person events. Attendance varies between 45 and 70. As well as more conventional lectures. two book review panels have been held plus a panel discu55ion of Austen's religious dimension. Page 2

The first Wa5 a branch version of the study day which the Society previously held in London. The Scottish and Northern branches collaborated to hold on event over a Friday even(ng and Saturday in May in Newcastle. The second in-person event was the Annual General Meeting held on S July in Steventon in a marquee in Pump Field where the Austen rectory previously stood. Austen had been bom there and spent the first 25 years of her life in Steventon. Steventon's 250 committee offered to the Society the chance of using the facilities they had established for a weekend of events. Holding the AGM in a field had its challenges. bL¥t members and their guests could ttend evensong in St Nicholas, church where A4Jsten's father had been rettor. Prof John Mullan wa5 the speaker. A transcript of his lerture will appear in the 2025 Annual Report. The final in-person event was the Socievs Annual Conference held in September in Kenilworth, with Andrew Davies, script writer of the BBC'S 1995 serial adaptation of Pride and Piejudice. as the keynote speaker. Vi5it5 to Stoneleigh Abbey. Leamington Spa and Adlestrop, all in excellent weather. were supplemented by local talks and lectures. Exceptional activities in 2025 There were four excepiional activities in 2025 held to mark the annwersary. In February Prof joe Bray, who became a trustee of the Society in June, gave a lerture at the National Portrait Gallery on the subject of portrarture in Austen's novels. In late Spring. the Society held a competition amongst dT3ma Students where the challenge was a reading of Austen's poem Venta. Participation was low, but the competition is being repeated in 2026. Throughout the year the Society invited recordings of nor more than two minutes on the Subject of What lane Austen Means to Me.. Again, participation was bwer than hoped. although the quality of the submissions was overall very high. Final. the Society commissioned a short film on the theme of Austen's description of different sorts of marriage. Filmed at Jane Austen's House, the result can be seen on Ihe Soc$ YouTube channel and has, at the time of writin& been viewed over 7,5CKI times. Public benelll The trustees have regard to the Charity Commission's Euidante on public benefit with respect to the advancement of education and of the arts. culture or heritage. The Society believes thai tt fulfils these obligations by rnaking freety available its Annual Rewrts. which contain important research on Austen. her family and the era, and it5 book reviews. Its onlirke lectures are open to the public fof a small charge. The Society's web51te also contains extensThie information, and the Secretary answers a plethora ol enquiries across a great range of Austen related topics in the course of the year. Volunteers The Society reSies on 11 volunteers whose services are much appreciate(I, but whose time spent cannot be readily quantified and valued. Page 3

The Society does not benefit from any grants. Subscription rates have remained the same since the last increase at the beginning of 2024. Membership may rnn from any date. Expenses The Societys princip31 expenses are the holding of the Annual General Meetin& publications, the Veryconnect membership system and maintaining the 5ocieWs website. Changes are being proposed in 2027 to reduce the cost of the Annual General Meeting and redeploy the funds thus released to increasing the public benefrt element of the Societws spending. Cashlbquidity The Society monitors its cash position carefully and hès had no difficulty in meeting its liabilities as they fall due. Investment policv As at 31 December 2025, the Socievs investments were valued at £216,970 12024 £248.7831. which the Society regards as prudent. The amount of £20,0(K) wa5 drawn down in the course of 202512024 £7,000) to meet certain exceptional expenses associated with the anniversary. No funds are restricted. Reserves The balance of the general fund £168.287 lexcluding designated funds and the value of heritage assets) repfesents approximate 20 months expenditure (based on expenditure in the year ended 31st December 20251 which the trustee5 con5iderto be appropriate in the circumstances. £120.(ll) of the legacies received, by the unincorporated charity, in the years ended 31st December 23 and 31st December was transferred to a designated fund to cover a range of the Society's educational activities. The trustees consider that the Socièty webstte forms part of its educational attrvities and therefore ihe cost of upgiading this was charged to the Education Fund. Going concern After making appropriate enquiries. the Trusteè5 have a reasonable expectation that the Charity has adequate resoLJrces to continue in operational eKlStence for the foreseeable futurè. For this reason, thev continue to adopt the going concern basis in preparing the financial statements. FUTURE PLANS The Society intends to continue wrth rts staple activities and to extend its engagement with educational bodies by running competitions. Page 4

GOVERNANCE AND WINAGEMENT Governing document The Socievs goveming document is its constitution. which was adopted when the Society became a CIO on 21 September 2022. The provisions of the constitution LArgety follow the template provided by the Charity Commission. The constitution is publicly available on the Socievs website. Policie5 Adopted The Society has adopted policie5 goveTning.- complaints. conflicts of interest. expenses, investment, membership, reserves, risk management. volunieer management and management of the Society's website and social media platforms. All policies are publicly available on the SoCies website. Organisational strurture By the terms of its constitution. the nUmr of trustees must be at least 3 and must not exceed 15. As at 31 December 2025 the number of trustees was 8. The S(xTety havin8 no employees, all trustees are executive and most have specific responsibilities. The Society also relies on an increasing number of volunteers to achieve its objectives. As at 31 December 2025 the number of volunteers wa5 11. At the Annual General Meeting of the Society on 5 ju 2025 the Societys President. Sir Sherard Cowper-coles, retired. The Society expressed its gratitude to Str Sherard for his past service in promoting the Socievs interests. In his place the novelist Gill Hornby was appointed. The Presidenvs role is ambassadorial and includes chairing the Annual General Meeting. The Society has three Vice Presidents as at 31 December 2025, all past chairs. whose appointment is purely honorific. The President and Vice Presidents are unpaid. Trustee Rotation and Recrurtrnent Since becoming a CIO in 2022. the Society has adopted a system of trustee rotation governed by its constttution. At every Annual Gene¥al Meeting of the S(Kiety, one third of the elected trustees retire from office. If the number of elected tnjstees is not thTee or a multiple of three. then the number nearest to one third retire from office. The retiring charity trustees shall those who have been longest in office since their last election or re-election. Any person who retires as a Charity tnjstee by rotation, or by giving notice to the Society, 15 eligible for re-election. A charity trustee who has served for three consecutive terms may not be re-elected for a fourth consecutive term. but rnay be re-elected after an interval of at least one year. The following trustee retired at the 2025 Annual General Meeting and did not seek re*lection-. the Reverend Canon Michael Kenning. Mary Hogg retired and was re-elected. Trustees. who must be members of the Society, are reciuited from the membership by advertisemenr or by a specific approach being made rf a member is known to have a skill set of which the trustee body stands in need. Exceptionally, the tmstees may use the services of a commercial recruitment agency if there is no candidate available or K4entifiable among the membership. New appointed trustees are expected to familiartse themselves with the Society's constitution. its licIeS and its processes, iogether with the applicable guidance available on the website of the Charty Commission. GOVERNANCE AND MANAGEMENT Decision makinE Decisions are made, delegated or ratified by the trustees who meet in person twice a year and online twice a year in addition to being present at the Annual General Meeting. Issues which cannot await the next meeting are addressed by email. The Society ha5 formed a Website and Social Media Committee. which meets shortly before each trustee meeting. The Committee is composed of four trustee5 and four volunteers, and is chaired by Fiona Ainsworth. Vice Chair of the kniety- Informal working groups are formed from time to time to address specific issues_ There is a membership team of three, of which two are trustee5 and the third a volunteer. They meet monrhly to consider membership renewals and other membership matters. Trustee muneratIon No trustee receives a fee in respe£t of their ro a5 trustee. Trustees are entitled to be reimbursed asonable expenses in accordance with the Expenses Policy. Page 6

Solrth West. Hampshire. London. Kent. Midlands, Northern and Scottish. Cambridge became an eighth branch on l January 2026. The branche5 run their own membership lists, form a governtng committee Comprising at least a Chair. Treasurer and Secretary, set subscription rates. issue publications and arrange events. In view of the autontsmous nature ot the branches and the fact that they elert theFr own committees, branch members who are not alsts Society members may not vote at the Annual General Meering to Irelelect. or not, trustees of the Society. Branch members are entitled to vote on matters afferting the Societls constitLrtton or other material issues. ConnectÈd Ofganisations The Society has no connection wrth any other organisation. From time to time. the trustees may regard it as being to the public benefit to make donations to other charities for specific projects. The amount donated in 2025 was £3(KJ12024.. £5(M)I. MEMBERSHIP REPORT Benefits of Membership A member is entitled to the following.. Receipt of a hard copy of the Annual Report Receipt of digital newsletters, which are issued four or five times a year Atces5 to the 9 online lectures which run monthly from September to May inclusive Acces5 to the Annual General Meeting Access to any study days or conferences which may be arranged- these are paid for with a view to covering their cost Discounted access to Jane Austen's House upon PFoof of current membership Membership system In late 2024 the Society launched an automated membership system purchased from Veryconnect. Existing members were uploaded to the system and new members have been able to join the ScKTety directly through the Veryconnect portal. It provides a reliable register of members and the ability to track renewals and resignations, and to run member reports based on a variety of factors. It has significantly reduced the amount of work required to maintain the register and the number of errors in the records. Members may log in with a password to check and update their details. Members may also register and pay for events using the system. Previousty published newsletters and other membership information 15 accessible under the system's Forum tab. The Society and members may post information in the Chat function. The system run5 from the memberfs email address, with the result that those members who are without an email or who are unwilling to provide an email. are at a disadvantage. As at 31 December 2025. there were 44 members withoLrt a registered email address or 4.5% of the total. Steps are taken to ensure that rhese members te1ve a certain amount of material in hard copy so that they stay abreast of Society developments and are otherwise assisted to register for events. Thejane Austen Society la Charitable Incorporated Organi5ation) Notes to the Financial Staternents for the Year Ended 31st December 2025 ACCOUNTING POLICIES Basis of preparing the financial ststements The financial statements of the charity, which is a public benefit entity under FR5102, have been prepared in accordance wtth the Charities SORP IFRS 1021 'Accounting and Reporting by Charities= Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland IFRS 1021 (effective 1st January 20191,, Financral Reporting Standard 102 The Financial Reporting Standard applicable in the UK and Republic of Ireland, and the Charities Act 2011. The financial statements have been prepared under the historical cost convention, with the exception of heritage assets and investments which are included at market value. Inccrfne All income is recognised in the Ststement of Financial Artniities once the Iharity has entitlement to the funds, it is probable that the income will be received and the arnovnt can be measured reliably. The net assets of the unincorporated charity, The Jane Austen Society, were transferred to the Charitable Incorporated Organisation at their value as shown in the accounts of the unincorporated charity for the year ended 31st Dember 2022. Expenditure Liabilities are recognised as expenditure as SLh)n as there is a legal or constnjctive obligation committing the charity to that expenditure. it is probable rhat a transfer of Èconomic benefits will be required in settlement and the amount of the obligation can be measured reliabty. Expenditure is accounted for on an accruals basis and has been classified Ltnder headin85 that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to actwities on a basis consistent with thè use of resources. Stocks Stocks are valued at the kjwer of c05t and net realisable value. after making due allowance for obsolete and slow moving items. Taxation The char4ty is exempt from tax on its charitable activities. Fund accounting Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. Designated FndS represent unrestricted fvnds earmarked for partieular purposes by the trustees of the Society in the exercise of their discretionary powers. All movements in value arising from investment changes are shown in the Statement of Financial Attwities. Unrealised gains and/or losses are the difference in market value of investments held at the beginning of the year, or their cost if purchased in the year, and at the end of the yeai. Herltsge Assets Under the provision5 of the Charities 50RP heritage assets are included on the balance sheet at their latest valuation. Branches and Groups Branches of the society as defined in charity law are an irktegral part of the Society and as such enjoy various privileges and responsibilitS in regard to the Society. In particular a branch can call upon the Society for financial support and 15 covered by the public liability insurance of the Society. The financial results of the branches are incorporated into the Society's statement of financial activities and the assets and liabilities of branches are included in the Society's balan sheet. A group is an informal gathering of members of the Society lor others) from a particular area and h35 no connection in law with The Jane Austen Society, and the financial activities of groups are not included in the* accounts.The remaining group, Cambridge. became a branch on l January 2026. Details of artivities of the branches are shown in note 15 to the accounts. Website Costs Web5tte costs are recogni5ed as an expense in the year of expenditure as, in the opinion of the trustees. the primary function of the website is to promote the activities of the charity and therefore does not meet the condit40ns required to be treated as an Entangible fixed a55et. rinancial Instruments Financial assets and financial liabilitie5 are recognised when the charty becomes party to the contrartual provisions of the financial instrument. Fixed asset investments Fixed asset investments are initially measured at their transaction value and are subsequentlv measured at fair value at each reporting date. HERITAGE ASSETS- continued The Society acquired a pM)rtratt of Edward Austen-Knight in 1953. Thi5 txjrtrart is now on display at Chawton House Ubrary under a long term loan agreement. This was originally included in the financial statements as a heritage asset at the professional valuation prepared by Woolley and Wallis in May 2015. The portrait was revalued for insurance purpose5 on 15th January 2025 by Andrew Smith & son at £28,(KlO. The Society has a clear duty of care for this asset and provisions in this respect are set out in the loan agreement. Any decision regarding public access to the portrait will be at the discretion of Chawton House Library.
