TRUSTEES ANNUAL REPORT
The trustees present their report with the financial statements of the Municipal Charities of Stratford-Upon-Avon for the year ended 31 March 2023. This new organisation has been formed as a Charitable Incorporated Organisation and was registered by the Charity Commission on 2 September 2022.
The original constitution was updated on 8 November 2022.
The actual charity has been dormant during this accounting period. It has adopted all of the Policies and Procedures of the charity called Municipal Charities registration number 214958. During this period the trustees, who for the majority have been the same trustees for both charities, have held joint meetings.
We had been awaiting a Charity Commission Scheme. However, for various reasons this was not forthcoming and so various resolutions were passed by both Trustee Boards on 20 September 2023 whereby all of the assets and liabilities of the Municipal Charities registration 214958 were passed to the new Municipal Charities of Stratford-upon-Avon registration 1200253 at 11.59 p.m. on 30 September 2023.This transaction and the subsequent income and expenditure will appear in next year’s set of accounts.
The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015).
Sources of Income
As mentioned above the Charity was dormant during the period to 31 March 2023. In future the main sources of Income will be from the residents’ weekly maintenance contributions, investment income, grants and fundraising applications.
Public benefit
The Trustees have complied with their duty to have due regard to the Charity Commission’s public benefit guidance (set out in section 40 of the Charities (Accounts and Reports) Regulations 2008) in deciding what activities the charity should undertake. However, for this financial period no activities have been undertaken.
Key Management Personnel
The Board of Trustees have overall responsibility for the running of the charity. The day-to-day management of the charity is delegated to William Clemmey the Chief Officer of Municipal Charities. During this accounting period the charity had no employees..
Disclosure of Interests
Trustees are required to disclose all relevant interests and register them through an Annual Declaration of Interests Form. In accordance with the Charity's policy, Trustees withdraw from decisions where a conflict of interest arises. Notification of "Trustees Conflicts of Interest" is also a standing agenda item for meetings.

There was no income or expenditure during this Financial Year.
OBJECTIVES AND ACTIVITIES
The objects of the CIO are:
1 The promotion of the establishment, continuation, efficiency and effectiveness of almshouse charities in Stratford-upon-Avon.
2 The relief of poverty amongst current almshouse residents in Stratford-upon-Avon and other residents of Stratford-upon-Avon and the surrounding area by providing: grants, items and services to individuals in need and/or charities, or other organisations working to prevent or to reduce the need, hardship or distress of such persons;
3 Any other charitable purpose which shall be selected by the Trustees in their absolute discretion from time to time.

Governing document
Municipal Charities of Stratford-upon-Avon was registered by the Charity Commission as a Charitable Incorporated Organisation on 2 September 2022. The Constitution was amended on 8 November 2022.
Recruitment and appointment of new trustees
Trustees are appointed in accordance with the charity’s governing document. We have undertaken a trustee’s skills audit and when a vacancy arises we review the skills of the Board and seek to recruit new trustees based on the areas of skills that are lacking. In future we will recruit through advertising on the website and in other publications. Following their application prospective candidates meet with the Chief Officer and Chair prior to being interviewed by the Chair and Vice Chair and another trustee and are then proposed for appointment at the next Board meeting.
Trustee Induction and Training
A trustee induction process is used with all new trustees. The induction process aims to brief trustees on their legal obligations under Charity law, the Charity Commission guidance on public benefit, and inform them of the content of the constitution, the Board and decision-making processes and they are familiarised with the Charity’s properties. During the induction period new trustees will meet the other trustees and discuss the work being undertaken. They are also encouraged to attend and participate in activities and events organised by the Charity. Trustees are encouraged to attend appropriate external training events where these will facilitate the undertaking of their role. An annual training event also takes place for Trustees.
All Trustees are expected to attend Board meetings on a regular basis in order to exercise their “duty of care” as Trustees of the Charity.
Related party relationships
Trustees regularly “declare an interest” as appropriate and all have completed a related parties form showing any potential conflicts of interest. A Conflict of Interest item appears on every agenda.

TRUSTEES RESPONSIBILITIES IN RELATION TO THE FINANCIAL STATEMENTS
The trustees are responsible for preparing the trustees’ annual report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom generally accepted accounting practice (UK GAAP)).
The law applicable to charities in England and Wales requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and of its incoming resources and application of resources of the charity for that period. In preparing these financial statements, the trustees are required to:

select suitable accounting policies and then apply them consistently;

observe the methods and principles in the Charities SORP;

make judgments and estimates that are reasonable and prudent;

state whether applicable accounting standards have been followed, subject to any

material departures disclosed and explained in the financial statements;

prepare the financial statements on the going concern basis unless it is inappropriate to

presume that the charity will continue in business.
● The trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the financial statements comply with the Charities Act 2011 and the Charities (Accounts and Reports) Regulations 2008. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.
The Trustees confirm that the charity is a going concern with regard to section 3.38 of the Charity SORP. From 11.59 p.m. on 20 September 2023 all of the assets and liabilities of the Municipal Charities registration 214958 were passed to the new Municipal Charities of Stratford-upon-Avon registration 1200253. This transaction and the subsequent income and expenditure will appear in next year’s set of accounts.
