## **Campaign to Protect Rural England, London CIO (Charity Registration: 1200094)** 

## **Introduction** 

CPRE London has been one of the Capital’s leading environmental Charities since 1990.  In 2023, our charitable activity was delivered by our unincorporated registered charity, also named CPRE London, registration number 802622 (‘Old CPRE’). CPRE London Charitable Incorporated Organisation (CIO) is a new charity (‘the CIO’), which has been set up to take over responsibility for delivery of charitable activities from 2024, with the benefits of incorporated legal status.  The CIO was registered on 17 August 2022.  In 2022/23 the CIO was not active, and this is reflected in this report. 

Our charitable activity, staff and volunteers transferred from Old CPRE to the CIO on 1[st] January 2024 to ensure delivery of our charitable objects through the CIO from that date.  The Old CPRE will have transferred all its assets to the CIO by its financial closure, which will take place by December 2024. 

The first full annual report and accounts for the CPRE London CIO will be due in October 2025. 

## **The Charitable Purpose and Vision of the CIO** 

The summary of the purposes of the charity as set out in our governing document are: 

_To promote and encourage the enhancement and protection of land and natural resources in Greater London and the surrounding Countryside, for the benefit of the public._ 

Our vision is to help create _‘a city with a network of green spaces which are accessible to all, rich in nature and play a crucial role in responding to the climate emergency.’_ 

## **Our Goals** 

The CIO did not establish goals for the 2022/23 period, as it was not operational. 

## **Statement of Public Benefit** 

The Trustees of CPRE London CIO have reviewed the Charity Commission Guidance on public benefit. We believe the CIO is compliant with it, through the benefits we plan to bring to the public in London by protecting natural resources and enhancing their access to green space in London, with the physical, mental health and environmental benefits which follow. 

## **Achievements and Performance** 

The CIO did not operate in 2022/2023 so there were no achievements or performance on which to report, in terms of service delivery, financial or investment performance. 

New goals and performance targets were established for the CIO for 2024, and the activities and achievements delivered during the 2024 year will be reported in 2025. 

## **Staff and Volunteers** 

The CIO employed no staff and had no volunteers, other than Trustees, during 2022/23. 



## **Structure, Governance and Management** 

The CIO is constituted as a Charitable Incorporated Organisation and is registered as a Charity.  The governing document of the CIO is a written constitution.  This has been reviewed by the Charity Commission. 

Governance is undertaken by a Board of Trustees .  Trustees of the CIO stand down annually and are appointed by election for one year at the Annual General meeting of Members.  The Board of Trustees may appoint additional co-opted members to fill vacancies occurring during the year, provided they do not exceed one third of total trustee numbers. 

The Trustees of the CIO were initially appointed from the Board of Old CPRE.  Three new Trustees, including an Honorary Secretary were recruited during 2023 following open advertisement and recommended for appointment by a selection panel. 

The day to day management of the CIO will be undertaken by Anna Taylor, Director, who was transferred from the Charity to the CIO from 1[st] January 2024, following a period of consultation.

The CIO held no property or assets in 2023, nor are any funds held by custodian trustees or bodies. 

## **Names and addresses of advisers** 

The CIO had no advisers during the period. 

No independent examiner for the accounts was required for 2022/23 as there was no financial activity.  Arrangements are in place to appoint an independent examiner for the 2024 accounts. 



## **Financial Review** 

The CIO had no turnover, assets or liabilities during the 2022/2023 period.  There were therefore no profits, losses or deficit.  Old CPRE was considered to be a going concern at the end of 2023 and had sufficient cash and assets to remain so and meet its liabilities.  Given the intention to transfer assets and liabilities of the charity to the CIO, the approval of grant funders to transfer the benefit of grants to the CIO, and ongoing fund raising, the Trustees considered the CIO to be a going concern looking forward into 2024. 

A financial return has been completed on a zero turnover basis in CC16 Format and is attached. 

The CIO had no reserves during the 2022/2023 period.  The CIO had a reserves policy in readiness for operations in 2024.  This policy is to maintain the reserve of unrestricted funds above a minimum level of four months’ running costs. 

It is planned to ensure all assets and liabilities from Old CPRE, the previous unincorporated charity, number 802622, are fully dealt with and the closure registered with the Charity Commission by December 2024.
