The Trustees are pleased to report that our third year of jing￿ Jam operating as an independent, registered

We were also pleased to benefit from an auth.on hehj in aid of Jingle Jam by The Yogscast in the summer of
2025, raising proceeds of £26.820.
Structure, goveman¢• and managamont
As a charty our mission is to make the wcrfld a betler pla￿ f(K children and youNJ people, by uniling the
video games community to raise funds which then disperse to other charrties working directty wth
children and youn9 peWe and for the benefrt of the planet. As such. we are a fundraising and grant-giving
organisation.
We had one change to our trustee board this year. with Joanna Cooke stepping down {January 2025) and
being replaced by Wayne Emanuel {appointed January 2025). Wayne has extensive experience within the
gaming induslry, having worked on a global scale at King. Rovio and more recently TikTok. Wayne also has
extensive experien￿ of working with charities. so his addition alongside Chair Rich Keith and foundeT Lewis
Brindley meant the trustee board continued to benefit from the necessary skills and experience required lo
deliver suc￿Ssful Jingle Jams. In addrtion to this. DavKI Miller was appointed as Non Executive Director of
our trading company Jingle Jam Promotions. DavKI also has extensive experience of the games industry.
Our flagship event, December's Jingle Jam, was once again financial￿ hosted by our trading subsidiary
Jingle Jam Promotions. ￿lch donated Ihe event proceeds to Ihe Jingle Jam charrty.
In order to resour￿ both Jingle Jam and Jingle Jam Promotions, we reappointed Julian Barrell, a veteran of
the UK'S charty fundraising industry, on a part-lime consultancy basis as Chanty Manager lo support
administration, govemance. charty partnership rnanagemenl arKI general organisation. We then
supplemented this with hundTeds of hours of volunteei time. from our highty engaged team of Jingle Jam
volunteers - taken from supporting donor fimis including The Yogscast, Fourth Floor and DMB Management.
In addition, we reappointed PR agency Basts"on. as our pro bono PR partner, and Albert Goodman as our
finan￿al partner for production of management accounts and audbt servI￿s.
As trustees we take all key decisions logelher, etlher at board meelings or via email approval. Our Chair Rich
Keith has authorty lo take day-to-day management decisions on our behalf, induding financial decisions
such as expenditure on marketing and remuneration on staff or consultancy fees. Julian Barrell ensures that
as trustees. we Temain up to date on key fundraising practices and legislation, for example through our
membership of and participation within the Fundraising Regulator. November 2025 saw the publicats'on of a
revised set of guidelines by the Fundraising Re9ulator. covering relationships between charities and content
creators and fundraising through gaming. and l am pleased to note thal Jingle Jam took part in a number of
wortshops with charities across the UK as part of Jingle Jam. and the sector as a whole. preparing for these
changes, which included us updating our own Fundraising Toolkit.
As a trustee board, we continue to place an utmost Importan￿ on fundraising best practice and ensuring that
our flagship Jingle Jam event has compkte transparency and operates on a whiler-lhan-white basis. so our
donor communities can know that every possible penny from the pound they donate goes in a timely way to
our charity partners. We provide a detailed breakdown of costs to all our charrty partners as part of our grant
agreement process, so everything we do financially is comp￿tety transparent.

Objectlves and actlvltles
Jingle Jam exists to help make the world a better place for children and young people. We raise funds
through the annual Jingle Jam event. and distribute these funds to other charities who are making a
difference so they can have even greater impact than they otheTWiSe would without us.
As such. our main activity is fundraising.
Through our subsidiary company Jingle Jam Promotions, we run the annual Jingle Jam evenl every
December, which aims lo raise at least £3m through encouraging tens of thousands of people around the
world to donate. The event is highly established within the video games audience and has regular annual
supporters in over one hundred CoUntr￿S around the vK>rld. including a large audien￿ in the USA as well as
in the UK and across Europe.
By leveraging our contact5 Within video games publishing companies. and by leveraging the reach and
influence of supporting content creators such as The Yogscast, we are able to create an event each year
which has a compelling case for support and encourages tens of thousands of viewers to donate - similar lo
a telelhon, only online. Supporters are able to access rewards in the form of our unique Games Collection,
meaning they can download tree video games donated by publishers.
The Jingle Jam event is run entirely by volunleers, many of vthom work for either The Yogscast . Fourth
Floor or DMB Management - these volunteers all dedicate significant lime throughout the year. increasing
during the months of October, November and esFe¢ialty December, towards marketing and promoting Jingle
Jam. setting up and producing live stream events. and supporting our charsty partners with their own
marketing efforts.
One of the reasons Jingle Jam attracts so many donations is the crealion of our trademark 'Games
Collection,, a colleclion of downloadable video games that donors at a certain level {typically £35) are able to
acquire. The Games Collection is made possible by the donation of product keys by publisheTS and
developers, and building it is a year-round activty that involves partnership developrnenl with and pitching lo
games industry developers and publishers. This work is led by Lewis Brindley and Rich Keith and with score5
of games in the collection. is a signfficant. voluntary undertaking.
To achieve our aim of making the World a better place for children and young people, we have identified four
key focus areas. Through consultats.on wth our wider network. and through regular feedback from Jingle Jam
viewers and donors. and every two years a major donor sup4ey. we know these areas are ones that
particularly matter to our audience and to gamers around the world. They are..
Improving the mental and physical health of young peop￿.
Inclusion of neurodivergent. disabled. LGBT+ and diverse young people.
Support for young people affected by global events including poverty. disaslers, epidemics or
conflicts.
Safeguarding the future of the planet for young people, by combating climate change and protecting
animal welfare.
To achieve impact in these areas. we select charty partners who a￿ already eslablished and delivering real
impact. lo become Jingle Jam chanty partners. We grant the proceeds of Jingle Jam fundraising to these
charities each year, following Ihe December event. In addrtion to raising funds with these charities. we work
in partnership with them 50 that they can build their own fundraising within the Jingle Jam event. boosting
how much everyone can raise. Many charities are becoming increasingly adept at engaging online content
creators and gaming communities and raising funds from them - when charits'es bring Ihese communities into
Jingle Jam we are able to further the reach and fundiaising power of Jingle Jam together.

Charty partners are selected on an annual basis using a three-stage application process - starting wrth an
expression of interest in February. followed by a detailed applicats.on form for shortlisted organisations,
followed by interview meetings and due diligen￿. This work is coordinated by our Charity Manager but
supported by a team of volunteers. similar to the team of volunteers who run the December event.
We accept applications for both proied funding and unrestricted funding. but we believe strongty in putting
lo￿ard cases for support to our donor communty that make rt clear how donalions will make a differen￿.
We do not require projecls to be gaming or technology-related {as many applicants assume}. allhough on
occasion those kinds of projecls do help to encourage fundTaisin9 and donations from our audience.
Once each Jingle Jam event is complete. Jingle Jam Prornots'ons prcNJuces a set of final events accounts and
passes all the proceeds up to Jing￿ Jam. in order for the charty to be able to pay funds to the charity
partners in the form of grants. Jingle Jam has a grant agreement in place with each charity, which includes a
commrtment to monrtoring and evaluating the impact of the grant. Charity partners are required to report back
as to their impact al 6 months and 12 months. and some of this infonna1￿n - such as case studEs - are used
by Jingle Jam to report back in turn to the donor communty, for example via social media posts.
Each chaiity partner receNes a different final amount, because donors to Jingle Jam are able lo specify
whether their donation is for all charities, or one in particular. We then aF)POrtion the rrfoceeds so that each
charity receives an equal share of funds donated to all CharIt￿S. and 100 % of proceeds of fund5 ear-marked
specifically for them.
Achievements and performance - Jingle Jam 2024
Jingle Jam 2024 saw us implement a number of important changes
1. In September 2024 we launthed our new Jingle Jam brand. which was developed wtlh help from
CALM and whith proved a huge success.
2. We made a ￿gnificant change to our Garnes Colthtion in 2024. reducing the number of titles
subslantially from -50 10 18 wilh a new focus on hyh value games rather than volume of games.
This went well as rt also meant we were able to work much more closety with each donating publisher
to Promote th￿r game and help reach oui to creators. Feedback from donors was positNe.
3. As reported elsewhere. for 2024 we had also decided to reduce the number of participating charities
from 12 to eight, and to appoint of those partners as 'stralegic partners, who would lake part in
Ihree conseculive Jingle Jams while providing extra help to us to helping build Jingle Jam's long-tem
capability and capacity. The ￿ductIon from Iwefve to eight partners reflected our desire to work more
closely wth each charity arKI the realisation that wth our limited (volunteer) resources we were
unable to properly support as many as twelve with all the work that goes into Jingle Jam such as
communications and creator engagement. After a rigorous. three-stage recruitment pr¢xess from EOI
to vKrtten application to Ixtch meeting and due dIl￿ence. the e￿ht charity partners we selected were..

Over the course of the next two weeks. The Yogscast continued to stream every day, and were joined by
over 830 additional fundraiserlcreators

similar level to 2023's event, in line vthh the experience of most charity fundraising events al this time in the

movements between payment providers. which we noted meanl in future years we should wait longer (e.g.

**Jingle Jam** Trustees' Report For the Year ended 31 October 2025

We do not employ any third party fundraisers or paid fundraisers on our behalf, all fundraising is voluntary. Content creators, community streamers and other voluntary fundraisers promote our giving mechanisms using the tools and mechanics (e.g. logo overlays) provided by Jingle Jam and our platform partner Tiltify. We are not responsible for the content of creators who fundraise on our behalf, but we have guidelines in place that cover areas like inappropriate content and we have a very clear complaints procedure that any viewer or donor can follow if they are not satisfied with any element of Jingle Jam.

During Jingle Jam we run a customer support system in partnership with Tiltify, where any donor could make a query and follow through to a response or action if required. For example, if the wrong amount is donated, or someone accidentally donates twice etc - in these kinds of instances we are able to swiftly reimburse the donor. With tens of thousands of donors these instances do happen, but we seldom receive any complaints due to our prompt handling of the situation. In 2024/5 we did not receive any complaints.

## **Statement of Trustees' Responsibilities**

The trustees are responsible for preparing the Trustees' Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards including Financial Reporting Standard 102 The Financial Reporting Standard applicable in the UK and Republic of Ireland (United Kingdom Generally Accepted Accounting Practice).

The law applicable to charities in England & Wales requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and of the income and expenditure of the charity for that period. In preparing these financial statements, the trustees are required to:

- select suitable accounting policies and then apply them consistently;

- observe the methods and principles in the Charities SORP;

- make judgments and accounting estimates that are reasonable and prudent;

- state whether applicable accounting standards have been followed, subject to any material departures disclosed and explained in the financial statements, and

- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in business.

The trustees are responsible for maintaining proper accounting records which disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the financial statements comply with the Charities Act 2011, the Charity (Accounts and Reports) Regulations 2008 and the provisions of the trust deed. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

In so far as the Trustees are aware:

- There is no relevant audit information of which the charitable trust's auditors are unaware; and

- The Trustees have taken all steps that they ought to have taken to make themselves aware of any relevant audit information and to establish that the auditors are aware of that information.

The Trustees' Report was approved by the trustees on 07/07/2026 and signed on their behalf by:

the engagement partner ensured that the engagement team collectp4ely had the appropriate
competence, capabilrties and skills to wjentify or recognise non-compliance viith applicable laws and
regulations.,
we identified the laws and regulations applicab￿ lo the chafty Ihrough discussions with manage￿nt,
and from our commercial knowledge and experience of the charity and grant making sector,.
we focused on specific laws and regulations vthith we conS￿ered may have a direct material effect
on the financial stalernents or the operations of the ¢haTrty, including the Charities Act 2011,
fundraising regulator, anti-bribery and data proteclion legislation.,
vft assessed the extent of compliance with the laws and regulations hdentrf￿ above th[0￿h making
enquiries of management and inspecting legal Corresponden￿.. and
identified laws and regulations were coffmunicated wrthin the audrt team regularly and the team
remained alert to InStan￿S of non-compliance throughout the audrt.
We assessed the SUs￿ptIb1ty of the group's ffflancial statements to material rnb55tatement. including
obtaining an understanding of how fraud might occur, by".
making enquirEs of management as to where they COn￿dered there was susceptibility to fraud. their
knowledge of actual. suspected and alleged fraud." and
Considering the intemal controls in place to mitigale rtsks of fraud and non-compliance with laws and
regulations.
To address the risk of fraud through management bias and ¢)verride of controls. we..
performed analytical procedures lo identfy any unusual or unexpected relationships..
tested journal entries to hjentify unusual transactions;
assessed whethef judgements arKI assumpts'ons made in detefmining the accounts'ng estimates vMe
indicative of potential bias., and
investigated the rationa￿ behind signtficant or unusual transact￿nS.
In response to the risk of Irregularit￿ and non-compliance with laws and regulalions, we designed
procedures which included, bul were not limited lo..
agreeing financial statement disclosures to underlying supporting do¢umentab'on.'
reading the minutes of meetings of those charged V￿th governance..
enquiring of management as to actual and potent￿1 liiwJation. claims and breaches of relevant

reviewing correspondence ￿TrIh the Charity Commission and other relevant regulators including the
charity's legal advisors and insurers.
There are inherent limitations in our audit wocedures descnbed above. The more removed that laws and
regulations are from financial transactions. the less likely it is that vmuld become aware of non-
compliance. Audikn"ng starmlards also limrt the a￿j11 prO￿dureS required to identify non-complian￿ wrth laws
