## TRUSTEES’ REPORT FOR THE PERIOD ENDED 31ST OCTOBER 2023

## CHARITABLE ACTIVITIES

The Rainbow Foundation is an active ageing charity working to improve the physical and mental health and wellbeing of our communities through a range of interventions and services which; promote independence, participation and self-care, address the determinants of active ageing, promote better health and wellbeing, reduce frailty, loneliness and isolation, and provide services closer to home.

## FINANCIAL ACTIVITY

During this financial period the Rainbow Foundation has been dormant, continuing to trade under the original charity registration, charity number 1100479, whilst making arrangements to transfer all assets and services to the newly registered CIO, charity number 1199932.

A full report on the activities carried out by the original charity during this period can be found at: Accounts and annual returns, THE RAINBOW FOUNDATION, WREXHAM - 1100479, Register of Charities - The Charity Commission

It is anticipated that the Rainbow Foundation charity number 1199932 will start to trade from the newly established CIO from 1st April 2024 which aligns with when our regulated services under Care Inspectorate Wales (CIW) will also transfer to the CIO.

Trustees have taken professional advice on the financial reporting implications of conversion to a CIO. On the basis that the old unincorporated charity accounts (1100479) will form the comparative figures in the CIO’s (1199932) first set of accounts. The key point of the merger accounting requirements is that the new CIO will report its financial performance and position as if it had always operated as a CIO (because the objects and activities are fundamentally unchanged from the old charity). We have also sought advice from the charity commission who confirm the same.
