## **Section B - Structure, governance and management** 

(Unchanged from prior years.) 

- **Governing document:** Constitution, approved by the members on 16 March 2022. 

- **How constituted:** Charitable Incorporated Organisation (CIO), registered 14 July 2022. 

- **Trustee selection:** Per the Constitution clause 13(1), trustees may be appointed by the members at the AGM or by the trustees at a trustees' meeting; in both cases a simple majority is sufficient.

- **Induction:** Per clause 14, each new trustee is given a copy of the constitution and the latest trustees' annual report and statement of accounts. 

- **Organisational structure:** A CIO with voting members and trustees, all volunteers. Trustees and members must be employed by the Windsor Learning Partnership or be a parent/guardian of pupils or a former pupil (over 18). Other members admitted at trustees' discretion. 

- **Wider network / related parties:** The CIO supports music and the performing arts by students attending WLP schools (an exempt charity under the Academies Act 2010), working with the WLP CEO, headteachers and music leads. 

- **Major risks:** Considered at trustee meetings; policies (e.g. Safeguarding, Grant Awarding) prepared and voted on by the membership. Conflicts of interest dealt with under the Constitution. 

## **Section C - Objectives and activities** 

## (Unchanged from prior years.) 

The objects of the CIO are the advancement of education and the advancement of the arts for the public benefit, in particular by promoting the study and performance of music and the performing arts by children attending the schools of the Windsor Learning Partnership. 

Main fundraising activities: ticketed music and performing-arts events, raffles and refreshments, a quiz, and a community social. Community-building activities: practical help at school events (parking, tickets, set-up/clear-up) and social events to build relationships with families and grow membership. The charity has policies on grant-giving to WLP schools and on safeguarding. 

**Public benefit.** The trustees confirm that they have had regard to the Charity Commission's guidance on public benefit when reviewing the charity's aims and objectives and in planning its activities. 

## **Section D - Achievements and performance** 

The Charitable Incorporated Organisation for Friends of Windsor Music (Windsor Learning Partnership) was approved by the Charity Commission on 14th July 2022. A charity bank account with Metro Bank was approved soon after. 

2024-2025 was the charity's most active and successful year to date. Building on the operational capacity developed in previous years, the focus was on supporting an ambitious programme of musical productions and concerts across the Windsor Learning Partnership schools, growing our fundraising, and deepening the involvement of our community of volunteers and trustees. 

During the year over £59,000 was raised through fundraising events. The principal events were the ticketed school musical productions - **Anything Goes** (the autumn production), **Fame Jr** and **Shrek Jr** - alongside Night at the Musicals concerts, autumn and spring school concerts, a film fundraiser ("Wicked") at The Old Court, a quiz night, a riverboat social, and raffles and refreshments throughout, together with ad hoc donations from individuals and families. The bank balance at the end of August 2025 was around £45,000. 

We were delighted to secure our first external grant, with £3,000 awarded by the Prince Philip Trust Fund towards plastic trumpets for the Windsor Learning Partnership schools. As it was given for a specific purpose it is held as a **restricted fund** ; the trumpets had not been purchased by the year end, so the £3,000 is carried forward as a restricted fund into 2025/26. 

The charity provided over £36,000 of grants and charitable support to Windsor Learning Partnership schools during the year. This funded microphone hire and a new drum kit for productions at Dedworth Middle School, sound systems for the first schools (Clewer Green, Dedworth Green and Oakfield), and the purchase of instruments for pupils - saxophones, trumpets, clarinets and reeds. The charity also contributed towards the Upper Schools' production of **Anything Goes** (set, costume and professional-musician hire). All grant applications received from the schools were approved, supporting a wide range of musical activities across the Learning Partnership. 

## **Section E - Financial review** 

**Reserves policy** (unchanged): the charity's policy is to retain £500 of unrestricted funds. The charity has no fixed or substantive operating costs and no employees, so a low reserve is not an unreasonable risk; a single fundraising event can replenish it. Reviewed annually.

**Year-on-year comparison.** Gross income rose from £23,174 in 2023/24 to £63,853 in 2024/25. This reflects a change in how event income is routed through the charity, rather than a material change in its activities, which continued at a similar scale across a comparable programme of school productions, concerts and the annual quiz. The charity's net surplus was almost unchanged (£14,923 in 2023/24; £15,347 in 2024/25), confirming that the underlying level of activity and the financial result were consistent year on year. 

Total funds carried forward at 31 August 2025: **£45,384** (bank £44,948, cash float £192, and £244 unspent event float held by the Director). Of this, **£3,000 is restricted** (the Prince Philip Trust Fund grant, unspent at year end) and **£42,384 is unrestricted** . There were no funds in deficit. 

**Independent examination:** the accounts for the year have been independently examined.
