The Trustees present thelr annual report together wlth the financlal ststements of the Haysac Foundatjon for
the I September 2024 to 31 August 2025. The annual report Serves the purposes of both a trustees, report
and a dlrector5' report under company law. The Trustees conflmi that the annual report and flnancial
statements of the charltable company comply wlth the current statutory requirements, the requlrements of
the charftsble company's governlng document and the provlslons of the Statement of Recommended
Practlce {SORP) appllcable to thar6ties prepartng thelr accounts In accordance wlth the Flnanclal Reportlng
Standard appllcable In the UK and Republlc of I￿10ftd (FRS102) (effective l January 2019).

•. Palicieg and objectlves
The objectlve of the tharfty Is to provjde donatlons to charlttes and other charitable organlsat5ons.
b. Fund ralslng and other pollde*
The fvndlng for the foundatlon Is enurely from the wovate income and resources of the Harbury family and
companles they control, and the foundation does not seek funding from the publlc or from any other bodles.
The foundatlon has a pollcy that no Trustee shall recelve any payment except for travel expenses when
travelllng speclflcally on the buslness of the foundatlon. The Trustees meet regularfy to conslder declslons
on donatlons and ensure the proper governance of the fovndatlon.
Achievom¢nts and p•rfornianr•
a. Revlew of actlvltles
Thls Is the foundatlon's third year of operation in whlch it received donations totalling £25,100 {2024
£40.000) whlch was all recelved as donatlons from the Harbury famlly and companles they control and all
funds re￿IVed were unrestrfLtrd.
Thls year was challenglng in temis of maSntainlng the level L)f donatlons. but we are very hopeful of
returnlng to p￿IOUS levels of avallable fijnds In the future. Durfng our thlrd year the Foundatlon has
developet1 Its approach to donatlons, and been pleased to engage wth a number of charltles we are
supportlng. Wlthln the total donatlons thls year we have been dellghted to contlnue to work closely wlth
Ethlopiald which ha5 been runnrng 5ucce55ful projects In the country for over thlrty years. Thelr focus on
working through local tharftie5 on the ground has been one of the reasons we have been pleased to support
educatlonal and health projects though thelr pro9rammes. We of course noted wlth regret the passlng of
thelr founder Slr Aec Reed In December 2025.
We have also trled to respond to events, such as the floods in the Czech Republlc g5ven our famSly roots
there, and to recognlse the need ft*r charitsble support to those wothng with the les5 fortunate around
Chrlstmas. In addltlon, we have supported charltles worklng In a wlde range of areas Includlng hosplce Care
and mental health support and wlth young people. We wlll contlnue thls work In the comlng year. The
Trustees recelve a large volume of emalls and letters from charltles seeklng SUPPert and all of these are
glven a response and considered at our meetings. We also look for opportynities to make donatlon5 to
causes whlch are of Interest and concern among the Twstees. In all ￿SeS we undertake due dlligence on
any potsntlal reclplents of donatlons prlor to maklng declslons and subsequently ask charltle5 to glve us a
report back on the way the money has been used.

The foundatlon operates through declslon5 of the Trustees to make donatlons In accordance wlth the agreed
Grant Maklng Po11cy to charltie5 wh5ch have been Identlfied a5 worklng In areas of Interest to one or more
Trustees. Due dlllgence Is undertaken prlor to any donatlons belng made and the Trustees ask reciplents to
provlde a report on the actlvltles whlch have been funded, The Foundation ensure5 that relevant declslons
are taken In accordance wlth the Charlty Commls51on publlc beneflt guldance.
The foundatlon generated a surplus of £239 12024 £70,468 deficit). The surplus wa5 accounted for by
deductlng expenditure of £24,973 12024 - 110,863) from donatlons totalllng 25, 100 12024 - £40,000) and
bank Interest recelved of £11212024 - £3951.
Financlal reviow
a. Golng concérn
After making approprSate enquirles, the Trustee5 have a reasonable expectation that the charity has
adequate resources to contlnue In operational existence for the foreseeable future. For this reason, they
contlnue to adopt the golng concern ba515 In preparlng the flnanclal statements. Although the balance sheet
showed an Insolvent posltlon as at 3110812025, thls was a temporary posltlon that was reversed by the
recelpt of an unrestrlcted donatlon of £25,000 after the year end on 2910912025.
b. Reserves poll¢y
The Trustees belleve there Is no need to set a mlt)ImLJm level of reserves a5 actlvlty expendlture Is related
directly to current leve15 of income. They consider thi5 approach to be sufficient given the nature of the
charity.

b. Methodg of appolntment or electlon of Trustees
Apart from the flrst Foundatlon Trustees, every subsequent TNstee must be appclnted for a term to be
decided by a re501ution passed at a property convened meeting of the Foundation Trustees.

Statement of Trustees, responslbllltles
The Tru5tee5 are re5ponsyble for preparing the Trustees, ￿port and the financial statements in accordance
with applicable law and United Klngdom Accounting Standards (United Kingdom Generally Accepted
Accountlng Practlcel.
The law applicable to charities in England & Wales ￿qUIreS the Trustees to prepare financial statements for
each financial which give a true and fair view of the state of affairs of the charity and of its incoming
resources and application of resources, Indudlng its income and expenditure, for that perlod. Ln preparing
these financial statements, the Trustees are required to:
select suitable accounting policies and then apply them consrstently-
observe the methods and principles of the Charities SORP (FRS 102);
make judgements and accounting estimates that are reasonable and prudent:
state whether applicable UK Accounting Standards (FRS 1021 have been followed, subject to any
material departures disclosed and explained in the financial statements;
prepare the financial statements on the going concern basis unless It Is itiappropriate to presume that
the charity wi15 continue in bltsiness.
The Trustees are responsible for keeping adequate accoLtnting records that are sufficient to show and explain
the charity's transactlons and dlsclose with reasonable accuracy at any time the flnantlal p051tlon of the
charity and enable them to ensure that the financial statements comply with the Charities Art 2011, the
Charity {Accounts and RepDrtsl Regulations 2008 and the provisions of the constitution. They are also
responsible for safe9uarcling the assets of the charity and hence for taking reasonable steps for the
prevention and detection of fraud and other irregularities.

The financlal statements have been prepared to give a 'true and falr, vlew and have departed

publlshed In Ottober 2019 rather than the Accountlng and Reportlng by Charltles: Statement of

Haysac Foundatlon meets the deflnltlon of a publlc benefit entKy under FRS 102. Assets and
Ilabilltles are Inltlally recognlsed at hlstorlcal cost or transactlon value unless otherwlse stated In
the relevant accountlng pollry.
2.2 Golng concorn

beneflt to a thlrd party, It Is probable that a transfer of economlc benefits wlll be requlred In
settlement and the arnount of the obllgatlon can be measured rellably. Expendlture Is classlfled
by actlvlty. The costs of each actlvlty are made up of the total of d1￿ct costs and shared costs,
Indudlng support costs Involved In undertaklng each actlvlty. Olrect costs attributable to a 51ngle
actlvlty are allocated dlrectly to that attlvlty. Shared costs whlch contrlbute to more than one
attivSty and support costs whlch are not attrlbutable to a slngle actlvlty are apportloned between
those artlvltles on a basls conslstent with the use of resource5. Central staff costs are allocated
on the bas15 of time spent, and depreciation charges allocated on the portion of the asset's use.
