2. Strurture, Govemance and Management
a. Nature of Governing t>ocument
The charity was established by a Deed of Trust dated 14th October 2021 to Methwold Parish
Council. Although. due to the pandemic and national restrictions. the Trust was not
registered by the Charity Commission until 14th June 2022. From the time the Trust Deed
was signed until confirmation that the Trust was re8iStered the village hall complex
continued to be run by the parish counal. The Charl￿5 Procedures and Controls Policy was
approved by the Trustee on 24th November 2022.

Members of Methwold Par￿h Counal serve as members of the Sole Corporate Trustee of
the charity.
The Administrator of the charity is also Clerk to Methwold Council, the parish council also
provide a Key HolderfortheTrus¢ ser4itrs wtthin the complex are invoiced to the Trust.
Members of the Sole Corporate Trustee serve until the date of the next Patish Council
election. If a Parish Councrllor 15 not re-elected at the time of the next Parish Council election
or resigns as a Parish Councillor, he I she automaiically ceases to be a Member of the Sole

Candidates standing for election to Methwold Parish Council, or who have put themselves
forward for co-option, are advised that part of their duties, if elerted or aFopted. would be
to serve as Members of the Sole Trustees.
The existfng Members of the Sole Trustees are identified as mentors to any new members
and, along with the administrator, provides guidance and a source to whom queries may be
addressed.

Meetings are routinely held on the first Monday of each alternate calendar month.

The Annual General Meeting (open to the public) of the Trust will be held in August each
vear.
3. Objectives and Artiyfttes
The Deed of Trust was signed on October 14th 2021 by Methwold Parish Council.
As from the date of this Deed. Methwold Parish Counal as Sole Trustee holds the Properties
on trust, for the public benefit, to promote for the benefit of the inhabitants of the civil
parish of Methwold and the surrounding area the provision of facilities for recreation or
other leisure time occupation of individuals who have need of such facilities by reason of
their youth. age. infirmity or disablement. financial hardship or social and economic
circumstances or for the public at large in the interests of sooal welfare and with the objett
of improving the conditions of life ofthe inhabitants. The village hall complex comprises of
the land and two buildings on 16-18 High Street Methwold Thetford Norfolk IP26 4NT.
The objettives of Methwold Hall Complex Charrtsble Trust remain wholly consistent with the
statements made in the 2021 indenture to provide a wide ran8e of community activities
particularly promoting tharitsble actiwties. These activities indude the provision of the
village hall complex as a permanent community faolity.
The trust gives priority to activities that benefft the whole of the local community. Private
hire by residents of the area is then prioritized ahead of any other commercial use. In all
cases. private hire is only possible at times when the complex is not in use for community
groups and public artivities for the benefit of the residents of the area.
In usual circumstances, the complex is also used to host recreationa5 and leisure time events
for the local community. These atttvities advance the trusts charitsble purposes to provide
facilities for recreation or other leisure time occupation for the benefit of the inhabitants of
the local community and the surroundingarea&
The complex 15 primarily used to host recreational and leisure time artivities for the benefit
of the inhabitants of the avil parish of Methwold and the surrounding area, including a

group for older members. a ladies group. theatre dub. history group which incorporates the
village archive, badminton, zumba, baby and toddler group as well as a thildrens, imaginary
play room.
The complex is available for hire by indNiduals or or8anisations in accordan￿ with a
standard hiring agreement and s(31es of charges adopted for the year. A lower rate of
charging applies to Ioc31 hirers of the facilities and is consistent with the condition in the
indenture that the complex shall be'for the benefft and advantage of the parish and
inhabitants of Methwold,. A higher set of charges applies for commeraal and trade hiring
the facilities.
The complex 15 also open for casual hire for events such as birthday parties. weddings. craft
fairs, social events, local meetTngs, and other events.
A small area of the complex is under an agreement with a third party to provide a post office
to the local community.
As Sole Trustee of the Trus¢ the following uiteria are considered in assessing priorising
proposed new users:
Priority is given to actbvities available to the widest number of beneficiaries.
Priority is given to activities aimed at improving conditions of life of any of the ft)Ilowing
groups: young people. old people. those who are infirm or disabled, people in linancial
hardship or struggling due to other social or economic circumstsnces.
Priority is given to activities that address a particular or acute area of need that has been
identified within the area of communtty benefiL
Whilst it is intended that in time. the overall s(ale of the tharges should be sufficient to
8enerate enough income to cover all costs. this objettive has not yet been achieved.

4. Coronavirus (COV1[￿19)
a) National Restrirtions
The third national lockdown in early January 2021. remained in place, with the exception of
the re-opening of schools, at the start of the finanoal year. From 12 April 2021 non-essential
retail and outdoor venues, induding pubs, were allowed to re-open.
In mid-may 2021 indoor venues including pubs. restaurants and onemas were allowed to re-
open and all legal limits on social contact were removed with effett from 21 June 2021
b) Impact on the Trust
As a consequence of the national restrirtions. the Trust was not registered by the Charity
Commission until 14th June 2022. Up until the time the Trust was re8iStered the complex
continued to be run by the parish council.

The complex was open at the start of the finanoal year, although not used as much as pre-
covid. The staff We￿ not furloughed as they were Still required to carry out administration
and Key Holder duties albeit at reduced levels.
The enhanced deaning regime remained in pla￿.
5. Achievements and Performance
The changeover of all sernices and contracts from Parish Council to Trust has taken some
time to complete. Once lockdown v4as lifted the complex opened fully again but was noticeably
quieter during 2021/22 and in 2022123 people still seemed (autious about meeting in larger
groups.
The Members of the Sole Trustee are supported by a hall working group which is made up of
six members from the Trust who carry out the hands-on day to day management and
running of the Complex. this is similar to howthe parish council and the previous hall
working group used to work together, with the hall Broup runnin8 the complex day to day,
and reporting to the Sole Trustee several times a year or as necessary. but it is totally
separate and there will be different rules to that of the parish council.

the future depending on projects and events at the comple
An events group was fom)ed in October 2022 Vlryth three members of the parish counol
supported by volunteers who organise community events at the comple& the community
'hot spot. for those who wished to meet up for a hot meal and company. Christmas dinner. a
big community lunch. and community events. a fete. Christmas party. summer fete.
No member of the parish council receives any remuneration or has an interest {otherwise
than as a member) in any contrart entered into by Methwold Hall Complex Charitable Trust.
The Members of the Sole Trustee meet formally at least six times per year to discuss the
affairs of the Trust and provide minutes of such meetings to the next meeting of the Sole
Trustee.
The working group is a less formal group of members. who generally meet monthly. These
members also help with tssks to maintsin the buildin8 and 8ive time and advice to help its
day to day running.
Maintenance and improvements to the complex was previously undertaken by the parish
council and in 2021/22 improvements were made to the complex to replace and enlarge
windows in the Fenton Room, and a new fire exit d¢)or and ramp were instslled for those
using the room.
Maintenance plans are re8u13rly reviewed updated as required. This will identify the
outline future funding requirements and prioritises those items which are ne￿$sary to
safeguard the building's structure. to meet health and safety requirements. and to improve
the village hall comple& to ensure its longevity for the community.

Methwold Hall Complex offers 12 rooms for hire {excluding storage spaces. kitchens and
bathrooms). The main rooms are 5t George's Hall. Fenton Room and 21 Room and 3
meeting rooms. Peggws Room, Mini Methwold and the Party Room.
St George's Hall has maximum (apacity of 250 people. Next to the Main Hall is the Fenton
Room with a maximum capatity of 120 people, this room has a kitchen. Upstsirs is the
Spencer Room with a maximum capacity of 15 people.
In the second building the 21 Roorn has a maximum capaaty of 120 people, and Peggy's
Room, which has a maximum capacity of 30 people. In the same building is the childrens
imaginary playroom {Mini Methwoldl, which hasa capaatyof 36 people and the party room
has a maximum capatity of 36 people.
Specific room hire depends on the number of people attending eath funrtion, and room
availability. Several local group5 and dubs meet in the different rooms of the complex
including Busy Bees, Methwold History Group. Methwold Theatre Club. Methwold Ladies
Group, Methwold Baby & Toddler Group. Methwold Badminton aub. Willow Workshop.
Zumba, Sewing Group, Spiritualist church and craft fairs.
Mini Methwold is an imaginary childrens playroom which. pre-covid was very popular for
children'5 Parties and play sessions. the party room is available for hire and being opposite
Mini Methwold is espeaally popularfor birthday parties. The Methwold Baby & Toddler
group meet in these rooms once 3 week during term time and a local breastfeeding SUPPOrt
group for mums meets once a month in Mini Methwold.
Additionally, rooms can be hired for birthday parties (for a wide range of ages) and other
family funttions, including funeral teas. and wedding receptions and by the Borough Council.
The complex also acts as a polling ststion for elertions.
The 21 Room has held the weekly Hot Spot meals, theatre performances, and parish council
meetings.
Peggy's Room is a meeting room that also holds the Methwold Archive. vthich has manv
interesting local artifacts and documents, held in trust for the community and for research.
The History group and Ladies Group generally meet in this room. This room is also used for
smaller meetin8s and educatSonal and training sessions.
Local commercial enterprises hire a hall for events such as stsff training days.
The Members of the Sole Trustees consider that the above meets the requirements laid out
in the Declaration of Trust that the village hall complex shall be used 'for the public benefit,
to promote for the benetst of the inhabitsnts of the ovil parish of Methwold and the
surrounding area the provision of frdcilities for recreation or other leisure time occupation of
individuals who have need of such facilities by reason of their youth. age. infirmity or
disablement. financial hardship or social and economic circumstances or for the public at
large in the interests of social welfare and with the objert of improving the conditions of life
of the said inhabitsnts.

6. Public Benefit Statement
The Trvstees are confidentthat they have complied with their duty to have due regard to the
guidance on public benefit published by the Charity Commission in the exercising of their
powers and duties.
7. Risk Management Statement
The Trustees also consider that they have the right skills and experience to understsnd
financial information and identify and manage risks. On an ongoing basis. the bi-monthly
Trustee meetings keep track of income and spending against the budget.
Strategically, the Trust focus on the protettion and development of the income stream from
the hiring of rooms in the village hall complex. the control of day-to day costs of running the
village hall complex. and the estsblishment of a longer-term expenditure plan covering
capitsl projects to maintain the village hall complex. More detail is given in Section 8.
8. Financial Review
a. Review of Year 2022123
The Trust received a Support Grant of £5,0(X) from Methwold Parish Council to set up the
bank account and £20.OCM)towards the running costs of the village halls, this amount was to
cover costs from 14rh ortober 2021 when the Deed was signed. The total of £25.{￿).00 has
been allocated £8.326.31 to 2023 and £16.673.69 to 2022
In this time the parish council continued to run the village halls and separate columns for St
Georges Hall and Old Soaal Club were kept in the cashbook to keep track of the cost to run
the village halls and income from hires.
It took several months to set up the bank accountforthe Trust and once the Trust was been
re8lStered- 14 June 2022 the process began to change all payments and receipts over to
the new Trust bank account. this process is takingtime to complete.
Income in 2022 included £11,398.20 for lettings and in 2023 lettings £12.930.00 paid directly
to the Trust.
An additional £3,180.80 in 2022 and £4.842.22 in 2023 was received from Methwold Parish
Council, this v￿$ for hires paid to the parish council between Ottober 2021 and December
2022.
Damage deposits refunds in 2022 were £350.CKI and 2023 £850.IX) which were refunded to
hirers.

Expenses

Because there are two village halls the Borough Counol charged rates on both buildings,
stsrtbng in April 2021. St George's Hall £376.50 per month and the Old Soaal aub £687.25
per month, these payments continued until November 2021 when the Trust document had
been signed and sentto the Charity Commission. 3 copy of the Trust documents were sent
to the Borough Council as proof of the Trusts existence, £1.358.83 for rates was refunded in
January 2022 and £2,703.81 refunded in February 2022.
In 2022 £11,240 of improvements, repairs and rna1ntenan￿ including the installation of a
canopy at Mini Methwold to enable children to play outside in inclement weather. a new
external door vMth disabled access ramp and replacement windows in the Fenton Room
along with repairs to the roof in Mini Methwold wa5 carried OUL In 2023 the amount spent
on repairs was £150.C().
There was a significant increase in the cost of oil Boing from £2,281.49 in 2022 to £3,414.89
in 2023. electricity increased from £1,021.29 with a refund of £359.26 to £1607.88 with a
refund of £295.50 was received. Grounds Maintenan￿ for the areas around the halls and
car parks increased from £607.50 to £3,198.10 to village halls since the upkeep has
transferred to the Trust. The costof water at the halls has doubled. New signage for the
halls has been purchased. Staff costs have increased as the village halls have become busier
in 2023 these were £9.716.11 and 2022 staff costs were £8.330.87 these are invoiced from
Methwold Parish Council to the Trust. There is also a cost for the independent examination
and accountsncy of £3.[￿.00.
Due to increased costs of running the village hall complex an increase of IO% was made to
the room letting rates in February 2023.
b. Reserves Policy
Currently there is no Reserves Policy in pla￿. This is because the tharity is new and has not
had time to accrue any reserves, it is envisaged that in time a policy will be adopted.
9. Plans for Futu￿ Periods
To assist the Trustees in their legal responsibility to ensure that the Methwold Hall Complex
Charitsble Trust remains solvent the main focus of efforts is to seek to match income and

expenditure. Opportunities will be examined to increase income and to secure grant funding
for suitable projerts whilst costs will remain under review.
The programme of maintenance and enhancements to, and refurbishment of, the internal
fabric and fixtures and fitting5 will be an ongoing commitment to the maintenance and
servicing of existing facilities.
An area of concern is the impart of increased running costs, these will be monitored closely.
Increasing the attractbveness of the wllage hall complex to potential hirers will continue to be
identified and consideration given to their funding in the short to medium term as resources
permit.
Longer-term expenditure plan for maintenance and improvements to the village hall
complex over subsequent years will continue to be reviewed and further developed.
10. Statement of Trustee< Responsibilities
The Trustees are responsible for preparing the Trustees. Annual Report and the financial
ststements in accordan￿ with applicable law and United Kingdom Accounting Stsndards
(United Kingdom Generally Accepted Accounting Practice).
The law appli(able to charities in England and Wales requires the Trustees to prepare
financial statements for each finanoal yearwhich give a true and fair view of the financial
position of the charity and of the incoming resources and application of resources of the
charity for that year. In preparing these tinanaal statements the trustees are required to:
selert Suitable accounting policies and then apply them consistently.
observe the methods and prinuples in the Charitie5 SORP:
make judgements and estimates that are reasonable and prudenL
state whether applicable UK Accounting Stsndards have been followed. subjett to
any material departures disclosed and explained in the finanoal statements: and
prepare the finanaal sLitements on the going concern basis unless it is inappropriate
to presume that the charity will continue in operation.
The Trustees are responsible for keeping proper accounting records which disclose with
reasonable accuracy at any time the financial position of the charity and enable them to
ensure that the financial ststements comply with the Charities Act 2011 and the Charity
(Accounts and Reports) Regulations 21XJ8. They are also responsible for safeguarding the
assets of the charity and hence for taking reasonable steps for the prevention and detection
of fraud and other irregularities.

These accounts have been prepared under the historical cost convention with items recognised at cost or transaction value unless otherwise stated in the relevant note(s) to these accounts. The accounts have been prepared in accordance with:

## **Note 2                           Accounting policies 2.2 INCOME**

|**Recognition of income**<br>Gifts in kind for use by the charity are included in the SoFA as income from donations<br>when receivable.<br>**Support costs**<br>The charity has incurred expenditure on support costs.<br>**Volunteer help**<br>Donated goods for resale are measured at fair value on initial recognition, which is the<br>expected proceeds from sale less the expected costs of sale, and recognised in 'Income<br>from other trading activities' with the corresponding stock recognised in the balance<br>sheet. ## **The following are significant matters which are not covered in other notes and need to be included to provide a proper understanding of the accounts.  If there is insufficient room here, please add a separate sheet.** 

The Trust became a registered charity on 14 June 2022 under a trust deed dated 14 October 2021. The Trust took over the existing arrangements for running the activities of the Methwold Hall Complex “MHC” which had previously been run directly by the Parish Council and MHC’s financial results in the past had been incorporated within the Parish Council’s financial statements.The activities of the MHC have been on going for many years and the registration of those activities and governance of the MHC as a registered charity did not fundamentally change their nature nor the class of beneficiaries This scenario is usually referred to as a “change of legal form” rather than the creation of a new entity. Under the Charities SORP this falls under paragraph 27.12 dealing with mergers and reconstructions and the appropriate method of accounting is known as “Merger Accounting”. Effectively the past unincorporated activities of MHC are merged with the newly registered charity and presented as an ongoing activity. These first financial statements  are in the Charity SORP format but have comparative figures for MHC before it became registered.
