Trustees
At the Annual General Meeting on Monday 4[th] July 2022, Theresa Millar resigned from the board, along with Katt Thorn. Jacqui Madagan resigned as Treasurer but remains on the board. Sarah Moir was appointed to the board as Trustee, and Emma Cole was appointed to the board as Secretary.
The remaining officers and committee members remained the same, therefore the Board is as follows:

Constitution
The society is registered with the Charity Commission (No. 1199306) and was formed in 1937 (Charitable – Incorporated Organisation registration June 2022). It is administered by a Board of Trustees (Committee) elected in accordance with a book of rules, the latest version of which was issued in 2022.
Location
As its base, the society hires the premises known as St. Paul ’s Church Hall, Pixmore Avenue, Letchworth Garden City, Hertfordshire, SG6 1QT. The society stage their productions in various venues in and around Letchworth Garden City.
Objects and Aims
The objects of the Charity (Society) are to educate the public in, and to further the development of public appreciation and taste in dramatic and operatic arts and musical works of all kinds; and to assist and further such charitable institutions and purposes as the society shall from time to time determine.
Review of Progress
The first production of the year, SPADS Showcase, took place in June 2022 at St Pauls Church Hall. The production was directed by Josh Clarke, with input from members. There were 2 performances in total and received excellent feedback from the audience. The show made a loss of £718.01.
The next production was our annual pantomime which this year was Cinderella, performed at The Broadway Theatre. This was directed by Annabel Clarke along with Tom Nichol as Musical Director. There were 7 performances in total. For the first time in SPADS’ history, there was a ‘relaxed’ performance which proved to be a huge success and will become a regular feature for pantomime in the future. The show made a profit of £9,700.96 and was once again a sell-out production.
January 2023 saw our first Annual Awards Evening. The venue was Letchworth Golf Club and included a two-course sit-down meal followed by an awards presentation and lots of singing and dancing. The event was open to all members, with the option of bringing a plus one. Tickets for the event were £10, with a total of 59 tickets sold. The event cost £2,029.60 to put on, therefore made a loss of £1,439.60. Although a lossmaking event, the society will be making this event a permanent fixture in the SPADS calendar.
In March 2023, the Board of Trustees chose three local charities to donate money too. The charitable donations are as follows:

We are looking forward to next year, hoping we can continue to grow and develop as a society.
Funds and Investments
This financial year, SPADS have switched bank accounts from Lloyds Baking Group to Virgin Money. Therefore, t he society’s bank accounts are now with Virgin Money. The society’s funds are all unrestricted.

Independent Examiner’s Report to the Trustees of SPADS (Song, Pantomime and Drama Society)
I report on the Accounts of the Charity for the year ended 31[st] March 2023.
Respective responsibilities of Trustees and Examiner
The charity’s trustees are responsible for the preparation of the accounts. The charity’s truste es consider that an audit is not required for this year under Section 144 of the Charities Act 2011 (The Charities Act) and that an independent examination is needed. It is my responsibility to examine the accounts under section 145 of the Charities Act and to follow the procedures laid down in the General Directions given by the Charity Commission under section 145(5)b of the Charities Act to state whether particular matters have come to my attention.
Basis of Independent Examiner’s Statement
My examination was carried out in accordance with the General Directions given by the Charity Commissioners. An examination includes a review of the accounting records kept by the Charity and a comparison of the accountants presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and seeking explanations from the Trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently no o pinion is given as to whether the accounts present a ‘true and fair view’, and the report is limited to those matters set out in the statement below.
Independent Examiner’s Statement
In connection with my examination, no material matters have come to my attention which gives me cause to believe that in any material respect:

The accounting records were not kept in accordance with section 130 of the Charities Act; or
-
The accounts did not accord with the accounting records; or
-
The accounts did not comply with the applicable requirements concerning the form and content of the accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than that any not a matter considered as part of an independent examination.
I have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.
