2. Structure, Governance and Management
Governing document
Themis Charitable Foundation is a charitable trust governed by its trust deed and registered with the Charity Commission for England and Wales (charity number 1198427).
Trustee recruitment and appointment
The Foundation currently has one trustee, Gavin Dominic Lockhart Mirams, who has served as Chair since 29 March 2022. The trustee is responsible for all aspects of governance and strategic direction.
Trustee training and development
During the financial year ending 1 April 2025, the trustee directed funds toward the expansion and development of trustee skills and experience to ensure the Foundation is properly equipped to discharge its charitable purposes. No expenditure was incurred in the current reporting year.
Volunteers
The Foundation is supported by two volunteers who contribute to its activities without remuneration.
3. Objectives and Activities
Charitable objects
The Foundation exists to support victims of financial crime through advocacy and the provision of grants to charities that focus on tackling modern slavery, human trafficking, and other financial crimes.
Public benefit
The trustees confirm that they have had regard to the Charity Commission's guidance on public benefit in planning the Foundation's activities. The grant-making activities of the Foundation, once initiated, will provide direct benefit to vulnerable individuals affected by financial crime, modern slavery, and human trafficking.

Grant-making policy
The Foundation intends to make grants to registered charities operating in the fields of modern slavery, human trafficking, and financial crime advocacy. Potential recipients must demonstrate alignment with the Foundation's objects, sound governance, and effective use of charitable funds. During the reporting year, the trustee has been actively identifying suitable applications and grant recipients in preparation for future distributions.
4. Achievements and Performance
No grants were distributed during the year ending 1 April 2025. The trustee continued the process of identifying suitable grant recipients in the fields of modern slavery, human trafficking, and financial crime advocacy. This due diligence period reflects the trustee's commitment to ensuring that future grants are directed to organisations with demonstrable impact and strong governance.
The Foundation anticipates receiving further income in the coming financial year to support its grantmaking activities. Future grant distributions are planned once suitable applications have been identified and evaluated.
5. Financial Review
Financial position
The Foundation received no income and incurred no expenditure during the year ending 1 April 2025. Total funds held at the year end were nil.
Reserves policy
The trustees do not currently maintain a formal reserves policy given the early stage of the Foundation's operations. The trustee intends to adopt a reserves policy as grant-making activity commences. Future income is expected from donations, with a target of at least £5,000 per annum, which will be applied to charitable grant-making in accordance with the Foundation's objects.
Going concern
The trustee is satisfied that the Foundation will continue to operate. Future inflows are anticipated from donations, and the Foundation has no material liabilities or commitments outstanding at the balance sheet date.
6. Statement of Trustees' Responsibilities
The trustee is responsible for preparing the Trustees' Annual Report and the accounts in accordance with applicable law and the Charities Act 2011.
The law requires the trustee to prepare accounts for each financial year that give a true and fair view of the state of affairs of the charity and of its incoming resources and application of resources during that period.
In preparing the accounts, the trustee has:

selected and applied appropriate accounting policies and applied them consistently;

observed the methods and principles in the applicable charities SORP;

made judgements and estimates that are reasonable and prudent; and

prepared the accounts on a going concern basis.

The trustee is responsible for keeping proper accounting records that disclose with reasonable accuracy the financial position of the charity at any time, and for safeguarding the assets of the charity and taking reasonable steps for prevention and detection of fraud and other irregularities.

8. Accounting Policies
Basis of preparation
The accounts have been prepared on a receipts and payments basis in accordance with the Charities Act 2011 and the Charities (Accounts and Reports) Regulations 2008. The accounts comply with the requirements of the Charity Commission's guidance for charities with income below £25,000 per annum.
Income recognition
Receipts are recorded when received. No income was received during the year.
Expenditure recognition
Payments are recorded when made. No expenditure was incurred during the year.
Funds
Unrestricted funds are available for use at the discretion of the trustee in furtherance of the general charitable objects of the Foundation. No restricted funds were held during the year.
Note on independent examination
As the Foundation's gross income did not exceed £25,000 in the financial year, the accounts are not required to be independently examined or audited under the Charities Act 2011. These accounts have been prepared and approved by the sole trustee.
