The Trustees present their report and the financial statements for the year ended 31 March 2023 

## **Principal Activity** 

The Principal Activity of the company in the period under review was that of grant aiding the promotion and development of the appreciation of music. 

## **Legal structure of the company** 

The organisation is a Charitable Incorporated Organisation 

## **Review of the financial position** 

The Trustees are satisfied with the performance of the business and is looking to consolidate its grant raising results in the forthcoming year. 

## **Audit** 

As described in the balance sheet, the charities trustees are responsible for the preparation of the accounts. They consider that the charity is except from audit. Accordingly, no audit has been carried out in accordance with Auditing Standards or procedures as set out in the Statement for Auditors. 

The Trustees consider that the accounts give a true and fair view of the company at 31 March 2023. as certified by an External Examiner 

## **Statement of Directors Responsibilities** 

We are required under charitable law to prepare financial statements for each financial year which give a true and fair view of the state of the charity and the profit or loss for the year. In preparing those financial statements we are required to: 

- select accounting policies and apply them consistently 

- make reasonable and prudent judgments and estimates 

- prepare financial statements on the ongoing concern; unless inappropriate to presume that the company will continue in business 

We are also responsible for: 

- keeping proper accounting records 

- safeguarding the charities assets 

- taking reasonable steps for the prevention and detection of fraud

The Trustees are satisfied that the company was entitled to exemption under subsection 1 of section 249A of the Companies Act 1985 and that no members have requested an audit pursuant t subsection 249(B) 2 in relation to the accounts for the financial year. 

The Trustees acknowledge their responsibilities for: 

- 1 ensuring that the company keeps accounting records which comply with section 221 and 2 preparing accounts which give a true and fair view of the state of affairs of the company as at the end of the financial year and of its profit or in that year in accordance with the requirements of section 226, and which otherwise comply with the requirements of this Act relating to the accounts, so far as applicable to the company. 

Advantage has been taken of the exemption for small companies conferred by the section A part 3 to the Companies Act 1985 on the grounds that, in the directors' opinion, the company is entitled to benefit from those exemptions as a small company. 

These accounts were approved by the Board on 1st October 2025

## **JAZZ  MIDLANDS** FINANCIAL STATEMENTS 31st March 2025 

We have audited the financial statements of Birmingham Jazz for the project ended 31st March 2025 which comprise the Statement of Financial Activities, Income & Expenditure for the end of the project. The financial reporting framework that has been applied in their preparation is applicable law and Financial Reporting for Smaller Entities (effective January 2015) (United Kingdom Generally Accepted Accounting Practice applicable to Smaller Entities). 

## **Respective responsibilities of trustees and auditor** 

This Report is made solely to the Trustess, as a body, in accordance with Section144 of the Charities Act 2011 and regulations under section 154 of that Act. Our audit work has been undertaken so that we might state to the Directors those matters we are required to state to them in Auditor’s Report and for no other purpose. 

## **Scope of the audit of the financial statements** 

A description of the scope of the audit of financial statements is provided on the Financial Reporting Council’s website at www.frc.org.uk/auditorsresponsibilities 

## **Opinion on financial statements** 

In our opinion the financial statements: 

- give a true and fair view of the state of the Jazz  Midlands  income & Expenditure at the 31st March 2025 and of its 

- incoming resources and application of resources, for the project 

- have been properly prepared in accordance with the United Kingdom Generally Accepted Accounting Practice 

- applicable to Smaller Entities, and: 

- have been prepared in accordance with the requirements of the Charities Act 2011.
