Trustees’ Annual Report

for the period 15th March 2022 to 30th April 2023

Charity name Out for Sport

Charity registration number 1198240

Charity principal address 46 Hazelwood House, Evelyn Street, LONDON, SE8 5RP

Objectives and Activities

We’re a volunteer-run organisation helping our community unite through LGBTQ+ sport.

We represent London’s LGBTQ+ sports clubs and teams in a shared mission to increase LGBTQ+ participation in sport.

Our charitable objects are:

The promotion of equality and diversity for the public benefit by the elimination of discrimination on the grounds of sexual orientation or gender identity by promoting community participation in healthy recreation for the benefit of the LGBTIQ+ inhabitants of London and the Southeast by the assistance in the provision of facilities for playing amateur sport.

The main activities we have carried out in relation to our charitable objects are for the public benefit, in particular, the activities, projects or services we have carried out include:

The trustees have had regard to the guidance issued by the Charity Commission on public benefit.

Achievements and Performance

In this period we were focussed on preparing the charity to take over from the old entity. With this in mind we undertook a thorough trustee recruitment process that enabled us to appoint a diverse board of trustees with lots of relevant experience.

We spent time working on our strategic plan, focussing on five pillars:

Through the continuation of the previous Out for Sport entity’s work over the last 25 years we will continue to improve participation in sport amongst LGBTQ+ people, support sports clubs to become more inclusive and support our member clubs to have robust governance.

Financial Review

At the end of the period, the charity held cash reserves of £700.

The only income in the period came from a corporate donation of unrestricted funds. There were no outgoing payments during the period as the charity did not take on any assets or liabilities until the following financial year. Any costs relating to activities undertaken in the financial year 2022/23 were covered as donations-in-kind by the outgoing entity, Sport London Ltd (see below).

During the first year of operation the charity did not take on any liabilities, but the Trustees adopted an interim policy to maintain a minimum reserve equivalent to the anticipated annual running core costs of the existing entity, being £500. The trustees are therefore content with the level of reserves held by the charity.

The trustees do not consider there to be any material uncertainties about Out for Sport's ability to continue as a going concern.

Structure, Governance and Management

Out for Sport is a registered Charitable Incorporated Organisation. The entity was incorporated on 14[th] March 2022 and registered as a CIO with the Charity Commission for England and Wales on 15[th] March 2022. It is governed by its constitution which was adopted on 14[th] March 2022. This arrangement replaced a construct whereby the charitable activities of Out for Sport were carried out through Sport London Ltd (company number 08047670), a company limited by guarantee, not having a share capital with a memorandum and articles of association constituted on 26[th] April 2012. This company still exists and is being retained by the new entity in case of a future bid to run an international sporting event. Out for Sport’s origins are in an unincorporated association formed in 1998 to further LGBT sport in London and the Southeast.

The provisions of the constitution allowed for the appointment of between three and twelve trustees at the first annual general meeting of the members of the CIO, at which point all of the initial trustees would retire. At every subsequent annual general meeting of the members of the CIO, one-third of the charity trustees shall retire from office.

Between November 2022 and March 2023, the initial trustees undertook an open recruitment process for trustees. The roles were advertised publicly online with applicants scored, shortlisted, and interviewed against published criteria. A final shortlist of proposed trustees was presented to the members at the AGM on 5[th] April 2023, at which all existing trustees stood down and eleven trustees were elected for a three-year term. At the next two AGMs a third of trustees will voluntarily retire (or, if not enough trustees volunteer those to retire will be determined by lot). New and / or existing trustees will be elected each year for a three-year term so that approximately one third of the board is elected each year.
