In total 75 volunteers of all ages were engaged at these events. • Hosting a work experience student from Hereford Sixth Form College for a week in June. • Training and supporting an Assistant Meadows Adviser, Jane Philips, on a sixth month summer contract. • Running a successful AGM with guest speaker John Phillips, Grazing Manager Epping Forest and FORUM with guest speaker Dan Carne, Director, Woodmeadow Makers. • Running a winter webinar focusing on the new SFI action for species rich grasslands and new CSHT grassland options. • Attending a Houses of Parliament Grassland Westminster Reception hosted by Plantlife and calling on the UK Government and DEFRA to fully recognise and unlock the value of grasslands. • Hosting Natural England’s grassland team for two days of discussion and farm visits focusing on current and future grassland policy. • Keynote speech at the inaugural National Meadows Conference in Shropshire to 180+ representatives of meadow and grassland organisations and enthusiasts. • Contract secured to deliver up to 75 endorsement visits for the new SFI

(1) The advancement of conservation, restoration and creation of flower-rich grasslands in Herefordshire for the benefit of the public, in particular but not exclusively by promoting sustainable land management systems land management systems to achieve this purpose. (2) The advancement of education of the public on the benefits of flower-rich grasslands and the need to conserve them.

## **Fundraising activities** 

A target was set to raise £10,000 as part of the Big Give Green Match Fund campaign. The final amount raised including Gift Aid totalled £15,195 or 152% of the target. Herefordshire Meadows is also registered with the Charities Aid Foundation (CAF) which can accept and process online donations on the charity's behalf.

## **Financial position** 

- Donations received by Herefordshire Meadows for the financial period 05/04/24 to 04/04/25 total £15,875.00, which included gift aid payments received of £2,581.04 

- Meadow Project Income (restricted and unrestricted funds) totalled £142,868.70 which had related expenditure of £100,642.00, showing that in the second year most of the income was generated from projects. 

- Herefordshire Meadows had a healthy bank balance of £58,012 at the end of the charity year, with few debtors and creditors being outstanding.

## **Principal funding sources** 

Funds have been from project income for advisory work, for meadow restoration planning and implementation and for knowledge exchange and education events. Donations have been received through Big Give and from individual. 

Three years of grant funding has been secured from the Jordan Charitable Foundation which will predominantly be used to fund a new volunteer programme and support for targeted SSSI grasslands. 

## **Investment policy and objectives** 

The charity does not hold any financial investments. 

## **Reserves policy** 

The Trustees have written a reserves policy. The policy covers 6 months of core operating costs plus the insurance excess on the charity assets (seed harvester). 

This is the third financial year of the charity trading and has £41,888.00 in reserves for the year ending 4.5.25 

## **Going concern** 

There are currently no uncertainties. Herefordshire Meadows has project income for the 25.26 year already in place and plans project bids with established funders for future work in 26.27 year.

At present there are no formal policies and procedures for the induction and training of new trustees. New trustees are directed to the Charity Commission guidance on trustee duties, the Charity Governance Code. and "Charity trustee what's involved (CC3a). They receive a briefing from the Chair which gives the necessary information about the Charity, its charitable purpose, strategic objectives, the history of the charity and are given a copy of the Constitution. They are also given copies of all the charity policies.

**Independent examiner's report to the trustees of Herefordshire Meadows ('the Company')** I report to the charity trustees on my examination of the accounts of the Company for the year ended 5 April 2025. 

## **Responsibilities and basis of report** 

As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). 

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act. 

## **Independent examiner's statement** 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 

1. accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or 

2. the accounts do not accord with those records; or 

3. the accounts do not comply with the accounting requirements of Section 396 of the 2006  Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or

## **1. ACCOUNTING POLICIES** 

## **Basis of preparing the financial statements** 

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. 

## **Income** 

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. 

## **Expenditure** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive  obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. 

## **Tangible fixed assets** 

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life. 

## **Taxation** 

The charity is exempt from corporation tax on its charitable activities. 

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes. 

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements. 

## **Hire purchase and leasing commitments** 

Rentals paid under operating leases are charged to the Statement of Financial Activities on a straight line basis over the period of the lease.

## **11. RELATED PARTY DISCLOSURES**
