The trustees present their report and the financial statements for the year ended 20 February 2025.

Objectives and Activities

Aims and Objectives

Groove on the Green CIO plans and runs an annual comedy and music event to raise money, to provide funding to enable us to give grants to local organisations for projects and activities that benefit our local community.

Significant Activities

The main activity undertaken in Y3 was to stage a successful annual comedy and music festival in July 2024 in order to benefit the local community.

The event brought together a wide range of Walgrave village residents, occupants of local villages and many visitors from further afield. As usual, direct fundraising was undertaken by local charities and community groups. Local catering businesses were also supported by giving them the opportunity to trade during the Saturday music festival.

The money raised by the Groove on the Green team by selling entrance tickets and running the bar provided funding to stage the following event in 2025 and also enabled funds to be allocated to the grant awards, as mentioned above, further supporting good causes in our local community

Public Benefit

During Year 3, Groove on the Green CIO completed its third round of grant awards, using the grant award policy adopted in Y1. The total allocated to the grant pot was agreed by the trustees based on funds raised at the July 2024 event. A range of local charities and community groups applied for funds and the charity is pleased to report all applicants were successful in securing some funds, with the average grant award being £536.

The music festival provides young, aspiring musicians experience of a professional stage and sound set up and the ability to perform to a large audience.

The trustees confirm that they have complied with the requirements of Section 17 of the Charities Act 2011 to have due regard to the Charity Commission’s guidance on public benefit.

Additional Note

During Y3, a substantial cash asset was gifted to Groove on the Green CIO from another charitable organisation based in Walgrave, Northamptonshire.

The organisation, Walgrave Wellbeing Centre, was in the process of being closed and its trustees wished to gift its remaining bank balance of £18,262 to Groove on the Green CIO with an expressed wish for the funds to be used to support the local community.

VVhile no formal restrictions have been placed on how the funds are used, Groove on the Green CIO has provided a written statement of intent to the outgoing trustees of Walgrave Wellbeing Centre to explain how the balance will be treated.

The statement reads:

"Groove on the Green has gratefully received £18,267.07 from Walgrave Wellbeing Centre, which is winding up its operation. This sum will be treated as a ring fenced fund to ensure there is full visibility of how it is used over the coming years. GOTG plans to use it in the following ways:

• Invest in items of infrastructure which would usually be hired to stage the annual GOTG event. This will help reduce operating costs and keep ticket prices down, allowing as many members of the community as possible to afford to attend

• Use as an insurance fund to continue operating in the event of consecutive years of losses due to bad weather. This helps protect the future longevity of this community event

• Invest in our community via the annual GOTG grant award process and in line with our published policy. Applications are encouraged from any charity or community group in the local area and we actively seek to support groups across a breadth of age ranges, activities and causes

A summary of this statement has also been published in the Walgrave Village Newsletter, a Parish Council funded communication which is delivered to every household in the parish of Walgrave.

Reserves Policy

The Trustees agreed to hold cash reserves at all times to enable two subsequent annual Groove on the Green festivals to take place, assuming a 'bad weather' scenario. This assumes 100% event costs are incurred and only 10% of income is generated.

This reserve amount will be calculated before releasing surplus funds into the annual grant award process.

I report to the charity trustees on my examination of the accounts of the Company for the year ended 20 February 2025.

Responsibilities and Basis of Report

As the charity trustees of the Company (and also its directors for the purposes of company law), you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 (“the 2006 Act”).

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity’s accounts as carried out under section 145 of the Charities Act 2011 (‘the 2011 Act’). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act.

Independent Examiner's Statement

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:

  1. accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or

  2. the accounts do not accord with those records; or

  3. the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a 'true and fair view' which is not a matter considered as part of an independent examination; or

  4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102).

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

1. General Information

Groove On The Green is a company limited by guarantee, incorporated in England & Wales, registered number CE028395 and registered charity number 1197993. The registered office is Seven Grange Lane, Pitsford, Northampton, Northamptonshire, NN6 9AP.

2. Accounting Policies

2.1. Basis of Preparation of Financial Statements

The financial statements have been prepared in accordance with the Charities SORP (FRS 102) "Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)", Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.

The charitable company is a Public Benefit Entity as defined by FRS 102.

2.2. Cash and Cash Equivalents

Cash and cash equivalents are basic financial assets and include cash in hand and deposits held at call with banks, other short-term highly liquid investments that mature in no more than three months from the date of acquisition and are readily convertible to a known amount of cash with insignificant risk of change in value, and bank overdrafts.
