Report of the Trustees for the year ended 31st March 2023
The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31st March 2023. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).
OBJECTIVES AND ACTIVITIES Objectives and aims
The objective of the charity is the advancement of the arts, especially contemporary visual arts, performance, music, drama, poetry, craft and media arts, by encouraging and facilitating public participation in the arts in Kingston upon Hull and regionally, nationally and internationally and advancing the education of the public in the appreciation and practice of the arts.
Significant activities
The principal activity of the charitable company is the advancement of the arts especially (but not exclusively) contemporary visual arts, music, drama, poetry, craft and media arts.
Public benefit
The trustees have had regard for the Charity Commission's public benefit guidance when exercising any powers or duties to which the guidance is relevant.
ACHIEVEMENT AND PERFORMANCE Charitable activities
The year 2022/23 was the first year of delivery for the charity, with a focus on projects aimed at communities, producing work in a range of settings and contexts as we transition out of the Creative People and Places Programme and into a new operational arts charity.
In this period, we prepared our application to the National Lottery Community fund for a three-year extension to our Bransholme Chat project and were notified of success in July 2022, with a new funding period commencing from September 1st 2023.
Additionally, we prepared our application to Arts Council England's next funding portfolio of investment 202326 and were notified of our success in October 2022, with a new funding period commencing from April 1st 2023.
We welcomed new trustees to our Board, as well as new team members. We delivered a high-quality programme of work and set foundations to embed our status as a locally relevant and nationally significant arts and cultural organisation.
We hope that through the following breakdown, you can get a sense of the breadth of our work and our achievements throughout the year.
Circus on Your Doorstep
Partnering with Lost in Translation Circus, we produced a week of circus activity in a green space on the Bransholme Estate for local residents, with 4x international touring companies staging world class work.

Shindig on Your Doorstep
We secured funding from the National Lottery Community fund to continue our Shindig on Your Doorstep project, first rolled out during Covid-19 lockdown. Over 150 boxes of afternoon tea, a DVD of entertainment and everything you need to have a party in your living room.
Jubilee Shindig
As part of the Circus on Your Doorstep programme, we staged a Queens Jubilee celebration for older people on the Bransholme Estate engaging 120 older residents in a world-class circus programme with an added Back to Ours twist.
Esmee Fairbairn Foundation
Continuing our excellent relationship with the Foundation, we were awarded a grant through their Funding Focus programme, to strengthen our capacity for income generation.
FINANCIAL REVIEW Financial position
Total income was for the year was £111,911 and total expenditure was £84,507, resulting in a net surplus for the year of £27,404. Total funds at 31st March 2023 are £49,168 comprising £17,719 unrestricted and £31,449 restricted.
Reserves policy
The Board of Trustees agreed to build unrestricted financial reserves to a level which covers twelve weeks of core operational costs and salaries. In addition, a designated reserve will be maintained for the level of potential redundancy payments for the full workforce. The reserves level will be monitored every quarter by the Board of Trustees and the policy and reserves target will be reviewed annually or whenever there are significant changes in staff hours or numbers.
STRUCTURE, GOVERNANCE AND MANAGEMENT Governing document
The charity is controlled by its governing document, the Memorandum and Articles of Association, and constitutes a limited company, limited by guarantee, as defined by Companies Act 2006.
Recruitment and appointment of new trustees
Trustees are recruited to our organisation based on skills, experience, and knowledge. The Board of Trustees conduct a regular skills audit, identifying strengths and weaknesses within the board. Open recruitment occurs to fill identified gaps for Trustee vacancies.
Trustees may at any time appoint additional Trustees, being persons who are considered able to contribute to the proper management and conduct of the business of the Charity and further its objects. Trustees shall be appointed for a three-year term of service at the end of which they shall normally retire from office, provided that the other Trustees may in the light of circumstances decide that an individual due for retirement should be appointed for a further three years. A Trustee who is due to retire shall automatically be re-appointed if otherwise, the number of Trustees would fall below three.
The Trustees shall seek to ensure that up to two of the Trustees shall be representatives of the community of Kingston upon Hull.

STRUCTURE, GOVERNANCE AND MANAGEMENT Organisational structure
The Board of Trustees, which shall have no less than three members but not subject to a maximum number, administers the charity. The Company Secretary may be a Trustee or a member of staff.
The full Board of Trustees meet at least 4 times a year and additionally in sub-committees, which meet quarterly.
The Chief Executive is appointed by the Trustees to manage the day-to-day operations of the charity and deliver the approved aims and objectives as detailed within the organisation's strategic documents. To facilitate effective operations, the Chief Executive has delegated authority, within terms of delegation approved by the Trustees, for the implementation of the strategic decisions at an operational level.
Induction and training of new trustees
All new Trustees receive a thorough and structured induction with the Chief Executive and Chair:

They are made aware of their legal responsibilities as a Charity Trustee and Company Director and are given access to a range of useful resources, such as the Charity Commission's new Trustee guidance.

They are introduced to our organisation and given information on our organisational priorities, including our business plan and associated action plans, and the papers from the last two board meetings.

They are invited to visit our work, meeting with our staff team, freelance artists and participants to understand and experience our work first-hand, and
-
They are offered a Trustee Mentor and invited to attend training relevant to their role.

Independent examiner's report to the trustees of Back to Ours Arts Limited ('the Company')
I report to the charity trustees on my examination of the accounts of the Company for the year ended 31st March 2023.
Responsibilities and basis of report
As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act').
Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act.
Independent examiner's statement
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:

accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or
-
the accounts do not accord with those records; or
-
the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or
-
the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)).
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 31st March 2023.
The members have not required the company to obtain an audit of its financial statements for the year ended 31st March 2023 in accordance with Section 476 of the Companies Act 2006.
The trustees acknowledge their responsibilities for

(a) ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006 and

(b) preparing financial statements which give a true and fair view of the state of affairs of the charitable company as at the end of each financial year and of its surplus or deficit for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company.

1. ACCOUNTING POLICIES
Basis of preparing the financial statements
The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.
Income
All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably.
Expenditure
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.
Taxation
The charity is exempt from corporation tax on its charitable activities.
Fund accounting
Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.
Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.
Further explanation of the nature and purpose of each fund is included in the notes to the financial statements.

NLCF - Shindig Project
This fund is for the Shindig on Your Doorstep project, first rolled out during COVID-19 lockdown, where over 150 boxes were distributed of afternoon tea, a DVD of entertainment and everything you need to have a party in your livingroom.
Esmee Fairbairn - Funding Plus
This fund is income received to strengthen the charity's income generation.
NLCF - Bransholme Chat
Bransholme Chat is a multi-functional space with the front room open for drop-in chat and the back room used for exhibitions, workshops, gigs, and even theatre shows.
Two Ridings Foundation
Funding for staff, circus, equipment, accessible portaloos and other support costs for a jubilee celebration event for older, isolated and other at-risk adults in a disadvantaged area of Hull.
North Bank Forum
This fund is money received under the Winter Warmth Community Grant scheme run by North Bank Forum, to extend warm spaces by providing activities, employ a befriending coordinator and distribute items.
10. RELATED PARTY DISCLOSURES
During the year a donation of £6,037 was received from Goodwin Development Trust (2022: £5,000 grant was awarded). Andrea Mennell, the Chair of Back to Ours Arts Limited during the year, is CEO of Goodwin Development Trust.
