l. Abe￿ele M¢n's Sh¢d (AMS) is a Foundation Charitabl¢
Incorporated Organisation (CIO) established on 31.
January 2022.
2. The objective of the CIO is "To promote social inclusion
for thepublic benefil ofmen living in the Abergele area,
in particular but nol exclusively, older men bypreventing
themfvm becoming socially exclz4ded assisling them lo
integrate into soclety ihrough the provision ofpremises
in which men can meeijointly or individually to

undertake Ihe share creative, social up7cI rec'realiop7al
activities.,
3. In preparing this report, the Trustees have taken due
regard for the guidance issued by the Charity
Conllnission on publi¢ benefit (Charities SORP- FRS
102).
4. The Trustees confmn that they have referred to the
guidance contained in the Charity Commission's general
guidance on public benefit when reviewing the charity's
aim and objectivities and in planning future activities.

5. AMS is an entirely voluntary organisation including
Trustees (who are the members) and volunteers.
Volunteers undertake to provide support for beneficiaries
in the community whilsL at th¢ same time, providing the
volunteers with a sense of purpose, social interaction,
teams work, physical and mental activity that will help
combat isolation.
6. From the start of the period until July 2023 the AMS
operation operated from rented premises at Si. Michael's
Hall, Groes Lwyd, Abergele. From August 2023 the
opeTating base moved to the Worsleywear UniL Tayna
Business ParL Abergele.
7. The ethos for the work undertaken is to upcycle and
recycle where ever possible. No charges are made for the
services provided but instead contributions are requested
to offset running costs.
8. The Charity does not wish to complete wtth local
business. It focuses on repair and upcycling services that
can benefit the communlty in a cost effective, non-
competitive manner.
9. Contributions can be Fn the forni of money, equipment or
materials. Money goes towards Tunning costs, such as
rent or materials that hav¢ to be purchased. Donated
equipment and materials are T£tained depending on their
suitability. Any funds raised from the sale of equipment
goes toward rutming costs. Retained materials are
upcycled or recycled and sold.
10. Some services are in the form of commissions from
external organisations who want to provide a ixnefit to
their community or members of theRr orgalltsatLOn.
Donations are accepted for commR5sions in lieu of
payment anl where possible, recycl¢d matcrial is U￿d.
I l. The number of active volunteers during the period

peaked at 35. The number is limited by opening hours {6
per week) and the availability ofequipment.
12. During the p¢riod 38 services were provid¢d ranging
from small repairs to larger commissions at an average
value of £93.60 per service.
13. A partnership arrang¢ment exists with Bryson
Recycling who undertake the recycling and waste
collection service to th¢ local authority. In effect, Bryson
Recycling, PTovid¢ materials that can be recycled by th¢
Men's Shed or which can enhance the services
undertaken. For example, waste wood, paint or compost.
14. Commissions have be¢n obtained from the local
TESCO SU￿rniarkct for the PTOViSiOll of seating or
planters that can be donated to local care homes or
situated in public spaces be the benefit of the whole
community.
15. During the period 2 major public consultation events
took place alongside several smaller events. The major
consultation events took place at the Hafodunos Hall
Spring Open Day, Llangernyw on the 20. May and
outside thc Tesco Superstore in Abergele over the 23°
and 24° June. On both occ&sions the events included the
Abcrgele and District She Shed. All the events
demonstrated overwhelming public support for the Men's
Shed and its work for the community.

17. The Trustees met on 8 occasions at roughly 6-week
intcrvals con]mencing December.
18. None of the Trustees received any payments or
accepted any expenses during the period.
19. Attempts to recruit a suitable fifth Trustee during th¢
period were unsuccessful.
20. A major focus for the Trustees was to improv¢ the
general gov¢rnan¢e of th¢ Charity and the follomryng
policies were adopted.

21. The Trustees also adopted a dynamic Corporate Risk
Regist¢r that is r¢vi¢wed at each of the Truste¢ meetings,
22. The Trustees forn)ed two $ll￿COmMItteeS involving the
volunteers. The Trustee representative on each of the
sub-committees was Paul Frost.

responsible to the Trust¢es for the day to day
operation of the charity and comprises a Chaimian,
Secretary and Treasurer foimed from the volunteers.
They meet on a monthly basis and have been
overseeing the developrnent of the 35: Market Street
project. Members of the sub-conllnittee attend
Trustees meetings in a non-voting capacity to rep)rt
progress.
This sub-
committee comprises the Management Sub-
committee. They established and oversee a work
place risk Tegister. 'They also review ongoing
working practices. The sub-committee meets at
three Monthly intervals.

30. AMS own a derelict building at Back 35 Market Street,
Abergele. Th¢ intention is to seek grant aid to renovate
the building as a pernianent base and as a community
hub. The building has planning consent as a Community
Hub.
31. Th¢ building is r¢gislered with the Land Registy in th¢
name of three of the Trustees. Th¢ building has planning
consent as a community hub and has undergone
structural and utility surveys to confirm it will be suitable
for purpose.
32. During the period a National Lottery People and Places
Development Grant (NLPPDG) was obtained amounting
to £26,136. The grant allowed project plans and detailed
costings to be drawn up for the 35, Market Street site.
33. DischatEing the NLPPDG was another major focus for
the Trustees with progress reports being made at each of
the fornial Trustee meetings.
34. During September 2023 the Development Grant was
completed and an application was made to the National
Lottery People and PLaces programm¢ for a Capital Grant
amounting to £499,996.00 (including VAT. contingency
and inflation allowances) to refurbish the Str￿ctUre of
Back 35 Market StreeL Abergele.
35. During the period four grants were r¢c¢ived. Two grants
were from government sources. one grant was from The
National Lottery and one grant was from a third-party
gTant giving Charity..

Str¢¢L Abergele as a community hub. This grant w&s a
precursor Éo making a Capital Grant application to the
National Lottery People and Places fund. The grant
conditions and f￿al payment were completed on 6.
September in the amount of £19,859.50 representing an
und¢rsp¢nd of £6,276.50 which was retained by the
Lottery.

in the amount of £499,996.00- the decision for
which is expected at the end of January 2024.

independent Ab¢rg¢le She Shed. The grant period ran
until November 30. 2023 so was still ongoing at the end
of the period.

towards rent alld website marketplace development. The
website development was slow to take place as delays
were met and eventually let down by the initial
developer. Subsequently, website d¢v¢lopment took
place at the end of the period and ultimately the site went
public at the beginning of November 2023.
40. During the period the charity appli¢d for and received a
VAT Exemption Certificafr from HMRC. This will allow
an application for VAT to be Teclain]ed over the past four
years on eligible items of expenditLEre.
41. The charity is eligible for discretionary counctl tax/ rate
relief for the Premises il occupies. How¢v¢r, as both
premises ll￿d duTing the period were shared. th¢ rental
negotiated was inclusive of rates and utilities.
42. During the p￿10d expenditure was £31,130.24 and
income, including grants, was £39,982.14 giving a
surplus of £8,851.90 for the 12-month period. As this is
the first full year of accounts, it is not possible to draw an
accurate comparison from previous years.

45. The major project for the forthwming year is to
develop the building at Back 35 Market Street. This is
subject to a grant allocation from the National Lottery
People and Places Capital programrne. Plans. ¢4)stings
and specifications were submitted at the end of
September 2023 and an outcome to the application is
expected at the end of January 2024. The time line for
the project to be completed is 12 months.
46. The National Lottery grant, if successful, only covers
the refurbishment of ihe Back 35 Market Streei building.
If the grant application is successful the intention is to
move all the Men's Shed equipment to the new building.
However, it will be necessary io seek equipment to fit out
elements of the building for which no suitable ¢quipment
is currently available. In line with the Charity's ethos of
r¢¢ycle and upcycle, consideration will be made over the
months to secure quality second hand equipmeTht.
Alternatively, grant funds will be sought where recycling
is not possible.
47. It is likely gr￿t funding for fitting out Back 35 Market
Street could require partnership funding from the
resources of the Men's Shed. Consequently, it will be
nec¢ssary to build a funding reserve. The best
opportlmity for this, at present, is to seek rent support for
the coming period thus allowing geneTal income to be
allocated to a building reserve fund.
48. In pursuit of raising income the Chartty will focus on
diversifying it income sollrc¢s. A major contributor to
this will be the development of a website for which a
grant has been obtained from the Foyle Foundation (para.
39). Development of this project is already under way
and scheduled to be completed at the beginning of tbe
next period. A quality website will raise the profile of the
Charity and what it offers; provide a sales platforni and
acl as a source of gaitLitkg increased membership.
49. During the period a She Shed was set up with assistance
from the Regional Integration Fund grant. Development

has been slow due to a number of f8Ctors including
suitable acc4)mmodiltion. the inability to secure a
separate bank account and engagement within the
organisation being limited to fcwer individuals than was
originally indicated through public demand. Meanwhile
the Men's Shed acts as bankers for the project. The
project will be pursued bearing in mind the grant period
ends in NovemberlDecember 2023.
50. As the Charity develops its Capital assets there is a
greater demand to Improve the organisations governance.
The tirst step will be to introduce a fornlal Trustee
Induction programme.
51. Worktng as a ¢harity with the objective to build
capacity within the local social sector: Initial
consideration has been given to undertake a Social Value
analysis involving Bry50n Recycling an<L perhaps, a
local Housing Association. Such a project would have
benefits to all parties. The Charity wants to be able to
measure and articulate the social value its work provides.
Bryson recycling has contra¢tual targets to meet
regarding physical recycling but no measure, nationally,
is made on the social value it creates in support of local
voluntary organisations. Such a measure would help to
promofr its business profkle. LoGal housing associations
are already involved with measuring the social value they
provide to their tenants, local community organisations
and have existing links with Bryson Recycling. This is
likely to be a longer-tenn project and consideration must
be made to the timely nature of ihis aspiration in the
current climate of chatvde faced by Abergele Men's Shed.
