# Our purpose is to **provide platform to entire Hindu community** within Sutton and surrounding area **to celebrate our culture together**

**Vision:** To promote the principles and common understandings of the 'Sanatan Hindu Dharma' among the members and society. 




**Establish a permanent Hindu temple** and place of Hindu cultural activities in Sutton

## 4.3 Trustees Governance and Coordination 


## Composition 

- 11 Trustees: Chairman, 2 Joint-Senior Trustees and Trustees 

## Tenure 

- 7 years maximum. 

## Trustee retirement/ removal 

- Promoter trustees **must retire in orderly and phased manner** between 5 to 7 years 

- Trustee **must step down at end of the 7 years tenure** 

- **2/3[rd] of the members** can propose removal of a trustee 

- **Trustees can be removed in the event of gross misconduct and negligence** towards SHCS’s vision and objectives 

## Key responsibilities 

- **Legally responsible** to ensure charity constitutions framework is adhered to.

## 4.4 SHCS Committee Governance and Coordination 


## Composition

## Tenure 

- No fixed term, subject to re-appointment each year 

## Key responsibilities 

- **Sign-up and follow SHCS code of conduct** 

- **Lead responsibilities to organise activities/ celebrations and activities.** 

- **Collaborate with other Committee members** to deliver SHCS activities. 

- **Mobilise volunteers and coordinate delivery** of activities/ celebrations and activities plans 

## New Committee member appointment 

- **All members are eligible** to be a member of the Committee 

## Committee member retirement/ removal 

- Committee member **must step down at end of the 5 years tenure** 

- **2/3[rd] of the trustees** can appoint or remove a committee member

- A member who is **selflessly committed towards SHCS visions, incl. temple and** actively involved over 18 months in SHCS activities of

   - **Influence positive outcomes** from volunteers and wider Hindu community

## **Sutton Post Office 3,175 sq.ft space** 

- This vacant property is being marketed by BNP Paribas Real Estate. 

- The Property provides **ground floor retail and ancillary accommodation and was available on a Long Leasehold for 999 years** 



## **Site on the left is in Woodmansterne area** 

- Banstead and Reigate council 

- The site was a green belt and surrounded by 

   - to seek planning permission.

- This **purpose-built place of worship of 5,135 sq.ft** is located in Wallington. 

- This vacant property had **4 halls, 2 kitchens and 5 Toilets to hold capacity of 25 to 150 people** in individual halls. 

   - The Property was viewed by the Trustees and was considered **deemed fit to meet SHCS’s requirements.** 

- 

The property was marketed at £1.05m and **trustees gave an offer of £900,000** (despite no deposit). 

- 

   - The property was acquired at £1.3 million by group of people from East Asia.

- This vacant property is marketed by Foxton auctions. 

- The Property **deemed fit to meet SHCS’s current requirements** and have significant scope of expansion. 

- The property was marketed at £750,000 and requires 10% deposit with the auctioneer to participate in the auction.

## 5.5 Temple Fund raising: Invest in SHCS Holding Ltd 


- **Members and Volunteers gets the legal right over property** through holding shares in the SHCS Holdings Limited. 

- **Reassured approach** for the members and volunteers as **the donations will go to buy an Asset only** and not used for expenses or any other purposes. 

- The memorandum of association of SHCS Holdings Limited **prescribes that own real estate will be leased to SHCS Charity only.** 

- **Given SHCS Holdings Limited and SHCS Charity are regulated by Company House and The Charity Commission,** both are managed as a separate entities with documented segregation of processes and **independently verified financial positions.**

## **The Trustees propose appointment of Manav Verma, currently a committee member, as the new trustee** 


## **Manav Verma** 

a Finance Director, originally from **New Delhi** , residing in **Cheam** for 7 years 

Manav Verma is a Chartered Accountant by profession with experience in the areas of corporate governance and finance strategies. 

## **Contribution to SHCS** 

Manav joined the SHCS membership in May 2020 and has been contributing to SHCS’s purposes and objectives since joining. Manav’s notably contribution includes 

- Enabling SHCS to operate as an institution and strengthen its operating model. 

- Promoting SHCS’s values and objective to establish temple. 

- Proactive to drive initiatives to organise SHCS calendar of activities. 

- Regular attendee to the weekly temple 

Manav’s professional background combined with passion towards SHCS’s purpose and vision, will play a fundamental role in driving SHCS towards its objective to establish temple in Sutton or surrounding area.

Note – SHCS trustees, committee and members agreed to form a SHCS Holdings company. Purpose of the SHCS holding was to invest money in the secure investments like Govt bonds and fixed deposits. For the financial year ended on 31-Mar-2024, SHCS transferred £5,500 to SHCS holdings Limited. SHCS Holdings Limited subsequently closed in 2024 and money was transferred back to SHCS charity Account.

I report to the trustees on my examination of the accounts of the **Sanatan Hindu Cultural Society** (the Trust) for the year ended 31 March 2024. 

## **Responsibilities and basis of report** 

As the charity trustees of the Trust you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (‘the Act’). 

I report in respect of my examination of the Trust’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act. 

## **Independent examiner’s statement** 

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect: 

1. accounting records were not kept in respect of the Trust as required by section 130 of the Act; or 

2. 2. the accounts do not accord with those records. 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.
