The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). ## **OBJECTIVES AND ACTIVITIES** ## **Objectives and aims** The objectives of the charity as set out in its governing document are to: - advance promote and further the conservation, protection and enhancement of wildlife and its habitats, woodland and other areas of natural beauty through the purchase of suitable land, creation and management of reserves. - further the charitable purpose as the trustees in their absolute discretion see fit. ## **Public benefit** In deciding on the activities of the charity, the trustees have had due regard to the Charity Commission guidance on public benefit. ## **ACHIEVEMENT AND PERFORMANCE** ## **Charitable activities** During the previous period, the charity took on the management of two woodlands which were transferred in from the Tottle Lifetime Trust No2. The woodlands managed by the charity are: Dale Top Wood- 6.5 acres of woodland in Troutsdale, North Yorkshire. Magerik Wood- 8.5 acres of woodland in Troutsdale, North Yorkshire. During 2024, the charity has erected a shelter within the Dale Top woodlands. The charity also investigated the purchase of another woodland area in Lincolnshire. Funding has now been obtained to enable the proposed purchase to move forward during 2025.The woodland provides broadleaf, hardwood and meadow land environment for different species to those provided at the charity's existing woodland. ## **Investment performance** During the period the charity received rents from its investment properties of £10,713 (2023: £10,471). ## **FINANCIAL REVIEW** ## **Reserves policy** The charity aims to have sufficient 'free reserves' in place to cover the cost of maintenance of the woodland and to cover running costs of the charity for 12 months. This is estimated to be around £7,500 when fully operational. At the year end there were unrestricted reserves of £433,125 (2023: £427,196) of which £412,769 was within fixed assets so the 'free reserves' of the charity were £20,356 (2023: £16,196). ## **FUTURE PLANS** The Trustees future plans are to raise and maintain additional capital funding, which is intended to be applied towards the purchase of additional woodland, wetland or meadowland. Now woodland has been identified and funding sourced, the trustees aim to move forward with the purchase within 2025 so that they may preserve and enhance wildlife within the area. ## **STRUCTURE, GOVERNANCE AND MANAGEMENT** ## **Governing document** The charity is controlled by its governing document, its constitution and constitutes a Charity Incorporated Organisation registered with the Charity Commission of England for England and Wales. Page 1 **The Tottle Woodland and Wildlife Charity** ## **Report of the Trustees for the Year Ended 31 December 2024** ## **STRUCTURE, GOVERNANCE AND MANAGEMENT Recruitment and appointment of new trustees** ## Process to Appoint Trustees The procedures for electing or appointing new trustees is set out in section 10 of the constitution: (1) Apart from the first charity trustees, every trustee must be appointed for a term of three years by a resolution passed at a properly convened meeting of the charity trustees. (2) In selecting individuals for appointment as charity trustees, the charity trustees must have regard to the skills, knowledge and experience needed for the effective administration of the CIO. ## Recruiting Trustees Appointments are made by agreement amongst existing trustees having regard to new trustees having the required expertise and experience. ## **Organisational structure** The charitable incorporated organisation is constituted under the foundation model where the trustees are its members. I report in respect of my examination of the Trust's accounts carried out under Section 145 of the Act and in carrying out my examination I have followed all applicable Directions given by the Charity Commission under Section 145(5)(b) of the Act. ## **Independent examiner's statement** I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect: 1. accounting records were not kept in respect of the Trust as required by Section 130 of the Act; or 2. the accounts do not accord with those records; or 3. the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination. LEGAL STATUS** The charity is a Charitable Incorporated Organisation registered with the Charity Commission of England and Wales. Details of the charity address and activities can be found within the Report of the Trustees. ## **2. ACCOUNTING POLICIES** ## **Basis of preparing the financial statements** The financial statements of the charity, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Charities Act 2011. The financial statements have been prepared under the historical cost convention. ## **Income** All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. ## **Expenditure** Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. ## **Tangible fixed assets** Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life. Fixtures and fittings - 20% on cost Depreciation is not provided on freehold and long-leasehold woods and land, which are considered to have a useful life of more than 50 years. ## **Investment property** Investment property is shown at most recent valuation. Any aggregate surplus or deficit arising from changes in fair value is recognised in the Statement of Financial Activities. ## **Taxation** The charity is exempt from tax on its charitable activities. ## **Fund accounting** Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes. Further explanation of the nature and purpose of each fund is included in the notes to the financial statements. ## **3.
