## **Structure Governance and Management** 

Carsington Sailability Trust (CST) is a Charitable Incorporated Organisation Association Model and was first registered on 6th December 2021. It succeeded an unincorporated organisation known as Carsington Sailability which transferred all its assets to CST before being closed. 

CST is managed by a board of Trustees for which there needs to be a minimum of five and a maximum of nine. 

New Trustees are appointed by a majority of the existing Trustees. 

The trustees have met at regular intervals in response to the need to make decisions and further the aims of the charity. As this was the first year of the charity's existence, no particular pattern was established but it is envisaged that quarterly meetings may be appropriate in future. 

## **Trustee Changes** 

It is with much sadness we have to report the death of John Meggitt, John was a long standing supporter of Sailability and a founding Trustee of CST. He also acted as treasurer. John resigned in July 2022 after a period of illness and he passed away in early 2023. The Trustees would like to acknowledge John's major contribution to Sailability at Carsington and to his role as treasurer both to the preceding organisation and to the new charity. 



Kate Chamberlain accepted our invitation to join the Trustees in November 2022. 

## **Objectives and Activities of Carsington Sailability Trust** 

The object of the CIO is to provide and assist in the provision of water based activities at Carsington and the surrounding area for people with disabilities and mental health conditions in the interests of social welfare and with the object of improving the conditions of their life. 

## **Background** 

Sailability has been operating at Carsington Sailing Club for many years and until recently was run and funded by an unincorporated body called Carsington Sailability. It operated separately from the Sailing Club but was able to use the club's facilities. In 2021, this structure was reviewed and the operations of Sailability became part of the Carsington Sailing Club. At the same time a new charity was formed, Carsington Sailability Trust which took over all the assets of Sailability including boats, ancilliary safety equipment, jetty, hoists and cash reserves. 

In practice, this means that the Sailability section of Carsington Sailing Club will run the operations of Sailability whilst CST will operate as an independent charity that funds the operations.

## **Activities of the Trust** 

The funding needs of Sailability are twofold, Firstly there is an ongoing need for maintenance and repair of boats and ancillary equipment. For instance, in the last year, we have had to replace an outboard engine Secondly there are plans to expand the operations that necessitate the acquisition of new boats and equipment. The Trust has agreed that it will support the purchase of a new or second hand Venture Keel. 

The trustees have put in place financial controls that requires the operational arm to obtain financial approval from the trustees for all but minor items of expenditure. 

## **Achievements and Performance** 

## **Highlights of Sailability Activities in 2022** 

The Trust is proud to have been able to support the following achievements of Sailability at Carsington in 2022. 

Supported regular sailing by 28 disabled sailors Hosted the 2022 National Hansa Championships 



Enabled 111 visitors with a range of disabilities to try sailing from various groups, including local Parkinson’s and Stroke support groups, national MS support group Oceans of Hope and youth groups from Derbyshire and Nottingham hospitals. 

The support provided comprises financial contributions to the running costs of the operations of sailability. These include maintenance and repair of boats and ancillary equipment. Of particular note was the replacement of the outboard motor for a support craft. Additionally, there were costs associated with inspection, testing and maintenance of the main jetty and hoists. 

Enabling disabled people to go sailing has enormous positive benefits for the personal wellbeing and mental health. 

## **Charities Commission Guidance on Public Benefit** 

The Trustees confirm that they have had regard to the Charity Commission’s guidance on public benefit. 

## **Financial Review** 

This was the first year of the charity. At the time of its formation, there was a notional transfer of funds from Carsington Sailability of 5019.06. Due to the illness and subsequent resignation of the then treasurer, it took some eight months for a new bank account to be opened. It was then possible to transfer in the closing balance of £4,078.46 from Carsington Sailability, the predecessor to CST. 

CST received a further total of £8,762 in donations. Donations were received from Harley Jae Foundation (£3,513), A. Whitehouse - bungee jump (£1,238.38), Windmill Property Investments (£500), Rotary (£2,000) and Breedon Cement (£500). Most of the other donations were from visiting disabled groups who are asked for £12 per person per visit. 

There were three significant items of expenditure, a new outboard motor (£5,882.47) and Hoists repairs and service (£400) and finally in March, an opportunity arose to purchas a second hand Venture Keel for £8,000 with £4,500 being paid immediately and the balance due by the end of 2023. 

Other expenditure totalled £1,181. 

The closing balance as at 31/3/23 was £1,960 

CST holds no funds as cash. 

CST owns numerous boats and associated equipment which have a significant capital value. The lack of a treasurer has meant that a proper balance sheet has not been produced. We are confident that a new treasurer will be appointed and that this matter will be dealt with during the 2023 financial year. 

## **Policy for Holding Reserves** 

The charity currently has no policy for holding reserves. However a policy will be agreed during the current financial year

## **Depreciation Policy** 

All non-monetary assets were donated to the Trust on 6 December 2021. No value was assigned to the assets at that time. At the reference date, each asset was assigned an estimated market value which is reported above as “Value at year end”. 

A depreciation policy will be agreed by the Trustees and applied to the accounts ending 31 March 2024 

## **Risks and Reserves Policy** 

The Trust’s sole commitment is to repair and maintain the existing assets of boats, engine and safety equipment. A minimum of £1,000 should be kept in reserve for unexpected maintenance costs. All other costs such as rent and insurance are paid for by Carsington Sailing Club
