The Trustees present their report and the financial statements for the period ended 31 March 2024. They are satisfied that the financial statements comply with the requirements of the Charities Act 2011, the trust Deed as described below and the recommendations of the Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102).

Chair’s Introduction

This is the second Trustees Report and Accounts for National Trails UK covering the period 1[st] April 2023 to 31 March 2024.

Firstly, I’d like to recognise the work of Paul Hamblin who sadly passed away in September 2023. Paul joined the charity as a Trustee in 2022. He was a dynamic member of the Board during the charity’s pivotal establishment period. His insight and strategic vision will be missed by all, and his work leaves a significant positive legacy.

Over the year we recruited two new Trustees, Andrew Wang and Sue Morgan, to complete gaps identified in our skills matrix.

In our first year, Trustees had focussed on establishing policies and procedures, setting a governance framework and engaging with members and wider stakeholders. Over this reporting period the charity started the transition from an executive board to a governance board having oversight of, and delegating work to, a team. Our CEO took up post in February 2023, and we recruited an Impact Fundraiser and Policy and Research Officer in the first half of the year.

Following the Glover Review of Protected Landscapes, National Trails UK played an active role in the establishment of an English Protected Landscapes Partnership with the National Landscapes Association, National Parks England and Natural England. Defra supported the Partnership with an establishment grant in 2023 to deliver nature recovery and improve equity of access across the protected landscapes. To support the programme, we recruited a Nature Recovery Co-ordinator, Coastal Wildbelt Officer and Communications Manager.

National Trails across the UK continued to engage with the Board through the Advisory Council which met quarterly. We engaged with government in Westminster, Holyrood and the Senedd to promote the public benefits of National Trails and champion their continued funding.

In May 23 the Secretary of State announced the renaming of the King Charles III England Coast Path (KCIIIECP) to mark the coronation of King Charles III, stating that the new coastal National Trail would be walkable by the end of 2024. Our Coast Path Forum gave an opportunity for existing coastal National Trails and new Trail Partnerships to share knowledge and experience to help in the development of the KCIIIECP.

National Trails UK is the independent champion of the UK’s designated National Trails, an inspirational network of long-distance routes that provides a gateway to the UK’s spectacular landscapes, amazing wildlife and unique heritage. We strengthen, advocate and inspire on behalf of National Trails, so everyone can connect to nature and experience the great outdoors.

Vision: National Trails are highly valued and used by everyone.

Mission: We will strengthen the UK’s National Trails so they can sustainably deliver more for people and nature, advocate on their behalf, and inspire more people to use them as a gateway to the great outdoors.

The charities objectives are to:

National Trails UK delivers its charitable objects through advocacy, liaising with government and working with relevant departments on long-term policy and strategy for the National Trails. The charity raises funds in support of its objectives, enabling information exchange and learning opportunities for members and will market and promote the National Trails for the benefit of all.

The work of National Trails UK helps ensure that our National Trails are highly valued, and used, by everyone. To achieve this we strengthen the UK’s National Trails so they can sustainably deliver more for people and nature, advocate on their behalf, and inspire more people to use them as a gateway to the great outdoors.

Our work provides public benefits by:

Achievements and performance

This year saw the transition of the charity as we employed a team to deliver our ambitious work programme. Following the successful recruitment of our CEO, who started in February 2023, we recruited an Impact Fundraiser and Policy and Research Advisor in the first quarter of 2023/4.

An away day was convened with the Trustees and team at Balmaha along the West Highland Way National Trail in September ’23. The meeting was hosted by the Loch Lomond National Park. A key focus of the event was to bring Trustees and the new team together to develop the charity’s strategy. As a membership organisation we have developed a strategy to help amplify the work of National Trails and the public benefits the trails provide. The strategy is based on three pillars to Strengthen, Advocate and Inspire, while building Organisational Resilience

Working with design studio Xforwhy we developed a new visual identify to support our brand. The web site nationaltrails.uk was updated along with our social media channels to help raise awareness of the work of the charity and the wider positive impact of National Trails.

In order to make a lasting impact for the National Trails and those who use them, we must ensure that National Trails UK is a resilient organisation. As a relatively new charity, securing sustainable funding remained a key priority. Defra continued to support the establishment of National Trails UK through a £80,000 grant with match-funding from membership fees and wider fundraising.

A number of fundraising bids were developed over the year including a successful National Heritage Lottery resilience bid for £9,000 and £2,000 grant from the Chapman Charity Trust. Membership fees based on trail-length were agreed with the Advisory Council, subsequently raising £26,000 and meeting our target. Event income of £4,000 was received in advance of the NTUK Summit in May ’24.

National Trails UK continued to work to improve the long-term coordination and sustainability of the National Trails. We have had the first meetings of the NTUK Fundraising Special Interest Group, which has received very positive feedback.

Regular meetings with Natural England, Natural Resources Wales and NatureScot were held to help ensure a strong voice for the National Trails across the UK. Discussions focussed on policy issues impacting National Trails and maximising their impact. Likewise, updates were given to the English, Scottish and Welsh National Trail Officers.

We worked with Natural England to standardise the data collected on National Trails, coinciding with work on the review of the funding formula for National Trails. We also commissioned scoping work to support future research in to the health and wellbeing value of National Trails.

The Advisory Council met four times over the year providing an opportunity for all 20 UK National Trails to raise issues with the charity’s Trustees and team. The Coast Path Forum also met quarterly and reported to the Advisory Council. The Forum published and disseminated a report on Safety Management for UK Coastal Trails. A National Trails Summit was planned for May ’24 to be combined with our AGM and a meeting of the National Trail Officers.

Protected Landscapes Partnership

National Trails UK formally entered into a partnership with the National Landscapes Association, National Parks England and Natural England. The English Protected Landscapes Partnership (PLP) was supported through a Defra grant to deliver nature recovery and improved equity of access across our National Parks, Landscapes and Trails. Each of the four partners led on different activities to deliver a two-year business plan running to March 2025. The value of the Defra grant to NTUK in FY 2023/4 was £324,000.

To help deliver nature recovery along trail corridors, National Trails UK recruited a Nature Recovery Co-ordinator and Coastal Wildbelt Officer. As part of this work we developed a National Trails nature recovery map, toolkit, case study videos, and established a special interest group to develop more nature recovery capacity across the National Trail network. We also inputted to a Defra 30by30 Stakeholder Working Group, Protected Landscapes Outcomes Framework and Local Nature Recovery Strategy Stakeholder Engagement Group. The Coastal Wildbelt project set up pilots in the NE and SW to develop proof of concept of using the KCIIECP coastal margin with new open access rights for improving access to nature.

The PLP’s work in improving equity, diversity and inclusion was supported by the charity including recruiting and hosting a Communications Manager on behalf of the Partnership. A training programme for protected landscape staff was delivered regionally over the year working with Dhalech Associates to ensure there is a good base level knowledge and understanding of EDI. NTUK commissioned research looking at accessibility of information and the language of access. Bamm Global was commissioned to carry out an ethnographic research project focussing on underrepresented young people living close to protected landscapes. Scope was appointed to deliver an audit of website accessibility across selected protected landscapes, and training for communications staff

Financial Review

The net income for the period is £204,656. Further details are shown in the Statement of Financial Activities on page 15.

The charity has restricted funds at 31 March 2024 of £295,728 and unrestricted funds of £73,820.

Reserves policy

The Trustees actively monitor the charity’s free reserves and continue to focus on increasing the level of these reserves whenever circumstances allow. Our Reserves Policy is set at six month’s of operating costs and this was met as 31[st] March 2024.

Risk management

The Trustees have identified any major risks facing the charity and taken such steps as they can to mitigate them. The principal risks, based on likelihood and impact, faced by the Charity over the reporting period were:

Trustees manage these risks by recording them in a Register and defining a set of activities to reduce, manage or mitigate the risk were it to be realised. Trustees regularly review these activities to ensure the Charity is appropriately prepared.

The Trustees are satisfied that National Trails UK remains a going concern.

Plans for the future

National Trails UK developed a Business Plan to drive its work over the establishment of the charity. The charity has developed a strategy with a clear mission and vision on how it can give a stronger voice for National Trails, including:

Structure, Governance and Management

National Trails UK is a Charitable Incorporated Organisation (CIO) governed by its Constitution approved on 26th November 2021. It is registered as a Charity with the Charity Commission.

Related Parties

None of the Trustees receive remuneration or other benefit from their work with the Charity. Trustees are required to complete an annual Declaration of Interests as well as to state any conflicts of interest before the start of each Board meeting. Trustees are also required to pass the HMRC “fit and proper” test as the Charity makes claims for tax relief.

National Trails UK works in partnership with a number of organisations to deliver its charitable objectives.

Organisation

The Board of Trustees held monthly formal meetings virtually or in person. The Board has established and monitors the overall governance of the Charity and determines membership, terms of reference and procedures of committees and other groups. It receives reports and recommendations from its committees for ratification. All Trustees have access to the minutes of committees allowing scrutiny of their discussions and

activities. A Finance Committee was established, chaired by the Treasurer and reporting back to the Board. The Board has the power to create working groups to perform specific tasks over a limited timescale.

The following decisions are reserved to the Board of Trustees: to consider any proposals for changes to the status or constitution of the Charity and its committee structure, to appoint or remove the Chair and/or Vice Chair, to approve the budget, to approve changes to membership subscription rates. The Trustees are responsible for setting general policy, adopting a Business Plan and budget, approving the statutory accounts, monitoring Charity performance with the use of budgets and other data, evaluating and mitigating risks, and making major decisions about the direction of the Charity, capital expenditure and resources.

A suite of policies and procedures were developed or revised and adopted over the reporting period including:

General policies and procedures were developed or updated and approved by the Board over the year to ensure sound governance of the charity and included: Complaints; Data Protection; Ethical Fundraising; Fundraising Promise; IT Security; Vulnerable Supporters. To support the establishment of the new team, appropriate HR policies and procedures were developed and adopted including: Adoption Leave; Disciplinary; Flexible Working; Grievance; Maternity; Paternity; Parental Leave; Performance Management; Sickness and Whistle-Blowing.

The Board of Trustees is supported by an Advisory Council which has representation from all UK National Trails. A Coast Path Forum supports emerging National Trail Partnerships along the KCIIIECP and coordinates a strategic approach for the management and promotion of coastal National Trails.

Appointment of Trustees

The management of the charity is the responsibility of the Trustees who are elected and co-opted under the terms of the Constitution. One third of the Trustees retire or seek renomination each year at the AGM, based on the length of service. Trustees serve a threeyear term and can serve for a maximum of three terms. Members elect new and renominated Trustees at the AGM. The procedure governing this process is set out in the Constitution and Rules.

Officers (Chair, Vice Chair, Hon Secretary and Treasurer) are elected by the Trustees at the first meeting of the Board of Trustees following AGM.

A maximum of eleven Trustees are permitted under the current Constitution. Trustees may co-opt additional Trustees between AGMs, so long as the total does not exceed eleven. A Trustee recruitment working group reviewed the Trustees diversity and skills matrix and advised on skills gaps within the Board.

An AGM was held at the end of March 2023 with three Trustees successfully renominated: Andy Gattiker, Julian Gray and Simon Kearey. Following a review of the Trustee Skills Matrix, a recruitment process was started in April, resulting in the co-option of two new Trustees in September 2023. Sue Morgan and Andrew Wang were subsequently nominated as Trustees and approved by the membership at the following AGM in May 2024.

In September the tragic loss of Trustee Paul Hamblin impacted the charity and efforts are underway to ensure his legacy is properly recognised.

Trustees’ Responsibilities

The charity Trustees are responsible for preparing a Trustees’ annual report and financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice). In preparing the financial statements, the trustees are required to:-

I report to the trustees on my examination of the accounts of National Trails UK for the period ended 31 March 2024.

Responsibilities and basis of report

As the trustees of the charity you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (‘the Act’).

I report in respect of my examination of the Trust’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.

Independent examiner’s statement

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

  1. accounting records were not kept in respect of the Trust as required by section 130 of the Act; or

  2. the accounts do not accord with those records; or

  3. the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a ‘true and fair view which is not a matter considered as part of an independent examination.

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

1. Accounting Policies

The principal accounting policies adopted, judgements and key sources of estimation uncertainty in the preparation of the financial statements are as follows:

a. General information

b. Basis of preparation

The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities

preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)) – (Charities SORP (FRS 102)), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102).

The financial statements have been prepared to give a 'true and fair' view and have departed from the Charities (Accounts and Reports) regulations 2008 only to the extent required to provide a 'true and fair view'. This departure has involved following Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102) rather than the Accounting and Reporting by Charities: Statement of Recommended Practice effective from 1 April 2005 which has been withdrawn.

National Trails meets the definition of a public benefit entity under FRS 102.

The Trustees believe there are no material uncertainties over the charity’s activities being able to continue for the foreseeable future. The financial statements have therefore been prepared on a going concern basis.

The financial statements include the transactions, assets and liabilities of these accounts.

c. Income recognition

All income is recognised when the charity is legally entitled to the income and the amount can be quantified with reasonable accuracy. The following specific policies are applied to particular categories of income:

Income from Charitable Activities where entitlement is not conditional on the delivery of a specific performance by the charity are recognised when the charity becomes unconditionally entitled to the grant.

4. Staff

Included in the accounts are wages and costs of £136,804 (2023 - £37,906).

The average number of employees in the year was 3 (2023 – 1).

No employee received emoluments exceeding £60,000 p.a. The Trustees received no remuneration during the year.

The trustee consider key management personnel of the charity to be the trustees and the administrative and management staff, their aggregate remuneration is £50,000.

The Trust’s share of Employer National Insurance contributions amounted to £12,614 (2023 - £2,460).

Included in wage costs is a provision for pension contributions of £1,185 (2023 - £2,094).
