## Foreword by the Chair of Arts4Wokingham 

It is my great pleasure to present the first Annual Report for Arts4Wokingham, a Charitable Incorporated Organisation. 

The report looks back on the Charity’s first year, a challenging period which saw the UK coming out of the tail end of the Covid 19 pandemic, an economic downturn and war in the Ukraine. Just as all of this uncertainty has been going on, Arts4Wokingham Trustees and volunteers came together to form a new and an exciting charity to advance arts and culture, access to opportunities in this sector and place making within the borough of Wokingham. 

There continues to be uncertainty ahead. However, my fellow Trustees go forward with confidence and are proud to be associated with this new and ambitious charity dedicated to arts and culture and committed to enhanced opportunities. 

In closing, I would like to thank all of our Trustees, volunteers, patrons and sponsors for their incredible support and dedication in helping us get this new organization not only off the starting block, but well and truly underway towards a bright future.

The Trustees presents their Annual Report together with the Examined Accounts for the year ended 31[st] December 2022. This report serves as the Trustees’ report under charitable law for Charitable Incorporated Organisations (CIO) and has been prepared following the Charities Act 2011 and the Charities Commission guidance. 

## Structure, Management and Governance 

## Reference and administrative details 

Arts4Wokingham ('the Charity') is a Charitable Incorporated Organistation (CIO), registered with the Charity Commission in 2021. Our Charity number is 1196646. 

## Appointment of Trustees 

The Charity is governed by a Board of Trustees. Apart from the founding Trustees, every Trustee must be appointed by election to the Board at Formal Board Meetings for a term of 4 years. Trustees are eligible for re-election. None of the Trustees has any beneficial interest in the Charity. 

## Induction and training of Trustees 

Potential Trustees are selected on the basis of their personal and professional qualities, commitment and familiarity with the issues involved with running a charity such as A4W. New Trustees are made familiar with the Charity’s vision, operations and goals by dialogue with existing personnel and literature pertaining to the Charity’s activities. 

Upon election, Trustees are provided with a copy of the Charity’s constitution and Charity Commission guidance material for Charity Trustees. The Charity organises regular Trustee training initiatives and signposts Trustees to other appropriate training opportunities as they arise. All new Trustees submit a Declarations of Interest form, which all Trustees renew annually or more often if necessary. 

## Organisational Structure 

The Charity’s Trustees are responsible for the general management and controls of the Charity. The day-to-day operational jobs and responsibilities are delegated to working groups and individuals to ensure the effectiveness and smooth running of the organisation. All major strategic, governance and structural changes are presented to the Board of Trustees for approval.

## Policies 

## Risk Management Policy 

The Board of Trustees has assessed the major risks to which the Charity is exposed, in particular those related to the operations and finances of the Charity, and are satisfied that measures, procedures and policies are in place to mitigate our exposure to major risks. 

## Reserves Policy 

As this Charity is in its first year, the Trustees have not set a Reserves Policy. However, through our Risk Management Policy there is mitigation for this by means of holding three months of funds should it be necessary to wind down the Charity. A Reserves Policy will be developed in year 2, with due regard to good practice, the current economic circumstances and lessons learnt from the COVID -19 pandemic . 

## Investment Policy 

The Charity currenty does not hold any investments. The Trustees will develop and adopt a policy should they decide that in the future the Charity should look to hold investments, securities or properties. 

## Safeguarding Policy 

The Charity has developed and adopted a Safeguarding policy.

## Objectives, Activities and Performance 

## Objectives of the Charity 

The object of the CIO is the advancing of arts and culture for public benefit to the residents of the Borough of Wokingham, in particular but not exclusively by the creation of projects that support: (a) the enhancement of cultural identity and place-making (b) the advancement of opportunities for all people within arts and culture and (c) the promotion of access to arts and culture. 

## Main activities undertaken to further the Charity's purposes for the public benefit 

In the very short time that Trustees and our volunteers have been together working as Arts4Wokingham, an operational charity has been formed with a clear vision, good and accessible governance, and a landmark project to ignite the community behind the Charity. 

The Trustees have been determined from the start that they would identify an initial ambitious project to demonstrate the scale of what can be achieved with the community that we serve, by means of this new organisation. This will be a landmark piece of public art to sit in a prime location in Wokingham that is truly accessible to all, to engage the greatest number of beneficiaries. Most of the work in the last year has, therefore, been focused on identifying the artist and raising funding to enable A4W to commission this work, as well as delivering on our wider CIO objectives. 

After an extensive search with targeted advertising over 65 artists from across the globe applied for this commission. The Charity used a rigorous selection process, which involved the setting of specific parameters designed to meet A4W’s criteria, including accessibility, inclusiveness, sustainability and the ability to engage and benefit the community. The internationally acclaimed artist, Nicola Anthony was selected for her proposal of a series of stainless steel arches called The Arc. These four steel arches will be pierced with word poems derived from community workshops and interviews. The budget agreed was £200,000. Funding A4W and this commission has been the major focus this year. 

This year the Charity’s fundraising campaign has three main objectives, to promote awareness of A4W, raise the significant funds necessary to deliver our objectives and establish a charity which is able to deliver positive impact and benefit to our community. To this end, even though we are still in our infancy, we have facilitated free and accessible arts and cultural events within the borough including workshops, dance classes, an art exhibition and talks.

Greater awareness is happening not only with an exciting range of activities but also through broadcast interviews on TV and radio, regular press articles locally, and our presence at a range of public events during the year. Leaflets are also distributed continuously to encourage donations. To support the ongoing success of our events and fundraising campaign we have established a successful social media presence, exciting branding and a newly sponsored website development. It has been a busy and exciting time for the first full year. 

## Financial Review 

The Charity’s Fundraising Strategy has been developed and tested over the last year focusing on three main areas; grant giving bodies, sponsorships from business and donations from individuals in the community. This year, £29K has been raised with pledges of a further £31K, which, whilst a tremendous success in the first year, is less than had been budgeted. Again, this is certainly due to the very difficult economic environment, driven by the war in the Ukraine, that has developed since the initial targets were set. Although the Trustees are still optimistic, the timeline for achieving our targets has had to be revised and extended to account for these new circumstances. 

Going into our next financial year, there is little change in the difficult economic environment. Fundraising continues to be our primary focus to enable us to continue to deliver our vision. The Trustees continue to be optimistic, attract new Trustees and volunteers and garner support from local business, partners and individuals who support the vision of the Charity. 

Ideas and other potential projects are being developed for other parts of Wokingham Borough to encourage and support public arts and to improve the environment in which their community lives; this is at the core of A4W’s vision. 

Our team of volunteers and Trustees look forward to a productive, if challenging, year ahead.

## Plans for future development 

As a new charity, Arts4Wokingham Trustees are conscious that the success of the Charity depends on effective fundraising campaigns and activities, raising greater awareness of the Charity and building an enthusiastic pool of volunteers and supporters. 

Trustees continue to look for further opportunities to raise the profile of Arts4Wokingham, generate new sources of income in line with our Fundraising Strategy and seek new projects that align with our vision for Arts4Wokingham. We continue to work on the recruitment and retention of new volunteers as well as Trustees. 

The Charity has developed strong links with the local authority, local charities and partners, including The Wokingham Arts and Cultural Alliance. Over the next financial year Trustees plan to deliver greater positive impact for our community through events, exhibitions and the provision of positive opportunities and benefits for our community that can be garnered from arts and culture via our Charity and its related platforms.

During the year no Trustee received any remuneration. During the year, no Trustee received any benefits in kind. During the year no Trustee received any reimbursement of expenses.

The charity employ no staff. 

## Related party transactions 

There were no related party transactions in the year. 

## Independent Examiner’s remuneration 

The Independent Examiner’s remuneration amounts to a fee of £360 for the Examination of the Chairity’s accounts.

Gift Aid relating to this financial year has not been claimed, therefore it does not show on these accounts.
