The directors are pleased to submit their Annual Report and Financial Statements of the charity for the year ended 31 May 2025. Leek Hockey Club Limited is registered charity governed by a constitution. The financial statements have been prepared in accordance with the accounting policies set out in note 1 to the accounts and comply with the charity’s constitution, the Charities Act 2011 and Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the financial reporting Standard FRS 102 applicable in the UK and Republic of Ireland (effective 1 January 2021). 

## **OBJECTIVES AND AIMS** 

Under the Club’s status as a charitable company, its objects are specifically restricted to _‘the promotion of community participation in healthy recreation for the public benefit in Staffordshire through the provision of facilities to enable participation in the sport of amateur hockey’._ For the purpose of the objects clause, ‘facilities’ means land, buildings, equipment, access to coaching and organising sporting activities. 

The governance and operational structure of the charitable company is organised to fulfil and maximise its objectives. In this respect the main activities can be summarised as follows: 

1. The development and maintenance of assets. This includes the clubhouse and synthetic pitch facility. 

2. Operational activities to generate income through the wholly owned subsidiary of Leek Hockey Club (Trading) Limited. 

3. Generate income from member activity, for example membership subscriptions and match fees. 

4. Fundraising activity to support the aims of the Club, and other related charitable organisations. 

5. To organise and develop the playing of hockey for all ages and genders, including coaching development. 

6. To make available facilities of the Club to community organisations. 

## **DIRECTORS** 

Mrs S Hooper and Mr G Pointon resigned as Directors on the 16[th] September, 2024. Mr R Povey was appointed as a Director and Company Secretary on the 16[th] September, 2024 Mr M Burnett was appointed as Facilities Director on 16[th] September, 2024

The directors have complied with the duty in section 4 of the 2006 Act to have due regard to public benefit guidance published by the Charity Commission.

## **A REVIEW OF OUR ACHIEVEMENTS AND PERFORMANCE: CHARITABLE ACTIVITIES** 

As will be noted in other sections of this report Leek Hockey Club Limited as a charitable company limited by guarantee without share capital, is not a ‘new start up organisation’, having been in existence as an unincorporated body from 1922 to 2022. The achievements and performance in this section are therefore monitored through the transition of incorporation. 

## **Membership & Teams** 

Membership numbers decreased slightly during the year to 278 across all categories (2024: 286). 

The strength of membership is reflected in the number of teams the Club operates: 

Men’s teams: 6 

Ladies’ teams: 4 

Badger’s junior teams (Boys & Girls): 2 

Junior teams (Boys & Girls): U8, U10, U12, U14, U16, U18 

For reference a hockey team consists of a minimum of 11 players, other than junior U8, U10, U12 which is a minimum of 7 players. 

Nb. Under England Hockey regulations (the National Governing Body) Men’s and Ladies teams can include any person over the age of 13. 

To supplement this participation coaching expenditure of £16,511 (2024: £17,463) was allocated to the continued development of all ages and genders. This included a number of ‘open’ sessions available to nonmembers. 

## **Hockey Achievements** 

The continued successful development of Leek Hockey Club Ltd is reflected in its hockey achievements during the 2024/25 season: 

1. Men’s 1[st] team Champions of Midlands Premier Division, resulting in promotion to the England Hockey National League. 

2. Ladies’ 1[st] team Champions of Midlands Division 2 West, resulting in promotion to Midlands Division 1. 

3. Men’s 3[rd] team Champions of Midlands Division 7 North West, resulting in promotion to Midlands Division 6 North West 

## **Trading Subsidiary** 

Leek Hockey Club (Trading) Limited, a wholly owned subsidiary, contributed through corporate gift aid a donation of £13,972 (2024: £10,000) during the year. 

Turnover from the clubhouse bar and synthetic pitch hire revenue totalled £26,203 (2024: £22,417). 

The trading company performance is challenged by two risks: 

1. A neighbouring comparable facility affecting community use of the synthetic pitch. 

2. A reduction in members using clubhouse social facilities.

The subsidiary company Board of Directors and the Management Committee of the parent company are working in partnership to risk manage items 1 and 2 above, and it should be noted that turnover has increased by nearly 17% on the 2024 figures. 

## **Facility Development & Allocation of Financial Reserves** 

Facility Development is a key pillar to achieving the aims and objectives of Leek Hockey Club Ltd, together with the three pillars of the financial reserves policy: 

1. The company is in year 5 of a 10-year cycle to increase reserves to cover synthetic pitch refurbishment, and during this financial year the Board of Directors has increased the reserve to £175,000 (2024: 150,000). 2. £25,000 has been allocated to cover any deficit cashflow or budget shortfall during the next financial year. 3.£75,000 has been reserved for Clubhouse redevelopment. 

The Management Committee, with the authorisation of the Board of Directors, has continued to refurbish the roof and front facia of the Clubhouse. 

The Board of Directors is confident that the current level of reserves is above that planned but continues to monitor the financial reserves. 

## **Facility Risk Assessment** 

As stated in the 2024 report in 2005 Leek Hockey Club (unincorporated) entered into a 30-year lease agreement with Staffordshire County Council for 1.5 acres of land owned by Staffordshire Council at Leek High School. This is the site of Leek Hockey Club’s Synthetic Pitch Facility. 

The Board of Directors has been mindful that with the expiry date of the lease being 2035, and the fact that Staffordshire County Council transferred the assets and operation of Leek High School to ‘The Talentum Learning Trust’ in 2016, it would be appropriate to contact the Trust with 10 years remaining to potentially enter into negotiations to renew or extend the lease. 

The 2026 Directors Report will detail any progress if the Trust agrees to these negotiations. 

## **Charitable activity** 

The fundraising activities of the company are focused on its aims and objectives; however, the Board of Directors is mindful of its wider role in the local community. 

The members of the company support local charitable organisations during each year through Leek Hockey Club organised events, and a proportion of member donations are made through on-line funding sites which do not go through the company’s accounting systems. Consequently, the donations raised for charitable organisations by Leek Hockey Club Ltd are understated. 

The Board of Directors is currently formulating a Charities Policy to ensure the hard work of members in raising funds for charities, including gift aid benefits for which the company is registered with HMRC, is recognised in full.

For financial year ending 2025 members of the company raised £10,551 for ‘Alice’s Bed Appeal’ (University Hospital of North Midlands Charity) to purchase a specialist paediatric bed. A shortage of this equipment was highlighted by a member and his wife who spend a considerable amount of time in hospital during the year with their daughter, Alice. 

## **General Performance Review** 

The Board of Directors use financial indicators through budgetary control to measure overall financial performance on an annual basis. 

In addition to the financial indicators and the 10-year facility cycle, a medium-term strategy (3-years) is currently in its first year. 

## **STRUCTURE, GOVERNANCE AND MANAGEMENT: GOVERNING DOCUMENT** 

## **Legal Information** 

The charity was registered with the Charity Commission on the 12th of March 2021. Its charity number is 1196105.

## **Historical Governance** 

The historical governance of Leek Hockey Club (unincorporated) was covered in both the 2023 and 2024 annual reports and can be used as a reference. It is not the intention of the Board of Directors to repeat this documented information. 

## **Governance** 

This is the third annual report since incorporation of Leek Hockey Club Limited which is a charitable company limited by guarantee without share capital (13263316, registered on 12[th] March, 2021), and registered with the Charities Commission (Charity Number: 1196105). 

The Company was established under a Memorandum of Association, which established the objectives and powers of the charitable company and is governed under its Articles of Association. Under those Articles the Directors, who form the Board of Directors, are elected at the Annual General Meeting to serve a period of 3 years with a specified number retiring at each AGM. A Director retiring by rotation is eligible for reelection. 

The specified objects of the Memorandum and Articles have been described in ‘Aims’ above. 

Leek Hockey Club (Trading) Limited is a wholly owned subsidiary, registered on 15[th] March, 2021 (number 13266449) as a private company limited by shares. The company is registered for VAT and is used by Leek

Hockey Club Limited to conduct its trading activities; all profits are donated to the parent charitable company through corporate gift aid. 

The Directors of Leek Hockey Club (Trading) Limited are appointed by the parent company at each AGM. 

The original governance structure of Leek Hockey Club Limited and Leek Hockey Club (Trading) Limited, established on incorporation, was reviewed and amended in 2023. Since that date the Board of Directors have established a regular annual governance review prior to the AGM as a core item of their role. 

A copy of the current structure is attached to this report. 

## **FINANCIAL REVIEW:** 

## **Reserves Policy** 

The Reserves Policy is reviewed annually by the Board of Directors. The basis of the policy is to achieve the aims and objectives as prescribed in the Company Articles of Association: 

1. To accumulate sufficient reserves over a 10-year cycle to re-invest in the synthetic hockey pitch infrastructure. 

2. To allocate an amount on an annual basis to cover any deficit cashflow predictions or budget shortfall during each financial year. 

3. To allocate any additional reserves to further Clubhouse re-development and hockey development projects 

## **Investment Policy** 

The Investment Policy is reviewed annually by the Board of Directors. 

Any funds available will be restricted to accounts providing a guaranteed return on investment: 

1. Any interest-bearing bank/mutual society account 

2. Any fixed rate interest term bond (maximum 3-years) 

3. Any other financial product becoming available within the restrictions of this policy.

## **STATEMENT OF DIRECTORS RESPONSIBILITIES** 

The charity directors are responsible for preparing a directors’ annual report and financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting practice). 

The law applicable to charities in England and Wales requires the charity directors to prepare financial statements for each year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources of the charity for the period. In preparing those financial statements, the directors are required to: 

- Select suitable accounting policies and then apply them consistently. 

- Observe the methods and principles in the applicable Charities SORP. 

- Make judgements and estimates that are reasonable and prudent. 

- State whether applicable accounting standards and statements of recommended practice have been followed, subject to any material departures disclosed and explained in the financial statements. 

- Prepare the financial statements on a going concern basis unless it is inappropriate to presume that the charity will continue in business. 

The directors are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charity and to enable them to ensure that the financial statements comply with the Charities Act 2011, the applicable Charities (Accounts and Reports) Regulations, and the provisions of the constitution. 

The directors are responsible for the maintenance and integrity of the charity and financial information included on the charity’s website in accordance with legislation in the United Kingdom governing the preparation and dissemination of financial statements. 

The directors are also responsible for safeguarding the assets of the charity and taking reasonable steps for the prevention and detection of fraud and other irregularities.

I report to the directors on my examination of the accounts of Leek Hockey Club Limited for the year ended 31 May 2025. 

## **Responsibilities and basis of report** 

As the charity directors you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 ('the Act'). 

Having satisfied myself that the accounts of the Charity are not required to be audited under section 144(2) 

of the 2011 Act and are eligible for independent examination, I report in respect of my examination of the Charity's accounts carried out under section 145 of the Charities Act 2011. In carrying out my examination I have followed the applicable Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act. 

## **Independent examiner's statement** 

I confirm that I am qualified to undertake the examination because I am a member of the Institute of Chartered Accountants in England and Wales, which is one of the listed bodies. 

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect: 

1. accounting records were not kept in respect of the Charity as required by section 130 of the Charities Act 2011; or 

2. the accounts do not accord with those records; or 

3. the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a 'true and fair view’ which is not a matter considered as part of an independent examination: or 

4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities, applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102).

For the year ending 31 May 2025 the company was entitled to exemption under section 477 of the Companies Act 2006 relating to small companies.

## **1 ACCOUNTING POLICIES** 

## **Basis of preparation** 

The accounts (financial statements) have been prepared under the historical cost convention with items recognised at cost or transaction value unless otherwise stated in the relevant note(s) to these accounts. The financial statements have been prepared in accordance with the Statement of Recommended Practice: Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (Charities SORP 2015 (FRS 102) - effective 1 January 2022) and the Charities Act 2011. 

Leek Hockey Club Limited meets the definition of a public benefit entity under FRS 102. 

The directors consider that there are no material uncertainties about the charity’s ability to continue as a going concern, nor any significant areas of uncertainty that affect the carrying value of assets held by the charity. 

## **Income recognition** 

All income is recognised once the charity has entitlement to the income, it is probable that the income will be received, and the amount of the income receivable can be measured reliably. 

Donations are recognised when the charity has been notified in writing of both the amount and settlement date. In the event that a donation is subject to conditions that require a level of performance by the charity before the charity is entitled to the funds, the income is deferred and not recognised until either those conditions are fully met, or the fulfilment of those conditions is wholly within the control of the charity, and it is probable that these conditions will be fulfilled in the reporting period. 

In the event that the gift is in the form of an asset other than cash, or a financial asset traded on a recognised stock exchange, recognition is subject to the value of the gift being reliably measurable with a degree of reasonable accuracy and the title to the asset having been transferred to the charity. 

Interest on funds held on deposit is included when receivable and the amount can be measured reliably by the charity; this is normally upon notification of the interest paid or payable by the bank.  Dividends are recognised once the dividend has been declared and notification has been received of the dividend due. 

## **Expenditure recognition** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable settlement is required and the amount of the obligation can be measured reliably. All expenditure is recognised on an accrual’s basis. All costs, including support costs and governance costs are allocated to the applicable expenditure heading. Where costs cannot be directly attributed to particular headings, they have been allocated on a basis consistent with the use of resources, with central staff costs allocated on the basis of time spent, and depreciation charges allocated on the portion of the asset’s use. Other support costs are allocated based on the spread of staff costs.

## **Taxation** 

The Charity is considered to pass the tests set out in Paragraph 1 Schedule 6 of the Finance Act 2010 and therefore it meets the definition of a charitable company for UK corporation tax purposes. Accordingly, the Charity is potentially exempt from taxation in respect of income or capital gains received within categories covered by Chapter 3 Part 11 of the Corporation Tax Act 2010 or Section 256 of the Taxation of Chargeable Gains Act 1992, to the extent that such income or gains are applied exclusively to charitable purposes. 

## **Tangible Fixed Assets** 

Depreciation is provided on tangible fixed assets so as to write off the cost or valuation, less any estimated residual value, over their expected useful economic life as follows:

## **Realised gains and losses** 

All gains and losses are taken to the Statement of Financial Activities as they arise. Realised gains and losses on investments are calculated as the difference between the sales proceeds and their opening carrying value or their purchase value if acquired subsequent to the first day of the financial year. Unrealised gains and losses are calculated as the difference between the fair value at the year end and their carrying value. Realised and unrealised investment gains and losses are combined in the Statement of Financial Activities. 

## **Stock** 

Stock is valued at the lower of cost and estimated selling price, less costs to complete and sell, after due regard for obsolete and slow-moving stocks. Cost is determined using the first-in, first-out (FIFO) basis of valuation. 

## **Financial instruments** 

The charity only holds basic financial instruments as defined in FRS 102. The financial assets and financial liabilities of the charity and their measurement basis are as follows. 

- Financial assets - trade and other debtors are basic financial instruments and are debt instruments measured  at amortized cost. Prepayments are not financial instruments. 

- Cash at bank - is classified as a basic financial instrument and is measured at face value. 

- Financial liabilities - trade creditors, accruals and other creditors are financial instruments, and are measured at amortized cost. Taxation and social security are not included in the financial instrument’s disclosure definition.
