(a) New charity trustees are appointed by a
resolution passed at a properly
convened meeting of the Charity Trustees.
(b) In addition to the Charity Trustees
appointed by clause 9.5(a), Nexus shall
have the power, exercisable by notice in

Nexus Trustee every year, or to fill any
vacancy resulting from the
retirement of a Nexus Trustee. The person
appointed need not be a

three years.
(d) In selecting individuals for appointment

Charity Trustees (as the case may be)
must have regard to the skills,
knowledge and experience needed for the
effective administration of the
CIO.

(i) the date of the vacancy; and
