2. Chairman’s Report
The Club was formed in 1894 and celebrated our 125[th] Anniversary in 2019. Since that time, it has been converted to a Company Limited by Guarantee in June 2021 and registered as a Charity in September 2021.
This transformation culminated in December 2023 with the completion of contracts to sell the existing ground for the development of Affordable Housing and using the proceeds to buy a new 15acre site and contract for the development of much improved facilities including 4 new grass pitches, changing rooms, clubhouse and car parking.
In the last twelve months the Club has shrunk to 3 teams with the focus being on managing the complex delivery of the new facility.
The installation of the pitches proved to be very challenging with constant issues caused by the varying weather conditions as well as the expected difficulties arising as a large, hilly field was converted into 4 level football pitches with excellent pitch and site drainage
At the end of the Financial Year there were still many uncertainties around the completion of the facility in time for season, however the Clubs Committee decided to push ahead with plans to increase the scale of involvement and recruit Junior Teams to start up in August and two additional adult teams.
I am pleased to report that the new Facility came into use on 15th August 2025 in time for the start of the new season.
I am also pleased to report that we were able organise a grand opening over the weekend of 16/17[th] August where former players, new recruits and the public were entertained to a fun weekend for all the family. The weather was amazing and a good time was had by all.
In addition, I am pleased to report that the 2025/26 season kicked off with 5 Adult teams and 12 Junior teams, which for the first time included a Girls team.
The next year will be focused on assimilating all our new recruits, expanding the number of volunteers and snagging the issues of the much larger facility.

3. Trustees Annual Report including the Directors Report
The trustees present this report and the unaudited financial statements for the year ended 30[th] June 2025. Included within the trustees’ report is the directors report as required by company law.
4. Structure, governance and management
Bolton Wyresdale Amateur Football and Sports Club is a registered Charity (Registration No.1195715) and a Company Limited by Guarantee Registration No. 133462562). The governing documents are the memorandum and articles of association dated 17[th] June 2021.
The trustees, who are also directors were appointed on formation and continue in their roles.
The Legal Members of the company limited by guarantee undertake to contribute an amount not exceeding £1 to the assets of the Company in the event of winding up. The total number of such guarantees at 30[th] June 2025 was fourteen.
The key management personnel are identified as the Trustees

During the year the Club suffered the sad loss of one of our Trustees and mainstay of the Club. He will be sadly missed by all at the Club and the wider Lancashire football community. His wife and sons are still heavily involved in the Clubs activities.
5. Objectives and Activities for the Public Benefit
The Objects of the Charity are to promote community participation in healthy recreation by providing facilities for the playing of association football and such other sports or games which promote health by involving physical or mental skill or exertion and which are undertaken on an amateur basis
The Trustees confirm that they have followed the relevant regulatory guidance on public benefit
6. Review of Activities and Achievements
During the year the club had 3 teams. Two in the Lancashire Amateur league playing in the Premier Division and Division two and a Veterans team playing in the Bolton Over 35 Veterans Football League.
Due to the poor condition of our home ground matches were played on rented local authority pitches.
The Clubhouse also became unusable due to major issues with the flat roof which could not be economically resolved.
The scope of activities and involvement was therefore constrained by these two major issues, and the trustees and committee members concentrated their efforts on the sale and purchase activities to provide new facilities for the Club

7. Future Plans
The planned completion of the new facility will provide a major opportunity to expand the reach and involvement of the Club.
The facility will comprise 2 adult grass pitches, 2 junior grass pitches, 4 changing rooms with facilities for officials, parking for 78 cars, accessibility features and energy efficiency measures to the latest standards. The Club owns the freehold to the 15-acre site on which the facilities are located between Bolton and Bury.
The intention is to maintain and grow the number of Men’s teams, utilise the two new junior pitches to recruit and support junior football in the area and assess the feasibility of creating a Ladies team.
It is planned to utilise the high-quality pitches and make them available for tournaments and competitions
It is also planned to make the Clubhouse facilities available for use by local community groups
The Club has secure income from Sponsorship and aims to use this to ensure that the facilities are adequately maintained. In addition, it aims to raise further funds through catering, pitch rental, donations, subscriptions as well as receiving interest on Reserve funds.
The club aims to support its growth through the recruitment of a broad spectrum of volunteers who will be attracted via the increased community involvement.
8. Financial Review
For the period in question there was a surplus of £78,905, with income from sponsorship and interest on the proceeds from the sale of the ground being the main elements
As at the 30 June 2025, the total funds of the Charity were £2,181,068. Of this £1,999,674 relates to land and buildings under construction and invested funds from the sale of the old ground which were invested and earning interest.
There is a long-term Unsecured Loan of £500,000 which was primarily used to purchase the new 15acre site. This loan has no interest or regular repayments and is only repayable in the event of a default, disposal, merger for value or change of use
9. Reserves Policy
All funds are Unrestricted and can be used towards the support of the Objects. There are sufficient funds to complete the development of the new facility, cover operating costs and invest in interest bearing savings accounts.
A formal Reserves policy will be developed to underpin long term sustainability

10. Trustees’ responsibilities in relation to the financial statements
The Trustees (who are also Directors) are responsible for preparing the Trustees annual report and the financial statement in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).
Company law requires the Trustees to prepare financial statements for each financial year which gives a true and fair view of the state of affairs of the Charity and of the incoming resources and application of resources, including the income and expenditure of the Charity for that period. In preparing these financial statements, the Trustees are required to:

Select suitable accounting policies and apply them consistently

Observe the methods and principles in the Charities SORP

Make judgements and estimates that are reasonable and prudent

State whether applicable UK Accounting Standards and statements of recommended practice have been followed, subject to any material departures disclosed and explained in the financial statements.

Prepare the financial statements on the going concern basis unless it is inappropriate to presume that the Charity will continue in operation
The trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the Charity and enable them to ensure that the financial statement comply with the Companies Act 2006.They are also responsible for safeguarding the assets of the Charity and hence taking reasonable steps for the prevention and detection of fraud and other irregularities.
The Trustees are responsible for the maintenance and integrity of the corporate and financial information included on the Charity’s website. Legislation in the United Kingdom governing the preparation and dissemination of financial statement may differ from legislation in other jurisdictions.
This report has been prepared in accordance with the provisions applicable to the small companies’ regime of the Companies Act 2006.

Responsibilities and basis of report:

I report to the trustees on my examination of the accounts of the above charity (“the Trust”) for the year ended 30/06/2025.

As the charity's trustees, you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (“the Act”).

I report in respect of my examination of the Trust’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination, I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.
Independent examiner’s statement:
I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination which gives me cause to believe that in, any material respect:

the accounting records were not kept in accordance with section 130 of the Charities Act; or
-
the accounts did not accord with the accounting records; or
-
the accounts did not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a ‘true and fair’ view which is not a matter considered as part of an independent examination.
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.
