## **1 Reference and Administration Details** 

## **1.1 Charity Name & Registration** 

## **Our Angel Bears** 

The charity is a Charitable Incorporated Organisation (CIO), registration no: 1195318,  registered with the Charity Commission on 27th July 2021. 

The charity is registered with HM Revenue & Customs but hasn’t applied for gift aid.

## **2 Structure, Governance & Management** 

## **2.1 Type of Governing Document** 

Constitution – based on the Charity Commission’s model governing document for Foundation Charitable Incorporated Organisations, _ie:_ where the Trustees are the only Members of the charity. 

## **2.2 Charitable Objects** 

The charity's trustees confirm that they have complied with the duty in section 17 of the Charities Act 201 1 to have regard to the Charity Commission's general guidance on public benefit. The charitable purposes are set out in its constitution. Such purposes as are exclusively charitable for the public benefit as the trustees shall see fit.

## **2.3 Trustee Selection Methods** 

There must be at least three charity trustees.   The maximum number of trustees is 12. 

In accordance with the Constitution, Trustees are appointed or re-appointed for a term of three years by a resolution passed at a properly convened meeting of the charity trustees. 

In appointing Trustees due consideration is given to ensuring that the Trustees have, between them, the skills and experience necessary to manage the charity effectively and in accordance with charity law. 

## **3 Activities, Achievements & Performance** 

## **3.1 Statutory Declaration** 

The Trustees confirm that they have paid due regard to the guidance issued by the Charity Commission on public benefit in deciding what activities the charity should undertake. 

## **3.2 Overview** _**(Executive Summary)**_ 

Our Angel Bears have shown that when an organisation sticks to its core values and its original purpose it can waiver any storm and continue to help people whom we intended to help whilst it was set up. Many charities have found it hard to keep afloat since the covid pandemic and especially now we are in a cost-of-living crisis. Like many small charities we struggle to get funding as there seems to be a “competitive” nature in fundraising, and the public seem to only hear “big” charities when it comes to fund raising. Nether the less, we have persisted in our efforts to keep our charity afloat as we know the vital work we provide is still sadly much needed. 

## **3.3 Activities, Achievements & Performance** _**(In More Detail)**_ 

- The Trustees continued with their activities during the year, as well as continuing to work on the internal policies, controls, and overall governance of the charity. 

- Our Angel Bears been able to provide 5 new hospitals with our keepsake bags bringing the total of partnerships with NHS Early Pregnancy Assessment Unit’s (EPAU) to 25 

- Our Angel Bears continues to host its virtual support group once a month. The time has been changed to the afternoons on a Wednesday, but this can be flexible depending on what attendees request. The online support groups have proved successful as peers have been able to support each other. 

- Our Angel Bears has once again been chosen as a recipient of the co-op community fund; this round doesn’t finish until the end of October 2023 so we will be unaware of how much money we will get. This will be included in the next year’s report. 

- Our Angel Bears volunteers have changed due to maternity leave. 

- Our Angel Bears have developed relationships with private sector companies who provide services to pregnant people outside of a hospital setting. We now supply 2 different private scan clinic franchises with our keepsake bags.

## **3.4 How the Public Have Benefitted.** 

More hospitals are now receiving the keepsakes provided by the team at Our Angel Bears. Feedback includes: 

_“Hi, I'm the charity coordinator for Scunthorpe hospital and I have received a beautiful donation of angel bears from yourselves for our families at the hospital. I would like to send a thank you letter for your kindness. Please can you give me an address to send it to._ 

_Kind regards, Elaine Weir”_

## **3.5 Trustee Development** 

Trustees and volunteers alike have been undertaking relevant training and online workshops. 

One of our staff members has enrolled onto a counselling skills training course which is aimed to be completed by December of 2023. The results of this course will be unknown until 2024 and will be included in the next report. 

## **3.6 Looking Ahead** 

Some of our staffing suffered towards the end of 2022 due to sickness of team members and families but luckily in 2023 things seem to have settled down from this point of view. We have had more people enquire to become part of our team and have since welcomed Hannah onto our team whilst saying goodbye to Nicola who has gone onto maternity leave. 

## **4 Financial Review** 

## **4.1 Details of Any Funds Materially in Deficit** 

The Charity has no funds which are materially in deficit. 

## **4.2 Policy on Reserves** 

The Charity’s policy on reserves is to generate and maintain a balance which is sufficient: 

- a) to preserve the financial viability of the Charity in the event that unforeseen and/or unavoidable circumstance precipitate a short-term fall in its income. 

- b) to enable the Charity, in the interests of meeting its objectives, to undertake from time to time the setting up of new and innovative projects on a pilot basis to demonstrate the viability and potential benefits of such activities as a precursor to securing the external funding necessary to maintain such projects on an on-going basis. 

For these purposes the Charity will endeavour to generate and maintain reserves which are at least 5% of its annual expenditure. 

## **4.3 Principal Sources of Funding and Outgoings** 

In October 2019 Our Angel Bears secured a space in the co op community fund which ran from October 19 – March 20 (covid-19 abruptly threw everything into

disarray) This period of funding enabled us to raise an amazing £4,039.84 which has enabled us to operate and provide our services in our first year as a registered CIO. 

a:   One of our supporters kindly donates to us £5 PCM via PayPal standing order which is still ongoing. 

b:  We do not expect any significant expenditure during 2022/23 other than printing costs, postage to send our keepsakes, promotional items and projects. 

## **4.4 Remuneration of Trustees** 

All Trustees act in a voluntary capacity and receive no remuneration or other material benefits from their services to the Charity and this has been and continues to be our objective. 

Out-of-pocket expenses necessarily and reasonably incurred by Trustees in promoting the purposes of the Charity are reimbursed at cost. This can include petrol or transport reimbursement. 

## **4.5 Financial Status** 

The charity’s current resources from unrestricted and unrestricted donations are more than sufficient to meet its outgoings for at least next year. 

All the indications are that this will remain the case for the foreseeable future. 

## **4.6 Statutory Statements on Liabilities** 

The Trustees declare that: 

- The charity has given no guarantees where potential liability under the guarantee is outstanding at the date of this statement ( _eg:_ any outstanding/ongoing contract or legal undertaking to buy or provide specific services); 

- The charity has no debt outstanding at the date of this statement which is owed by the CIO and which is secured by an express charge on any assets of the CIO ( _eg:_ a mortgage on property owned by the charity);

## **5.2 Notes to the Accounts** 

- a) Accounting Policies 

The financial statements have been prepared in accordance with the Charities Act 2011 Section 133, using the Receipts and Payments basis available to small charities and the charity’s own FreeAgent Accounts Spreadsheet. 

- b) Salaries & Professional Fees No trustee receives any payments for the services they provide to the charity. 

In the current financial year the charity employed no staff or external contractors; 

- c) Fixed Assets 

   - The charity has not purchased or disposed of any fixed assets in the current financial year; 

- d) Rounding Discrepancies 

   - All amounts are recorded to the penny, but in these accounts are shown as digitally rounded to the nearest pound.   This can occasionally result in a total apparently not being the sum of its constituent amounts.   All individual amounts, and their totals, are nevertheless correct.
