Appointment and automatic

9.1
Any person who is willing to act
as a Trustee, and who would not be
disqualifed from acting under the

appointed to be a Trustee by a
decision of the Trustees.

Automatic retirement
9.2.1 Each Trustee shall retire from

Meeting following the commencement

three consecutive terms of ofce
must take a break from ofce and
may not be reappointed until the
earlier of:
9.3.1 the anniversary of the
commencement of his or her break
from ofce; and
9.3.2 the Annual Retirement Meeting
following the Annual Retirement
Meeting at which his or her break
from ofce commenced.

If the retirement of a Trustee
under clause 9.2 causes the number
of Trustees to fall below that set out
in clause 8.3.1 then the retiring
Trustee shall remain in ofce until a
new appointment is made.
