To advance the education of the public in the subject of anti-racism in particular, but not exclusively, through the use of (i) trainings, (ii) workshops, (iii) online courses, (iv) original content, (v) curated content, (vi) events, and (vii) the continued development of capabilities, competencies, skills, and understanding of how to be anti-racist, how to be an ally to communities that have been marginalised or excluded, how to promote racial tolerance, and how to eliminate discrimination on the grounds of race, ethnicity, and other protected characteristics. To promote social inclusion, diversity, equity and access ("IDEA") to opportunity for the public benefit in particular, but not exclusively, through (i) the elimination of discrimination on the grounds of race, ethnicity, nationality, gender, sexuality, marital status, religion/faith/spirituality, social and economic disadvantage/ socioeconomic status/level of income, disability status, (ii) advancing education and raising awareness in IDEA, (iii) promoting activities to foster understanding between people from diverse backgrounds, and (iv) cultivating a sentiment in favour of IDEA; and To promote racial harmony for the public benefit in particular, but not exclusively, by (i) advancing education and raising awareness about different racial and ethnic groups to promote good relations between persons of different racial and ethnic groups, (ii) working towards the elimination of discrimination on the grounds of race and ethnicity, and (iii) promoting knowledge and mutual understanding between different racial and ethnic groups

## **Welcome to The Club!** 

The Anti-Racist Social Club ('The Club') is a registered charity that works to create spaces and resources for education and open dialogue about becoming anti-racist allies and creating psychological safety in business and education. It was first registered with the Charity Commission on 2 July 2021 (registration no. 1195046 and registered address of Unit 80698, PO Box 6945, London, WlA 6US, United Kingdom). 

The Club has operated under the direction of three (3) trustees since its inception:

## **Governance & Administration** 

The Anti-Racist Social Club ('The Club') was registered with the Charity Commission on 2 July 2021 as a Charitable Incorporated Organisation (CIO) with a governing document titled 'Constitution of a Charitable Incorporated Organisation Whose Only Voting Members Are Its Charity Trustees'. The charity is not registered with Companies House and does not have any corporate trustees or directors in that respect. 

Please review our 2021-2022 Trustees' Annual Report for information about the formation of The Club and the initial recruitment of trustees. As a part of that induction process, trustees were made aware of the Charity Commission's guidance on £ublic benefit, specifically Public benefit: the public benefit requirement lPBl), Public benefit: running a charity (PB2), and Public benefit: reporting (PB3). 

No additional trustees have been appointed to oversee The Club since its inception. Should new trustees be required in the future, The Club's governing document outlines the process for the recruitment and appointment of new trustees. Clause 9 of the governing document outlines eligibility requirements for new trustees, including the need to be a natural person over the age of 16 and that said trustee must "expressly acknowledge their acceptance of the office of charity trustee". Clause 10 outlines the process for recruiting and appointing new trustees, most notably limiting the terms of new trustees to six (6) months at a time and requiring existing trustees to "have regard to the skills, knowledge and experience needed for the effective administration of the CIO, 11 when selecting individuals for appointment as new charity trustees. 

No restrictions exist as to who can nominate trustees to join, but approval lies with the existing stakeholders of the charity. New trustees will be required to complete an induction and training process, similar to that completed by existing trustees. 

Trustees of The Club generally meet every three {3) to four {4) months to discuss the governance, administration, operations, and finances of the CIO.

## **Charitable Purposes** 

The charitable purposes of The Anti-Racist Social Club, as outlined in our governing document, are as follows:

The following definitions are also included in the governing document for clarification: 

Anti-racism is defined as (i) any form of action against racism, systemic racism, and the oppression of groups that have been marginalised or excluded, or (ii) any conscious efforts and actions to provide equitable opportunities for all people on an individual and systemic level, or (iii) the policy or practice of opposing racism and promoting racial and ethnic tolerance, or (iv) the active process of identifying and eliminating racism by changing systems, organisational structures, policies and practices, and attitudes, so that power is redistributed and shared equitably; and 

Protected characteristics include, but are not limited to, age, gender, sexuality, marital status, physical or mental disability status, race, ethnicity, nationality, religious or spiritual beliefs, and level of socioeconomic status.

## **Activities** 

The club's governing document gives it "the power to d o  anrthing which is calculated to further its objects or is conducive or incidenta to doing so". 

## **This included the following activities and achievements:** 

Hosted one (1) to three (3) corporate workshops per month with businesses that equipped senior leadership with diversity and inclusion best practices, improved recruitment and retention, and reshaped corporate culture to b e  more inclusive of marginalised groups; 

Continued to update our website (incl. FAQ) which houses over 5 0 0 original and curated resources for the public to become allies; Donated over one hundred and fifty (150) books to the public; 

Developed a mentorship programme through public-private partnerships between businesses and schools to promote the inclusion of marginalised communities within creative industries; 

Hosted 'safe space' listening sessions with employees from marginalised communities to understand and communicate their lived experiences to their organisations to improve inclusion, belonging, and retention; 

Continued to develop inclusion, diversity, equity, and access (IDEA) strategies for businesses to support their efforts in becoming better allies to marginalised communities, as well as audited business's recruitment policies and provided recommendations to improve the diversity of their workforces and leadership teams;

Developed a comprehensive 'culture calendar' to encourage businesses to celebrate diversity and improve inclusion and belonging; Supported businesses responding to incidents of racism and discrimination through mediation and leadership development coaching; and 

Created an induction course for organisations to teach employees about the impact of microaggressions and unconscious bias on business and society.

## **Activities** 

Our activities have impacted hundreds of employees, leaders, and students across the United Kingdom, Australia, South Africa, and the United States by providing education and helping create better environments for social inclusion and racial harmony within businesses and schools. Our resource-filled website (which houses publicly-available original and curated content) has had 1,696 unique visitors between July 2022 and June 2023 from the United Kingdom, Australia, the United States, South Africa, and several other countries. 

Outside of these public-facing activities, we continued to build the infrastructure of the organisation by establishing policies and procedures and developing new partnerships to grow the reach of our programmes. We are continuing to develop methods for measuring our impact. 

We also sponsored a volunteer-led research trip to explore the histories and cultures of the African Diaspora to support the overall development and enrichment of our content and programming. 

The aims of the 'Africana' research trip were: 

To discover the hidden and non-Whitewashed histories of the African Diaspora to better inform our anti-racism work; 

To develop content for edutainment purposes ( e.g. documentary, interviews, social media, etc.) as well as for workshops with businesses, schools, and the public; 

To curate experiences for future retreat or information guides for discovering the Diaspora; 

To learn more about the African Diaspora from historians, elders, and other primary sources of historical knowledge; 

To develop volunteers and other stakeholders within The Club ecosystem as thought leaders; and 

To strengthen The Club's point of view and thoughtware as it relates to anti-racism. 

The trip produced great content from people and institutions in Cape Town and Nairobi, and is in the process of being incorporated into bite-sized content and other programming opportunities.

## **Financial Review** 

In total, the charity earned £100K in its second year. Our main source of income was secured through the facilitation of workshops and other consulting activities - across three key projects - carried out in line with our charitable purposes and following Annex C: Charging for services guidance within the Public benefit: running a charity_(PB2) policy. 

Given the complexity of various engagements, at times the services of freelance consultants were procured to support the growing workload and operations of the charity. This represented the largest individual category of spending, roughly £36K. The other notable expenses from the year came from the 'Africana' research trip which totaled just under £SK for all participants. 

After all expenditures, we ended our second accounting year (01 July 2022 - 30 June 2023) with just under £76K as retained earnings. Given our nonprofit status as a Charitable Incorporated Organisation (CIO), this money stayed in our bank account and was not paid out as dividends or salary to any Trustees, nor was it invested. As we have no restrictions on the use of our funds, the retained earnings of the organisation serve as our financial reserves in order to cover any existing or future operating costs in line with our charitable purposes. 

At the time of compiling this report and our accounts, there are no uncertainties about the charity's ability to continue operating and there are no other principal risks facing the charity. 

We also make the following declarations: 

The Anti-Racist Social Club does not own any land or buildings, nor is it - or its Trustees - acting as a custodian trustee on behalf of another charity or organisation; 

The Anti-Racist Social Club is not in debt to any organisation or other legal entity, nor does it have any funds or subsidiary undertakings materially in deficit; 

The Anti-Racist Social Club does not have any restrictions on use of its funds; and 

The Anti-Racist Social Club does not invest any retained profits or reserves.

## **The Year Ahead** 

We spent our second year as a Charitable Incorporated Organisation (CIO) continuing to facilitate workshops, raise awareness of our organisation and publicly-available resources, and establish the infrastructure of our internal operations. 

We also organised a research trip to the African continent to explore the hidden histories of the African Diaspora and are working hard to incorporate all of its learnings into our educational programming. 

## **We're excited for the year ahead in which we aim to:** 

Continue defining our policies and procedures to guide our internal operations; 

Refresh our brand logo and website; 

Develop new original content and workshop activities to better engage and inform the public and businesses we work with; and 

Continue supporting anti-racism and cultural education for volunteers, future employees, and other key stakeholders of the charity involved in its operations.

## **1. ACCOUNTING POLICIES** 

## **Basis of Preparation & Assessment of Going Concern** 

## **Basis of Preparation** 

The financial statements have been prepared under the historical cost convention with items recognised at cost or transaction value unless otherwise stated in the relevant note(s) to these accounts. The financial statements have been prepared in accordance with the Statement of Recommended Practice: Accounting and Reporting by Charities (SORP 2015) (Second Edition, effective 1st January 2019), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102) and the Charities Act 2011. 

The Charity meets the definition of a public benefit entity under FRS102. Assets and liabilities are initially recognised at historical cost unless otherwise stated in the relevant accounting policy notes. 

## **Assessment of Going Concern** 

Preparation of the accounts is on a going concern basis. The trustees consider that there are no material uncertainties about the Charity’s ability to continue as a going concern. 

## **Incoming Resources** 

## _**Recognition of Incoming Resources**_ 

These are included in the Statement of Financial Activities (SOFA) when: 

▪ the charity becomes entitled to the resources; 

▪ the trustees are virtually certain they will receive the resources; and 

▪ the monetary value can be measured with sufficient reliability 

## _**Incoming Resources with Related Expenditure**_ 

Where incoming resources have related expenditure (as with fundraising or contract income) the incoming resource and related expenditure are reported gross in the SOFA. 

## _**Grants and Donations**_ 

Grants and Donations are only included in the SOFA when the charity has unconditional entitlement to the resources. 

## _**Tax Reclaims on Donations and Gifts**_ 

Incoming resources from tax reclaims are included in the SOFA at the same time as the gift to which they relate. 

## _**Contractual Income and Performance Related Grants**_ 

This is only included in the SOFA once the related goods or services have been delivered. 

## _**Gifts in Kind**_ 

Gifts in kind are accounted for at a reasonable estimate of their value to the charity or the amount actually realised. Gifts in kind for sale or distribution are included in the accounts as gifts only when sold or distributed by the charity. Gifts in kind for use by the charity are included in the SOFA as incoming resources when receivable. 

## _**Donated Services and Facilities**_ 

These are only included in incoming resources (with an equivalent amount in resources expended) where the benefit to the charity is reasonably quantifiable, measurable and material. The value placed on these resources is the estimated value to the charity of the service or facility received. 

## _**Volunteer Help**_ 

The value of any voluntary help received is not included in the accounts. 

## _**Investment Income**_ 

This is included in the accounts when receivable. 

## _**Investment Gains and Losses**_ 

This included any gain or loss on the sale of investments and any gain or loss resulting from revaluing investments to market value at the end of the year.

## **Expenditure and Liabilities** 

## _**Liability Recognition**_ 

Liabilities are recognised as soon as there is a legal or constructive obligation committing the charity to pay out resources. 

## _**Governance Costs**_ 

Include costs of the preparation and examination of statutory accounts, the costs of the trustees meetings and cost of any legal advice to trustees on governance or constitutional matters. 

## _**Grants with Performance Conditions**_ 

Where the charity gives a grant with conditions for its payment being a specific level of service or output to be provided, such grants are only recognised in the SOFA once the recipient of the grant has provided the specified service or output. 

## _**Grants Payable without Performance Conditions**_ 

These are only recognised in the accounts when a commitment has been made and there are no conditions to be met relating to a grant which remain in control of the charity. 

## _**Investments**_ 

Investments quoted on a recognised stock exchange are valued at market value at the year end. Other investment assets are included at trustees' best estimate of market value. 

## _**Unrestricted funds**_ 

These funds can be used for the general objectives of the charity as set out in the trustees report. The movements of the unrestricted funds are given in the Statement of Financial Activities. 

## _**Restricted funds**_ 

These funds are where the donor has specified a purpose for the donation made. These restrictions often arise as a result of appeals for special offerings for specific purposes. 

## _**Designated funds**_ 

These funds are funds set aside by the trustees out of unrestricted general funds for particular purposes or projects. 

## _**Fixed Assets**_ 

Fixed Assets are capitalised if they can be used for more than one year and cost at least £1,500. They are valued at cost or, if gifted, at the value to the charity on receipt. 

## _**Depreciation Expense**_ 

Depreciation is calculated at a rate to write off the cost of tangible fixed assets over their estimated useful lives. The rates applied are as follows:

The CIO held no fixed assets during this or the previous financial period.

## **12. STAFF COSTS AND NUMBERS** 

The Charity employed no members of staff during this or the previous financial period. 

## **13. TRUSTEES AND OTHER RELATED PARTIES** 

No payments were made to trustees or any persons connected with them during this financial period. No material transaction took place between the organisation and a trustee or any person connected with them. 

## **14. RISK ASSESSMENT** 

The Trustees actively review the major risks which the charity faces on a regular basis and believe that maintaining the free reserves stated, combined with the annual review of the controls over key financial systems carried out on an annual basis will provide sufficient resources in the event of adverse conditions. The Trustees have also examined other operational and business risks which they face and confirm that they have established systems to mitigate the significant risks. 

## **15. RESERVES POLICY** 

The Trustees have considered the level of reserves they wish to retain, appropriate to the CIO's needs. This is based on the CIO's size and the level of financial commitments held. The Trustees aim to ensure the CIO will be able to continue to fulfil its charitable objectives even if there is a temporary shortfall in income or unexpected expenditure. The Trustees will endeavour not to set aside funds unnecessarily. 

## **16. PUBLIC BENEFIT** 

The CIO acknowledges its requirement to demonstrate clearly that it must have charitable purposes or ‘aims’ that are for the public benefit. Details of how the CIO has achieved this are provided in the Trustees report. The Trustees confirm that they have paid due regard to the Charity Commission guidance on public benefit before deciding what activities the CIO should undertake.

## **INDEPENDENT EXAMINER’S REPORT ON THE ACCOUNTS** 

Report to the trustees/ members of The Anti-Racist Social Club on the accounts for the year ended 30th June 2023 set out on pages 13 to 19. 

## **Respective responsibilities of trustees and examiner** 

The charity's trustees are responsible for the preparation of the accounts. The charity’s trustees consider that an audit is not required for this year under section 144 of the Charities Act 2011 (the Charities Act) and that an independent examination is needed. 

It is my responsibility to: 

- examine the accounts under section 145 of the Charities Act, 

- follow the procedures laid down in the general Directions given by the Charity Commission (under section 145(5)(b) of the Charities Act, and 

- state whether particular matters have come to my attention 

## **Basis of independent examiner’s statement** 

My examination was carried out in accordance with general Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently no opinion is given as to whether the accounts present a ‘true and fair’ view and the report is limited to those matters set out in the statement below. 

## **Independent examiner's statement** 

In connection with my examination, no matter has come to my attention: 

1.    which gives me reasonable cause to believe that in any material respect, the requirements: 

- to keep accounting records in accordance with section 130 of the Charities Act; and 

- to prepare accounts which accord with the accounting records and comply with the accounting requirements of the Charities Act 

have not been met; or 

2.   to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
