## **AIMS AND OBJECTIVES**
## **Purposes and aims**
The charity's purposes as set out in the objects in the charity's Memorandum and Articles are:
"To advance the education of the public in sustainable development, the natural environment and effects on that environment of both natural and other activities whether pursued by man or not. Sustainable development means "development which meets the needs of the present without compromising the ability of future generations to meet their own needs."
## **Ensuring our work delivers our aims**
We reviewed our aims, objectives and activities at the end of the year. This review looked at what we achieved and the outcomes of our work in the previous 12 months. The review looked at the success of each key activity and the benefits they have brought to those groups of people we are set up to help. The review also helped us ensure our aim, objectives and activities remained focused on our stated purposes. We have referred to the guidance contained in the Charity Commission’s general guidance on public benefit when reviewing our aim and objectives and in planning our future activities. In particular, the trustees consider how planned activities will contribute to the aims and objectives they have set.
## **The focus of our work**
Our main objectives for the year were the education of sustainable development. The strategies we used to meet these objectives included:
- Engage a new audience, especially young people.
- Educate people on the challenges faced by those on the frontlines of ecological breakdown, as well as those forecast by scientists for the future. This aligns with ACE’s focus areas education, training and public access to information.
## **How our activities deliver public benefit**
Our main activities and who we try to help are described below. All our charitable activities focus and are undertaken to further our charitable purposes for the public benefit.

It is incredible how much Climate Live has achieved this year in our journey to educate thousands in sustainable development.
We built on the success of 2023 with our open topped double decker bus that we used as a mobile education platform with the lower deck used for workshops and information exhibitions and the top deck as a solar powered stage for presentations, panel talks and music. Using solar panels conveyed a powerful message that it is possible to run events more sustainably. The bus travels using HVO (hydrotreated vegetable oil fuel.
We took the bus and or an educational stall to 10 festivals: Wireless, Latitude, Reading, Boomtown, Forwards, Wild Fields, Leeds, Tom Grennan In Finsbury Park, Love Saves The Day and Symbiocene. Our team also spoke on panels on other stages at some of these festivals as well as at Glastonbury (Silver Hayes.
In person, we spoke to over 63,594 people thanks to our wonderful funding partners helping us with parttime paid freelance coordinators for the first time. This massively increased the team’s productivity and helped engage the 123 wonderful youth volunteers and shadow placements. Online, we reached 10.7 million people.
There were 66 artists which is a 26% increase versus 2023. The artists who performed were a mix of established artists and up-and-coming ones. We ensured our lineups platformed a diverse range of voices with plenty of women and People of Colour. We matched each lineup with the genres on the festivals’ main lineups so had a variety of music including indie, rock, pop, alternative, rap, hip-hop and R&B. This targeting maximized our appeal to the audience at each festival so that larger numbers attended the events and took part in the educational programming. All artists spent time with the Climate Live education formation team to ensure that the correct educational messaging was delivered. It is heartening to see so many music artists supporting Climate Live to educate more in sustainable development.
This year an incredible 120 expert speakers joined the educational panels, discussions and workshops panels that featured between the music performances. This is over double the number in 2022 and demonstrates the growth of the content offered.
The Climate Live video was played on the big screens at 5 festivals we attended: Reading, Leeds, Latitude, Forwards and Love Saves the Day. It was played on the big screens on all the stages at these festivals between every act throughout the duration of the festival. This built footfall to our stall and ensured that our educational message was seen by almost 100% of the 325,000 festival attendees as well as by staff, artists and their teams.
We partnered with Access Creative College, offering their students performance and shadowing opportunities. This proved to be extremely successful and we are delighted to announce that this will continue next year.
In 2024 we had a presence at 13 concerts and conferences from Massive Attack’s Act 1.5 in Bristol and Liverpool to the London Youth Climate Hub. Speaking at and having educational material at these events helps engage and educate attendees in sustainable development.
We continued to work with our Climate Live colleagues in 43 other countries in all continents across the world. It has been extraordinary to see this geographic growth and engagement. The team played a key role in planning, designing and programming Climate Live educational events at COP29 in Azerbaijan.

## **Financial Review**
With sound financial management and the support of both its trustees and volunteers the charity generated a positive financial outcome for the period with a balance of £35,206. The charity successfully managed to deliver an increased programme of educational activities with lower expenditure than in 2023. Sound financial planning meant that funding in place from 2023 as well as more grants and donations in 2024 paid for this. It was recognised that a significant increase in grant funding is required. There is a sound funding strategy in place for 2025 which is already showing very positive results.
## **Principal Funding Sources**
The principal funding sources for the charity are currently by way of grants and donations.
## **Investment Policy**
Aside from retaining a prudent amount in reserves each year most of the charity’s funds are to be spent in the short term so there are no funds for long term investment. Having considered the options available, the trustees decided not to make investments.
## **Reserves Policy**
The trustees have examined the charity’s requirements for reserves in light of the main risks to the organisation. It has established a policy whereby the unrestricted funds not committed or invested in tangible fixed assets held by the charity should be between 1 and 3 months of the expenditure. The reserves are needed to meet the working capital requirements of the charity and the trustees are confident that at this level they would be able to continue the current activities of the charity in the event of a significant drop in funding.
## **Structure, Governance and Management**
## **Governing Document**
The organisation is a charitable company limited by guarantee, incorporated on 11 December 2020 and registered as a charity on 14 June 2021. The company was established under a Charity Commission Memorandum and Articles of Association which established the objects and powers of the charitable company. In the event of the company being wound up members are required to contribute an amount not exceeding £10.
## **Trustees**
The directors of the company are also charity trustees for the purposes of charity law as defined by Section 177 of the Charities Act 2011. All trustees give their time as trustees voluntarily and were not beneficiaries of the charity. One of the Trustees Frances Fox received remuneration for £2,592 for professional services supplied to the charity as freelancer.
## **Risk Management**
The trustees have conducted a review of the major risks to which the charity is exposed. This is updated at least annually. Where appropriate, systems or procedures have been established to mitigate the risks the charity faces. Internal control risks are minimised by the implementation of procedures for authorisation of all

transactions and projects. Procedures are in place to ensure compliance with health and safety of volunteers, contractors, artists and visitors to Climate Live events. These procedures are periodically reviewed to ensure that they continue to meet the needs of the charity.
## **Organisational Structure**
At present there are three trustees from a variety of educational and professional backgrounds relevant to the work of the charity.
## **Responsibilities of the Trustees**
The Trustees are required to prepare financial statements for each financial year which give a true and fair view of the state of the affairs of the charitable company as at the balance sheet date and of its incoming resources and application of resources, including income and expenditure, for the financial year. In preparing those financial statements, the Trustees should follow best practice and:
- select suitable accounting policies and then apply them consistently;
- make judgements and estimates that are reasonable and prudent; and
- prepare the financial statements on the going concern basis unless it is not appropriate to assume that the charity will continue on that basis.
The Trustees are responsible for maintaining proper accounting records which disclose with reasonable accuracy at any time the financial position of the charitable company. The Trustees are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.
## **Trustees**
The Trustees, who are directors for the purpose of company law and trustees for the purpose of charity law, who served during the year are set out on page 2.
We certify that:
- so far as we are aware, there is no relevant information of which the company’s Independent Examiner is unaware; and
- as the directors of the company we have taken all the steps that we ought to have taken in order to make ourselves aware of any relevant information and to establish that the charity’s Independent Examiner is aware of that information.
## **Independent Examination**
The charity is below the thresholds for the Companies Act and below the two thresholds for the Charities Act 2011 and so is exempt from an audit but does require independent examination. The charity is subject to the small companies’ regime.

## **ACHIEVEMENTS AND PERFORMANCE**
In the year to 31 December 2024 the registered charity received £43,053 in grants and donations, resulting in a net loss of £46,519. Funds secured in 2023 covered this loss resulting in a bank balance of £35,206 at the year end. Capital and equipment payments amounted to £3,833.
## **FINANCIAL PERFORMANCE**
The accounts are set out on Pages 11 and 12. The trustees consider the financial position at 31 December 2024 is satisfactory.

## **STATEMENT OF TRUSTEES RESPONSIBILITIES**
For the year ending 31 December 2024 the charity was entitled to exemption from audit. The charity is below the thresholds for the Companies Act and below the two thresholds for the Charities Act 2011 and so is exempt from an audit but does require independent examination. The charity is subject to the small companies’ regime.
## **Trustees’ responsibilities**
- The trustees have not required the charity to obtain an audit in accordance the Companies Act and the Charities Act 2011.
- The trustees acknowledge their responsibilities for complying with the requirements with respect to accounting records and the preparation of accounts.
- These accounts have been delivered in accordance with the provisions applicable to charitable companies subject to the small companies regime.

For the financial year in question the company was entitled to exemption under section 477 of the Companies Act 2006 relating to small companies.
No members have required the company to obtain an audit of its accounts for the year in question in accordance with section 476 of the Companies Act 2006.
The directors acknowledge their responsibility for complying with the requirements of the Act with respect to accounting records and for the preparation of accounts.
These accounts have been prepared in accordance with the provisions applicable to companies subject to the small companies' regime.

Notes forming part of the Financial Statements for the year ended 31 December 2024
## 1. Accounting Policies
The principal accounting policies are summarised below. The accounting policies have been applied
consistently throughout the year.
## (a) Basis of accounting
The financial statements have been prepared under the accruals basis, which is also called traditional accounting or the GAAP Generally Accepted Accounting Principles (GAAP) basis.
## (b) Fund accounting
Unrestricted funds are available for use at the discretion of the trustees in furtherance of the general objectives of the charity.
All funds are unrestricted.
## (c) Incoming resources
All incoming resources are included in the statement of financial activities when the charity is entitled to, and virtually certain to receive, the income and the amount can be quantified with reasonable accuracy. The following policies are applied to particular categories of income:
Voluntary income is received by way of grants, donations and gifts and is included in full in the Statement of Financial Activities when receivable. Grants, where entitlement is not conditional on the delivery of a specific performance by the charity, are recognised when the charity becomes unconditionally entitled to the grant.
## (d) Resources expended
Expenditure is recognised on an accrual basis as a liability is incurred.
Charitable expenditure comprises those costs incurred by the charity in the delivery of its activities and services for its beneficiaries. It includes both costs that can be allocated directly to such activities and those costs of an indirect nature necessary to support them.
## (e) Fixed assets
Fixed assets are stated at cost less accumulated depreciation. The costs of minor additions or those costing below £1,000 are not capitalised. Depreciation is provided at rates calculated to write off the cost of each asset over its expected useful life, which in all cases is estimated at 4 years. Impairment reviews are carried out as and when evidence comes to light that that the recoverable amount of a functional fixed asset is below its net book value due to damage, obsolescence or other relevant factors.
