## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **General** 

The charity is a Charitable Incorporated Organisation (CIO) and is constituted under documentation dated 7 June 2021. The charity was registered on the same date and the registration number is 1194694. 

The trustees have the power under their constitution to appoint new trustees. The 

trustees oversee the operations of the Charity, but the daily responsibility of the Charity is vested in Mrs M Shepherd.

## **Financial Review** 

The Charity held cash funds at the end of the period as shown in the accounts. The holding of funds is held specifically to meet the future objectives of the Charity. 

As of February 2023 -Agreed by the Trustee Board, Michaela Shepherd was recruited on a Self-Employed basis to oversee the Business Development and to fulfil the Project

Lead Role for the charity. This role was overseen by Suzie Hawker (Trustee Board Member) and monthly payments agreed by Suzie Hawker and Katie Collet (Treasurer) 

This was agreed following the charity’s Constitution under Section 6 – 2 (b) and fulfilling the Charities Act 2011 section 185. Written agreement between the Board and Michaela Shepherd is in place. 

## **Public Benefit** 

The trustees have had regard to Charity Commission guidance on public benefit and consider that the objectives, aims and achievements of the Charity described in this report enable it to meet its duty to the Charity Commission as per Section 17 of the Charities Act 2011 and to the benefit of the public. 

## **Objectives and Activities** 

During this period, the Charity has fulfilled its objectives to relieve the distress and suffering caused by bereavement/grief through the provision of support and providing a place for those affected to meet. 

## **Achievements and Performance** 

The Grief Play Café is going from strength to strength and the Grant restrictions are being carefully monitored and used for nominated items/activities. 

The Intergenerational Bereavement choir can now be hired out bringing in revenue for the Charity. 

An **Operation Team** is in place, and now includes the following roles: 

Project Lead 

Volunteer Coordinators 

Fundraising Volunteers 

## **Trustee Board** 

In this period, we had one Trustee Join us FH in July 2024 with the Board being 7 strong, looking for one more Trustee to fulfil the Board capacity.

I Teport on the accounts of the Charity for the year ended 5 April 2025, which are set out on pages 4 to
Re$p¢etive responsibilities of trustees and examiner
The charity's tTUSte¢s are responsible for the preparation of the accounts. The charity's tnjstees
consider that an audit is not required for this year under section 144 of the Charities Act 2011 (the
Clwities Act) and that an independenl examination is needed.
It is my responsibility to-
examine the accounts under section 145 of the Charities Act.
follow the procedures laid down in the general Directions given by the Charity Commission
under section 145(5)(b) of the Charities Act. and
state whether particular matters have come to my attention.
Basis of independent examiner's report
My examination was carried out in accordance with the general Directions given by the Charity
Commission. An examination includes a review of the accounting records kept by the charity and a
comparison of the accounts presented with those records. It also includes consideration of any unusual
items or disclosures in the accounts and seeking explanations from you as trustees concerning any such
matters. The procedures undertaken do not provide all the evidence that would be required in an audit
and consequently no opinion is given as to whether the accounts present a 'true and fair view, and the
report is limited to those matters set out in the statement below.
Independent examiner's statement
In connection with my examination, no material n￿tterS haves come to my attention which gives me
cause to believe that in, any material respect
accounting records were not kept in accordance with section 130 of the Charities Act or
the accounts do not accord with the accounting records.
I have come across no other matters in connection with my examination to which attention should be
drawn in order to enable a proper understanding of the accounts to be reached.
