TRUSTEES' REPORT FOR THE YEAR ENDED 31 MARCH 2024
The Trustees present their annual report together with the financial statements of the Company for the 1 April 2023 to 31 March 2024. The Annual Report serves the purposes of both a Trustees' report and a directors' report under company law. The Trustees confirm that the Annual Report and financial statements of the charitable company comply with the current statutory requirements, the requirements of the charitable company's governing document and the provisions of the Statement of Recommended Practice (SORP) applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102) (effective 1 January 2019).
Since the Company qualifies as small under section 382 of the Companies Act 2006, the Strategic Report required of medium and large companies under the Companies Act 2006 (Strategic Report and Directors' Report) Regulations 2013 has been omitted.
Objectives and activities
a. Objectives and activities
The Movements Trust (TMT) was registered as a charity in May 2021 with the purpose of supporting charitable movements focused on the intersection between society and climate change.
TMT’s Charitable Objects are specifically restricted to promoting sustainable development, primarily, but not exclusively in the UK, for the benefit of the public as follows:
a) the preservation, conservation and the protection of the environment and the prudent use of resources; b) the promotion of sustainable means of achieving economic growth and regeneration. c) advancing education of the public in subjects relating to sustainable development and the protection, enhancement and rehabilitation of the environment.
Sustainable development means “development which meets the needs of the present without compromising the ability of future generations to meet their own needs.”
In the exercise of our activities, TMT therefore sponsors or regrants funding to movements engaged in activities in pursuit of our agreed vision and mission. We aim to empower movements to deliver their work as flexibly and as effectively as they can.
Trustees confirm they have referred to the Charity Commission’s guidance on public benefit when reviewing TMT's objectives and aims, and our grantmaking policy.
b. Main achievements of the company
Regranting to Movements
TMT has provided a movement-oriented regranting service to the Montpelier Foundation enabling us to make grants to the equivalent of £150,000 this year to the following 16 movements:
Citizens Network for Community
Youth-led initiative promoting good environmental governance and advocating for a future where humans and nature can co-exist and prosper. Their activities include fruit tree planting, facilitating green clubs in schools (35 established to date), conducting workshops on climate change, and organising peaceful protests in front of banks and parliament buildings.
Mt. Kenya Network Forum
Connecting and engaging communities of the Mt. Kenya Region, Arid and Semi-Arid Areas through Environmental Conservation, Social & Climate justice, Youth Engagement. Their training seeks to foster

environmental leadership and impact by emphasising deep personal connections and transformative action.
Stand As One (UK)
Engaging immigrant communities across the UK to share knowledge and increase awareness of climate change impacts. SAO implements awareness programs aimed at teaching and sensitising people about climate change, focusing specifically on combating deforestation and pollution as significant contributors to climate change, in order to enhance environmental resilience as well as to protect the physical and mental health of these communities.
Women for Green Economy Movement (Uganda)
Leveraging locally led adaptation solutions to empower women to protect and defend their environmental and land rights, normalise community buy-in and engagement in climate-related initiatives and promoting women's’ and girls’ participation in green economies.
EcoClean Active Initiative
Promoting environmental welfare and sustainability, with a specific focus on initiatives that align with UN SDG 13 on Climate Action and UN SDG 6 on Climate Water and Sanitation. These include educating citizens on waste recycling within their communities, promoting peaceful coexistence with the environment, and collaborating with organisations, individuals, NGOs, INGOs, schools, governments, and agencies to educate communities on environmental sustainability and waste management.
Youth for Green Communities (Uganda)
Harnessing the power of lobbying, policy research and community education to promote just environmental governance and protect the most vulnerable communities against the adverse impacts of climate change. YGC collaborates closely with educational institutions, communities, government bodies, cultural and religious leaders in an effort to ensure that the planet’s natural resources can be utilised in a manner that promotes inclusivity, equitable development, environmental sustainability, and respects human rights.
Green Environment & Climate Change Initiative (Nigeria)
Combating climate change and deforestation through environmental projects that align with UN Sustainable Development Goals. GECC focuses on erosion and reducing greenhouse gas emissions resulting from gas flaring due to oil exploitation- primarily through awareness campaigns that educate and engage the general public around these issues and their societal impacts.
Climate Emergency UK (UK)
Empowering campaigners and councils in the UK to take action on the climate and ecological emergency at the local level through methodologically developed Scorecards. This data informed tool provides accessible information and transparent data on climate policy and action to date enabling campaigners and councils to learn from each other, lobby for further action, and establish a network where local authorities, activists, NGOs, businesses, and communities can collaborate effectively for climate action.
Climate Vanguard (UK)
A dynamic youth-led think tank supporting the youth climate movement to drive radical political-economic transformation through targeted research, campaign support, and the convening of youth climate champions to foster a shared language, narrative, and strategy for achieving a just and habitable world.
Rise Up Movement (Uganda)
Amplifying the voices of activists and frontline communities in Africa while holding international powers accountable for financing climate loss and damage. They bring a unique advocacy strategy within the context of Africa and are versatile in their approach supporting members to safely and responsibility implement diverse programs and initiatives across various contexts such as tree planting, educational and awareness events, and community leadership development.

Climate Justice for Healthy Communities (Uganda)
Protecting and restoring the health and wellbeing of people, especially the high-risk communities from the threats associated with climate change. CJHC seeks to bring awareness to the profound health disparities and environmental injustices that disproportionately impact vulnerable communities and employ lobbying, research, and community engagement tactics to connect and collaborate with communities and leaders.
Upcycle Impact Tours (Uganda)
Revolutionising the travel agency industry by working to transform the tourism sector's contribution to climate change. Upcycle Impact Tours educates both travellers and students while working closely with communities in an effort to protect and conserve the planet's resources through mindset shifts towards reducing carbon emissions. They aim to develop a carbon calculator to help offset tourism’s environmental impacts.
Wild Card (UK)
Spearheading a national campaign to challenge high-profile landowners in the UK to take responsibility for the nature and future of this nation by rewilding their land. Their campaign underscores the crisis facing Britain's nature, with declining biodiversity, collapsing ecosystems, and endangered species, emphasising the urgent need for meaningful stewardship and restoration of land.
Climate News Watch (UK)
Promoting the critical need for citizen access to comprehensive information that empowers them to make informed decisions about their lifestyles, voting choices, and life priorities. CNW monitors and scrutinises UK climate news coverage, publishing and amplifying content on specific issues and significant climate moments, influencing and lobbying key stakeholders to take climate action, and building a supporter network that both amplifies their work and provides a platform for industry discussions.
Ayowecca Uganda (Uganda)
Ayowecca Uganda seeks to empower women and children as active members of civil society via environmental awareness campaigns and initiatives with a particular focus on wetlands, peatlands, and ecosystem restoration, food insecurity, agroforestry and permaculture practices, plastic waste management, and the distribution of scholastic materials to vulnerable individuals for improved access to education.
Kasham Girls, Women, Youth and Community (Nigeria)
Promoting sustainable community development and fighting food insecurity while empowering women and children in rural communities through sensitization, training, and advocacy.
In addition, we collected £27,000 in a pooled fund to support delegates from the Climate Justice Camps run by Greenpeace Roots in 2022 and 2023. During the final quarter of 2023-24 we developed a coproduced grantmaking process with a panel of delegates, and will be distributing micro grants in early 2024-25 to delegates from both Camps, and will be reporting back to the Climate Justice Camp in 2024.
Charitable (Fiscal) Sponsorship
As a registered charity, TMT acts as a charity intermediary, also known as fiscal or charity sponsor, so that movements meet eligibility criteria for specific grants or donations. During the year we have acted as sponsor to the following 16 movements to the equivalent of £293,000 in order to support their receipt of funding from individuals and foundations:
Ocean Rebellion - A grassroots international art collective who tackle Ocean degradation and biodiversity loss

WildCard - A movement seeking to rewild 50% of the UK.
Climate Justice Africa - Skills sharing and educating groups on climate change across Africa.
Farmers Footprint - Dedicated to accelerating regenerative agriculture as a means to restore human and planetary health.
Cataclysm - Seeking to influence Oil and Gad Companies to spark change from within their workforce.
MP Watch - Raising awareness of climate issues at constituency level.
The Big One (XRUK) - A multi sector festival to engage the public on climate issues.
Just Treatment - A campaign for better accessibility of drug treatments.
Climate Majority Project - A moderate mobilising campaign to engage the public on climate.
World Environmental Crimes Unit - A campaign to influence executive level understanding of climate impact.
Regularise - A migrant founded and migrant led movement fostering a more just, welcoming and equitable society.
Switch It Green - A movement supporting the public to divest via their personal banking choices.
Common Languages - A movement offering accessibly translation and interpreting to support civil society.
Global Coalition of People Facing Extractivism - A coalition to support the Colombian government commitment to the Fossil Fuel Non Profileration Treaty.
Decolonising Economics - Experimenting collectively in the emerging ecosystem infrastructure for the solidarity economy.
Four of these movements also utilised our sponsorship on crowdfunding platforms allowing them to receive £35,015 in gross donations.
Other movement services – our charitable status allows us to refer movements for pro bono legal support from our partner, A4ID and in 2023-24 we referred two movements for advice on the best formal entity to take to further their work as informal movements.
We additionally convene movements on a regular basis to meet each other and share learning, skills and expertise in order to create a growing, stronger ecosystem of social movements around the World. This is an opportunity for movements to create partnerships, get advice from TMT and from other movements and to help us develop our services so that they meet their needs.

c. Grant-making policies
TMT’s policy on grant making sets out how we assure ourselves that we are funding, through our regranting and fiscal sponsorship activities, only movement activities that are exclusively charitable and fall within the objects of the charity.
This approach is kept under review, through our routine movement application screening, at our strategy away days, which give trustees the opportunity to refine our approach, and annually at our AGM.
d. Volunteers
During the course of 2023-24 TMT has benefited from the input of one volunteer who contributed to our evaluation of granted movements’ activities.
Financial review
a. Going concern
After making appropriate enquiries, the Trustees have a reasonable expectation that the Company has adequate resources to continue in operational existence for the foreseeable future. For this reason, they continue to adopt the going concern basis in preparing the financial statements. Further details regarding the adoption of the going concern basis can be found in the accounting policies.
b. Reserves policy
TMT’s financial policy sets out our approach to maintaining reserves. We are currently building our reserves, as we develop our core income and keep 3 months of core expenditure in reserves in order to maintain our services.
At the end of 2024 year end TMT held £58,467 (2023 £57,629) in reserves which is above 3 months of core expenditure.
c. Financial review
During the year the Statement of Financial Activities shows income of £273,318 (2023: £458,495).
This year grants made by the Charity were £150,000 (2023: £351,800).
By end of 23/24 the charity had flowed £249,067.60 in funding to social movements through fiscal sponsorship grants, which grew from £66,949.68 the previous financial year.

Structure, governance and management
a. Governing document
The charity is governed by its Memorandum and Articles of Association and is constituted as a company limited by guarantee.
The company was first registered on 08 January 2021. It is registered as a charity.
b. Recruitment and appointment of new trustees
TMT’s trustees are recruited via open recruitment processes.
c. Organisational structure
The Trustees together with the Executive Director in charge of the day-to-day running of the charity are responsible for the general management of the charity. All decisions are made by the Trustees at meetings which take place at least four times per year. The Trustees regularly monitor the financial position of the charity.
d. Risk management
Robust screening and monitoring process to govern the movements we work with, and to underpin our approach to work with movements that are not registered charities. During 2023-24 we conducted a legal review of our procedures, due diligence processes and our approach to onboarding of movements, as well as vetting donors. Our Board of Trustees screen the movements that we work with and we keep risk and diligence under review.
Our main risk is sustaining core funding in order to maintain a service to movements. We run TMT on a low overheads approach so that we can manage this risk and ensure that resources are available to movements.
e. Related party relationships
TMT is currently a member of the Environmental Funders Network which is a ‘UK-based network of foundations, family offices and individual donors supporting environmental causes. Our aim is to increase the amount of financial support for environmental causes and to improve its overall effectiveness.’
Statement of Trustees' responsibilities
The Trustees (who are also the directors of the Company for the purposes of company law) are responsible for preparing the Trustees' Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).
Company law requires the Trustees to prepare financial statements for each financial year. Under company law, the Trustees must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the Company and of its incoming resources and application of resources, including its income and expenditure, for that period. In preparing these financial statements, the Trustees are required to:

select suitable accounting policies and then apply them consistently;

observe the methods and principles of the Charities SORP (FRS 102);

make judgments and accounting estimates that are reasonable and prudent;

state whether applicable UK Accounting Standards (FRS 102) have been followed, subject to any material departures disclosed and explained in the financial statements;

- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the Company will continue in business.
The Trustees are responsible for keeping adequate accounting records that are sufficient to show and explain the Company's transactions and disclose with reasonable accuracy at any time the financial position of the Company and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the Company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

Independent Examiner's Report to the Trustees of The Movements Trust ('the Company')
I report to the charity Trustees on my examination of the accounts of the Company for the year ended 31 March 2024.
Responsibilities and Basis of Report
As the Trustees of the Company (and its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act').
Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of the Company's accounts carried out under section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act.
Independent Examiner's Statement
Since the Company's gross income exceeded £250,000 your examiner must be a member of a body listed in section 145 of the 2011 Act. I confirm that I am qualified to undertake the examination because I am a member of the Institute of Chartered Accountants in England & Wales (ICAEW), which is one of the listed bodies.
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:

accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act.

the accounts do not accord with those records.

the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a 'true and fair' view which is not a matter considered as part of an independent examination.

the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities [applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)].
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

1. General information
The Movements Trust, registered charity number 13121923, is a public benefit entity established in the UK as a charitable incorporated organisation governed by its constitution dated 8 January 2021. The Movements Trust operates from its registered office, 7 Bell Yard, London, WC2A 2JR.
2. Accounting policies
2.1 Basis of preparation of financial statements
The financial statements have been prepared in accordance with the Charities SORP (FRS 102) - Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006.
The Movements Trust meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy.
The financial statements are presented in Sterling (£) and rounded to the nearest £.
2.2 Company status
The company is a company limited by guarantee. The members of the company are the Trustees named on page 1. In the event of the company being wound up, the liability in respect of the guarantee is limited to £1 per member of the company.
2.3 Going concern
The Charity has prepared detailed financial forecasts for the next twelve months that show that the charity has sufficient reserves and actual and forecast income for the period. Based on this information the Trustees have concluded that the charity has adequate resources to continue in operational existence for the foreseeable future, being not less than 12 months from the date of approval of these financial statements. They therefore continue to adopt the going concern basis of accounting in preparing the financial statements.
2.4 Income
All income is recognised once the Company has entitlement to the income, it is probable that the income will be received and the amount of income receivable can be measured reliably.
Grants are included in the Statement of Financial Activities on a receivable basis. The balance of income received for specific purposes but not expended during the period is shown in the relevant funds on the Balance Sheet. Where income is received in advance of entitlement of receipt, its recognition is deferred and included in creditors as deferred income. Where entitlement occurs before income is received, the income is accrued.

2.5 Expenditure
Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit to a third party, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is classified by activity. The costs of each activity are made up of the total of direct costs and shared costs, including support costs involved in undertaking each activity. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs which contribute to more than one activity and support costs which are not attributable to a single activity are apportioned between those activities on a basis consistent with the use of resources. Central staff costs are allocated on the basis of time spent, and depreciation charges allocated on the portion of the asset’s use.
Expenditure on charitable activities is incurred on directly undertaking the activities which further the Company's objectives, as well as any associated support costs.
Grants payable are charged in the year when the offer is made except in those cases where the offer is conditional, such grants being recognised as expenditure when the conditions attaching are fulfilled. Grants offered subject to conditions which have not been met at the year end are noted as a commitment, but not accrued as expenditure.
All expenditure is inclusive of irrecoverable VAT.
2.6 Interest receivable
Interest on funds held on deposit is included when receivable and the amount can be measured reliably by the Company; this is normally upon notification of the interest paid or payable by the institution with whom the funds are deposited.
2.7 Cash at bank and in hand
Cash at bank and in hand includes cash and short-term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account.
2.8 Liabilities and provisions
Liabilities are recognised when there is an obligation at the Balance Sheet date as a result of a past event, it is probable that a transfer of economic benefit will be required in settlement, and the amount of the settlement can be estimated reliably.
Liabilities are recognised at the amount that the Company anticipates it will pay to settle the debt or the amount it has received as advanced payments for the goods or services it must provide.
Provisions are measured at the best estimate of the amounts required to settle the obligation. Where the effect of the time value of money is material, the provision is based on the present value of those amounts, discounted at the pre-tax discount rate that reflects the risks specific to the liability. The unwinding of the discount is recognised in the Statement of Financial Activities as a finance cost.

2.9 Financial instruments
The Company only has financial assets and financial liabilities of a kind that qualify as basic financial instruments. Basic financial instruments are initially recognised at transaction value and subsequently measured at their settlement value with the exception of bank loans which are subsequently measured at amortised cost using the effective interest method.
2.10 Pensions
The Company operates a defined contribution pension scheme and the pension charge represents the amounts payable by the Company to the fund in respect of the year.
2.11 Fund accounting
General funds are unrestricted funds which are available for use at the discretion of the Trustees in furtherance of the general objectives of the Company and which have not been designated for other purposes.
Restricted funds are funds which are to be used in accordance with specific restrictions imposed by donors or which have been raised by the Company for particular purposes. The costs of raising and administering such funds are charged against the specific fund. The aim and use of each restricted fund is set out in the notes to the financial statements.

11. Trustees' remuneration and expenses
During the year, no Trustees received any remuneration or other benefits (2023 - £NIL) .
During the year ended 31 March 2024, expenses totalling £ 216 were reimbursed or paid directly to 1 Trustee (2023 - £284 to 1 Trustee) . The reimbursed expenses were for travel costs.
There were no further transactions with trustees or other related parties.
12. Acting as agent
The Charity collected grants from donors totalling £287,064 (2023: £84,504) which, acting as their agent, the Charity paid to climate groups, with the exception of 2024 £49,000 (2023: £17,104), which is included in Other creditors. The grant receipts and payments are not included in the Statement of Financial Activities.
The Charity received £Nil (2023: £451) as management fees for undertaking this process.

16. Pension commitments
The group operates a defined contribution pension scheme. The assets of the scheme are held separately from those of the group in an independently administered fund. The pension charge represents contributions payable by the company to the fund and amounted to £706 (2023: £Nil).
