The Trustees confirm that the Annual Report and financial statements of the Charity comply with the current statutory requirements, the requirements of the Charity's governing document and the provisions of the Charities Statement Recommended Practice (FRS102.) Since the Charity qualifies as small under section 383, the strategic report required of medium and large companies under The Companies Act 2006 (Strategic Report and Directors' Report) Regulations 2013 is not required. ## **TRUSTEES** The Trustees who served the Charity during the year were as follows: G Davis K Herschell AD Newman S Oxley M Reigate SF Skelt G Turner G Williamson M Parginou ## **OBJECTIVES AND ACTIVITIES** The Charity's purposes as set out in the Articles of Association are the promotion of community participation in healthy recreation for the public benefit in London in particular by the provision of facilities (building; equipment; access to coaching and organising sporting activities) to participate in boxing, together with associated fitness/gym activities. ## **ACHIEVEMENTS AND PERFORMANCE** A continued improvement in the Charity's financial position enabled the funds to increase by £25,415 The club delivers three school sessions a week, and free Saturday morning classes. 2 ## **Fitzroy Lodge ABC (A Company Limited by Guarantee)** ## **Trustees' Report (continued) Year ended 30th April 2023** The club is training several young people to box competitively who have been referred from Carney’s Community, a charity working with disadvantaged and excluded young people. In the past year 6 Carney’s participants have represented Fitzroy Lodge in competitive bouts. This has been significant given the continued working relationship between the Fitzroy Lodge and Carneys Community. This supports the all-round development of young people within a thriving club environment The club continues to increase its membership through active engagement with local schools and colleges. We have an active club website advertising club facilities, events, and achievements. The club continues to work with a charity, Performance Plus Sport, which supports the training costs for some of our boxers, and we offer boxing taster events for athletes from different sporting backgrounds. This also allows our boxers to experience different sporting activities. There are still ten boxers supported by this scheme. The club is working in partnership with Diversity Media Sales and Manning Gottlieb OMD to develop an internship programme offering young adults the opportunity to access learning and development prospects, gain industry accreditations, work experience and start building a professional network within the Media industry. We currently have two of our boxers on an internship programme and aim to double that in the coming year. The club has completed repairs and upgrades to changing room areas as well upgraded boxing ring canvasses and punchbags. The club has hosted two recent boxing shows, one at Carneys Community and most notably one at the Old Bailey in the City of London. A senior judge facilitated this to raise money for the Sheriffs and recorders charity fund. There were eight contests between Fitzroy Lodge and Moss Side Fire boxing club from Manchester, This was a black-tie event hosted in the Great Hall at this iconic venue. There was significant social media coverage of this event publicising the Fitzroy Lodge and its partners who supported the event. ## **FINANCIAL REVIEW** As at 30th April 2023 the charity held unrestricted reserves of £107,720 (2022 - £82,305.) 3 ## **Fitzroy Lodge ABC (A Company Limited by Guarantee)** ## **Trustees' Report (continued) Year ended 30th April 2023** ## **STRUCTURE, GOVERNANCE AND MANAGEMENT** The Charity is a company limited by guarantee. It operates under the rules of its Articles of Association dated 26th April 2021. The Charity registered at the Charity Commission on 26th April 2021. It has no share capital and the liability of each member in the event of winding up is limited to £1. The Trustees are appointed in accordance with the Articles of Association. New Trustees joining the Board are given appropriate briefing of their obligations under company and charity law and on the contents of the Articles of Association. They are also referred to guidance issued by the Charity Commission on the role of the Charity Trustee. The main risk to the Charity is a failure to generate sufficient income from subscriptions to finance its operations. The Trustees are satisfied that the major risks have been mitigated as far as possible but the Board recognises that it must keep these risks under constant review if the Charity is to continue to operate. In this connection, the controls in place include regular updates to Trustees on our financial position, the preparation of formal agendas for Board meetings which highlight areas of concern and formal approval procedures for financial and strategic decisions. ## **PLANS FOR FUTURE PERIODS** The club runs some extra classes which are open to non-competitive members and to expand community membership. The club conducts free boxing session for SEN young people attending a local training organisation for vulnerable young people. The club continues to engage with local schoolteachers keen to provide insight into the benefits that a boxing club environment can provide. The club plans to host up to three open shows during the boxing season. The club plans to organise a charity dinner boxing show, to show case our amateur boxers and raise money for the club. We have held a co-hosted Carney’s Cup competition with Moss Side Fire at the Old Bailey which was enormous success. It was intended that the venue for the show would alternate between London and Manchester. Arrangements are in hand for this to be done and a repeat show agreed at the Old Bailey. Significant funds were raised from the event, and the show was attended by senior officials from the British Boxing Board of Control. 4 ## **Fitzroy Lodge ABC** ## **(A Company Limited by Guarantee)** ## **Trustees' Report (continued) Year ended 30th April 2023** The club is seeking opportunities for our senior competitive boxers to go abroad to compete. We intend to continue the internship programme by offering further opportunities to other young people who attend the club. The club is to renew its lease in this coming year and this process is underway.
