Post year end events

Following the year end, and pursuant to a formal asset transfer completed on 10 May 2025, the CIO received the property and operational activities previously carried on by its predecessor charity.

From that date, the CIO has undertaken those activities and is progressing the completion of its governance, regulatory and operational arrangements in accordance with its Constitution and Charity Commission requirements.

Introduction

The Charity was incorporated as a Charitable Incorporated Organisation (CIO) on 29 April 2021, as the successor to The Shropshire Islamic Foundation (SIF) (Charity Registration Number 1112127). The intention of this incorporation was to provide a more robust legal structure to support the charity’s long-term operations. This report relates to the CIO (charity number 1194272), which is a separate legal entity from the predecessor charity (1112127).

During the year ended 31 March 2025, the legal transfer of the undertaking (including property and associated assets) had not yet completed and continued to require careful legal and procedural work, including Land Registry steps. The Trustees remained focused on ensuring that the transition was completed correctly and in compliance with legal requirements.

Legal and structural progress during the year

Throughout the year, the Trustees continued to progress the steps required to complete the transfer of the undertaking from the original charity to the CIO, including liaison with professional advisers and preparation of the documentation required to regularise and complete the Land Registry position.

Operational activities for the community continued during the reporting period under the original charity (Charity Registration Number 1112127), and are described in that charity’s annual report for the same year.

Financial statement and annual accounts

As the transfer of the undertaking had not completed during the year ended 31 March 2025, the CIO remained financially dormant for the reporting period, with no material operational receipts or payments during the year.

Auditors: Apex Chartered Accountants continue to serve as auditors for the charity. Please see the report and accounts attached.

Post year end developments (for completeness)

Following the year end, the transfer of the undertaking to the CIO was completed on 10 May 2025 in accordance with the agreed transfer documentation, and the remaining administrative steps (including Land Registry registration) have continued to be progressed.

Future plans and commitments

The Trustees’ priorities for the next reporting period are to complete and finalise the Land Registry position as soon as practicable; to strengthen the CIO’s governance arrangements and bring the CIO fully into day-to-day operational and financial management; and to continue improving internal compliance to ensure the CIO is operating to a high standard.

Structure, governance and management

The Charity is a CIO governed by a Constitution dated 21 April 2021. The Trustees are legally responsible for ensuring that the charity works towards its charitable objectives and is operated in compliance with applicable legal requirements. Trustees are volunteers and do not receive remuneration.

Charitable purposes and public benefit

The CIO’s charitable purposes are set out in its Constitution and include the advancement of religion for the public benefit, including providing a place of worship and supporting religious education and community benefit activities.

The Trustees have had regard to the Charity Commission’s guidance on public benefit and confirm that the charity’s activities, whether delivered directly by the CIO or (during the transition period) by its predecessor charity, are carried out for the public benefit.

Risk management

The Trustees have considered the principal risks faced by the charity and have taken steps to manage and mitigate those risks in a proportionate way.

Given the CIO was financially dormant during the reporting period, the key risks identified related primarily to governance and the transition process, including (i) ensuring the legal transfer of assets is completed properly, (ii) ensuring appropriate financial controls are in place once the CIO becomes operational. These risks are mitigated through trustee oversight, use of professional advisers, maintaining clear records, and progressing core governance and compliance actions.

Trustee recruitment and induction

The CIO’s Constitution provides for the appointment of Trustees. New Trustees (when appointed) are provided with an induction that includes the CIO Constitution, key governance policies, an overview of the charity’s activities and finances, and relevant Charity Commission guidance.

Reference to financial statements

The accounts are attached to this report. They have been prepared by the charity’s accountants in accordance with the applicable reporting framework for charities, including the Charities SORP (FRS 102), as appropriate, and include the auditors’ report.

As noted above, the CIO was financially dormant for the reporting period and had no material income or expenditure.
