## **TRUSTEES' ANNUAL REPORT** 

## **For the year ended 31 March 2025** 

The directors, who are the Trustees of the charitable company for the purposes of charity law, present their annual report and financial statements of The Rock Church UK Ltd for the year ended 31 March 2025. The financial statements have been prepared in accordance with the accounting policies set out in note 1 to the accounts and comply with the charitable company's governing document, the Companies Act 2006, and charities regulations. Accounting and Reporting by Charities: Statement of Recommended Practice (SORP 2015), applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland published on 16 July 2014 (FRS102). 

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **Governing document** 

The Rock Church UK Ltd is a company limited by guarantee, registered with Companies House 9 March 2021 and registered as a charity with the Charity Commission in England and Wales on 27 April 2021. 

The governance of the charity is the responsibility of the Trustees. 

## **Recruitment and Appointment of Trustees** 

When it is necessary to appoint new Trustees, due to either a Trustee stepping down or a gap of expertise in the Board is identified, recruitment will initially begin through the networks of the Board and management team. Applicants will be reviewed by the Trustees and successful applicants will be invited to attend a Trustee meeting. Following this, on the provision that the Board are satisfied and the applicant still wishes to join the Trustee Board, they will be appointed. 

No other person or external body is entitled to appoint any Trustees of the charity. 

## **Induction and training of Trustees** 

The charity provides new Trustees with an induction pack and mentoring from existing Trustees. New Trustees are also strongly encouraged to meet with current Board members over the initial few months in order to gain a full and unbiased understanding of the charity. 

## **Trustees** 

The directors of the company are its Trustees for the purpose of Charity Law and are referred to collectively as Trustees in this report. 

The Trustees serving during the year and since the year-end were as follows:

Samantha Mcvey is a Trustee and a lead pastor for the church, for which she received a salary plus benefits £42,889 and related manse costs. Sharon 

Wood is also a Trustee on the charity, and she received bookkeeping fees of £7,950 during the year. 

## **Risk management** 

The Trustees have assessed the major risks to which the charity is exposed and are satisfied that systems are in place to mitigate exposure to the major risks. 

## **Purposes and aims** 

The advancement of the Christian faith and the promotion of Christian initiatives throughout the community, the UK and elsewhere including but not limited to the organisation and co-ordination of prayer meetings, evangelist meetings and other events in local churches and throughout the area. 

## **Principal activities of the charity** 

The principal activities of the Charity are set out below.

## **Public benefit** 

The Trustees have referred to the guidance contained in the Charity Commission's general guidance on public benefit when reviewing the charity's aims and objectives and in planning its future activities. In particular, the Trustees consider how planned activities will contribute to the aims and objectives that have been set. 

## **Review of activities during the year** 

## **Sundays:** 

From March 2024 - March 2025, we have continued to hold regular weekly Sunday services which include worship, preaching, teaching, prayer, and fellowship. Again, these services have grown in both number and participation with many of the congregation serving in a variety of areas including welcome, hospitality, music/media production and age-appropriate children’s sessions. 

We have also hosted four more Worship Nights that have brought all ages of the church together for a special night of worship, communion, and prayer. In addition, we have hosted three more baptism services which included a total of twenty individuals of all ages. 

We have hosted our first Welcome Lunch for all new members of the Rock Church community. This is an opportunity for new people to hear the story and vision of the church and ask any questions they may have about the journey and the future of Rock Church. The Welcome Lunch takes place after the morning service. 

## **Rock School:** 

In January this year we were able to appoint a new Rock School Leader who has focussed all attention on ensuring that our children have a vibrant, relevant, and fun experience at church. These children’s sessions have grown significantly, and we have been able to successfully launch a second room to accommodate younger children and enable the team to provide more age-appropriate learning and engagement. Rock School now hosts ‘Little Rockers’ for ages 3-7 years and ‘Big Rockers’ for ages 8-11years. 

Our Parent/Carer’s room, now called ‘Mini Rockers’ for babies and children 0-3 years, has played a major role in supporting families on a Sunday and has a wonderful caring community that connects with each other throughout the week also. 

## **Rock Youth:** 

In January this year we appointed a new Youth and Young Adults Pastor who has passionately developed a wonderful Youth ministry programme on Friday evenings. Our youth programme continues to thrive providing excellent teaching, thought provoking discussions around the Christian faith and fun activities for all young people aged 11-18 years. We have also successfully run a second Youth Alpha course which was again really well attended by all young people. 

## **Young Adults:** 

Our work with our Young Adults community continues to thrive acknowledging, supporting, and encouraging all young adults aged between 18 years and 28 years. This includes weekly group meetings to discuss and learn more about personal discipleship and also regular social activities including crazy golf, cinema trips, meal gatherings, walks etc. They are also planning a weekend away at a big church festival. 

## **Men’s Ministry:** 

Our Men’s ministry is going from strength to strength and gathers together men of all ages to build authentic friendships, discipleship, and fellowship. This ministry is proving to be an invaluable part of our church life and includes gatherings for breakfast, sporting activities, BBQ’s, snowboarding, golf, football, and walking to name a few. This year has seen more and more men gather for prayer and bible study too. 

## **Women’s Ministry:** 

We have hosted 4 women’s breakfasts this year which have brought together women of all ages and walks of life. The time has been invaluable in helping to build new friendships, deepen existing ones and encourage discipleship. The women’s ministry is now planning more events to support the women in the life of the church. 

## **Small Groups:** 

Our Small Groups have continued to thrive and grow with several new groups launched to support individuals of all ages and in all seasons of life. These groups provide great connection and community for many of our congregation mid-week with fellowship, discipleship, pastoral support, and prayer support. 

## **Elderly Outreach:** 

Our work to provide support to the isolated elderly within our communities has continued to grow and thrive with new referrals joining us at the Mid Herts Golf Club for afternoon tea once a month. This continues to be a very special initiative with many of our elderly guests appreciating the friendship and connection of others along with the volunteers from church who drive them to and from the venue. 

## **Partnerships:** 

Due to the ongoing generosity of our church, we have been able to financially support some other charities both locally and internationally who share similar objectives to ourselves. This has been inspiring and encouraging as we have seen the tremendous positive impact on individuals and families they work with. We have also developed a deeper relationship with a local charity offering weekly support practically in a range of ways. 

## **Alpha Course:** 

We have now run and completed almost four Alpha Courses for adults with another planned for September this year. As mentioned above we have also completed two Alpha courses for our Youth with a third one scheduled for January next year. 

## **Worship:** 

Our Worship Team has had an incredibly blessed year and have written over twelve new worship songs inspired by the journey of the church so far. Two of these songs have been recorded and released and now available on all music platforms making Rock Church worship available to all. 

They have launched ‘Worship Workshops’ which help to encourage and facilitate those with musical gifts and abilities to progress in their skills and navigate a way to be part of the overall worship team and continues through worship nights. These workshops have been bimonthly.

## **Marriage Course:** 

We have encouraged couples who want to invest in their marriage to sign up for an online marriage course in connection with HTB church. This sevenweek course is aimed at helping couples invest in and strengthen their marriage and also provides huge support to struggling marriages. Couples have received help pastorally from the Lead pastors who continue assist couples during the process where needed.  We are planning a marriage day later in the year to encourage and support couples who would like to continue investing into their marriage. 

## **Christmas:** 

This year we hosted our first Christmas event at the local theatre with over 300 in attendance including church members and visitors. This was an exceptional event and enabled us to build great connections with the theatre staff and management. As a result, we were able to secure the venue for our Easter service and again this was a great success and blessing to the local community. 

## **YouTube:** 

We have successfully launched our own church YouTube channel which allows us a church to upload a wide range of creative content including sermons, music, and personal stories.  This continues to serve a wide audience locally and internationally. 

## **Future Plans:** 

Due to the ongoing numerical growth of Rock Church, in June 2024 we secured a regular Sunday slot for our church services at The Eric Morecambe Centre,, This theatre is centrally located in Harpenden and has a 512-seat capacity. We are comfortable that this will accommodate the growing church numbers for the foreseeable future. 

We also plan to host another Christmas event and an Easter event that will be open again to the wider community. These will be family focussed. 

Due to our small group growth we plan to provide small group leader training to support those leading groups and accommodate more group leaders to host. 

We have more Welcome Lunches planned for the rest of the year and currently preparing Welcome Boxes for all new people. This will include gift items and information about The Rock Church story so far and the vision and plans for the future. 

## **FINANCIAL REVIEW** 

Total income for the year amounted to £575,836 and total expenditure amounted to £481,985 . The Charity incurred a net surplus for the year of £93,850. Details of charity’s financial results are shown in the Statement of Financial Activities on page 10. 

## Going Concern 

The Trustees have considered the Charity's reserves and projected income and expenditure and have a reasonable expectation that the charitable company has adequate resources to continue in operational existence for the foreseeable future. For this reason, they continue to adopt the going concern basis in preparing the financial statements. 

## Reserves Policy 

Charity Commission consider it prudent that unrestricted reserves should be sufficient to cover three months running costs. The Trustees are confident that future income will enable the charity to meet its foreseeable needs based on planned activity. 

## STATEMENT OF TRUSTEES RESPONSIBILITIES 

Company and Charity Law require the Trustees to prepare financial statements that give true and fair view of the state of affairs of the charity at the end of the financial year and of its surplus or deficit for the financial year. In doing so the trustees are required to: 

- Select suitable accounting policies and then apply them consistently 

- Make judgments and estimates that are reasonable and prudent 

- State whether applicable accounting standards have been followed, subject to any material departures disclosed and explained in the financial statements 

- Follow the methods and principles of the Charity SORP; and 

- Prepare the financial statements on the going concern basis unless it is inappropriate to assume that the group will continue in business. 

The Trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charity and to enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. 

The Trustees are responsible for the maintenance and integrity of the charity and financial information included on the charity's website in accordance with legislation in the United Kingdom governing the preparation and dissemination of financial statements. 

## PREPARATION OF THE REPORT 

In preparing this report, the Board of Trustees have taken advantage of the small Companies exemptions provided by section 415A of the Companies Act 2006. 29 Oct 2025

I report on the accounts of the company for the period ended 31 March 2025, which are set out on pages 10 to 13 

## **Respective responsibilities of Trustees and examiner** 

The Trustees (who are also the directors of the company for the purpose of company law) are responsible for the preparation of the accounts. The Trustees consider that an audit is not required for this year under section 144(2) of the Charities Act 2011(the 2011 Act) and that an independent examination is needed. 

Having satisfied myself that the charity is not subject to audit under company law and is eligible for independent examination, it is my responsibility to: 

- examine the accounts under section 145 of the 2011 Act; 

• to follow the procedures laid down in the general Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act; and 

- to state whether particular matters have come to my attention. 

## **Basis of independent examiner’s report** 

My examination was carried out in accordance with the general directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and consequently no opinion is given as to whether the accounts present a ‘true and fair view’ and the report is limited to those matters set out in the statement below. 

## **Independent examiner’s statement** 

In connection with my examination, no matter has come to my attention: 

1. which gives me reasonable cause to believe that in any material respect the requirements: 

to keep accounting records in accordance with section 386 of the Companies Act 2006; and to prepare accounts which accord with the accounting records, comply with the accounting requirements of section 396 of the Companies Act 2006 and with the methods and principles of the Statement of Recommended Practice: Accounting and Reporting by Charities have not been met; or 

2. to which, in my opinion, attention should be drawn in order to enable a proper understanding of  the accounts to be reached.

## **1. ACCOUNTING POLICIES** 

## **Basis of preparation of financial statements** 

The financial statements have been prepared under the historical cost convention with items recognised at cost or transaction value unless otherwise stated in the relevant note(s) to these accounts. The financial statements have been prepared in accordance with the Statement of Recommended Practice: Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) issued on 16 July 2014 and the Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland (FRS 102) and the Charities Act 2011. 

The financial statements have been prepared to give a 'true and fair' view and have departed from the Charities (Accounts and Reports) Regulations 2008 only to the extent required to provide a 'true and fair view'. This departure has involved following SORP 2015 rather than the Accounting and Reporting by Charities: Statement of Recommended Practice effective from 1 April 2005 (SORP 2005) which has since been withdrawn. 

## **Public benefit entity** 

The charitable company meets the definition of a public benefit entity under FRS 102. 

## **Going concern** 

The Trustees consider that there are no material uncertainties about the charity's ability to continue as a going concern. 

Key judgements that the charity has made which have a significant effect on the accounts include estimating income and expenditure for the next 12 months. 

## **Income** 

Income is recognised when the charity has entitlement to the funds: this is when any performance conditions attached to the income have been met, it is probable that the income will be received, and that the amount can be measured reliably. 

Income is only deferred when: The donor specifies that the grant or donation must only be used in future accounting periods; or for performance related grants, where these are received in advance of the performances or specific event to which they relate. 

## **Expenditure and irrecoverable VAT** 

Expenditure is recognised once there is a legal or constructive obligation to make a payment to a third party, it is probable that settlement will be required and the amount of the obligation can be measured reliably. Expenditure is considered all to relate to Charitable activities and includes the costs of delivering services undertaken to further the purposes of the charity and their associated support costs. 

## **Fund accounting** 

Restricted funds are to be used for specific purposes as laid down by the donor. Expenditure which meets these criteria is charged to the fund. Unrestricted funds are donations and other incoming resources received or generated for the charitable purposes. Designated funds are unrestricted funds earmarked by the trustees for particular purposes.
