## **TRUSTEES’ ANNUAL REPORT** 

## **Objectives and Activities** 

For the public benefit, the advancement of education in the arts in Oxford, and the surrounding area but not exclusively through the creation and performance of theatre productions. 

## **The Professional Programme** 

Since the beginning of April 2024 to the end of March 2025 Mandala has been focused on delivering activities in relation to our Professional Programme and Creative Learning Programme. From September to November 2024, we toured our professional show ‘Seed Guardians’ nationally. The play focuses on a human right that is denied to so many – the right to food. The play mirrors stories of food poverty and scarcity across the UK and Global South echoing the legacies of many inter-generational struggles against all-consuming corporate giants. According to National Statistics in 2022/23 ’11 million people or 7% of the population experienced food poverty including 17% of children in the UK. ‘Seed Guardians’ tells the story of a crisis that plagues our modern world. Interconnecting these stories with our need to return to nature and our need to nurture the Earth. 

The ‘Seed Guardians’ Tour Autumn 2024 received wonderful feedback, in relation to responses to the production in the 6 Cities/ Towns that we toured to: 

- Oxford – The North Wall Arts Centre. 

- Bristol – Trinity Centre. 

- Kent – Rose Bruford College. 

- Salford – University of Salford. 

- Luton – Hockwell Ring Community Centre. 

- London – City of Westminster College.

- ‘Seed Guardians’ achieved the following: 

- Toured to 6 UK cities/ towns 

- 17 performances to 1,010 audience members 

- 17 panel debates with 1,010 audience members • 5 School & University performances with Q&As with 360 young people 

- 8 workshop sessions with 180 young people 

- Reached over 700 young people from Ethnically diverse and White working-class 

Three of the professional performers came through the pathway of being in Mandala Young Company, in Oxford, auditioning for the professional company and two of them performing in their first national tour in ‘Seed Guardians’. All four of the actors are from the Global Majority and were enabled to have their talent and skill nurtured and seen throughout the UK. 

“ _It was such an immersive play; it takes an audience on a journey and transports you across the world. I think everyone will connect to it whether local or global level. We forget how disconnected general society has become from the earth, which is bizarre when you consider we live on it. Food poverty today when we grew up surrounded by people living sustainably. The bonds of family, human connection. The very real issues that we face as a global community. I laughed, I cried, and I left with feeling of a sense of hope. And side note, I loved the mention of Sadza and the sense of Shona. It took me right back to a holiday to Haare when I was younger. **‘Seed Guardians’ was generously funded by the Joseph Rowntree Foundations – Storytellers Fund to extend the Tour into Spring 2025.** We were able to tour to a further 4 cities/ towns focusing on going to schools, colleges, universities, and community centres rather than theatre venues. This enabled us to take theatre to young people and places who may not easily access theatre or the arts.

## **‘Seed Guardians’ Extended Tour achieved the following:** 

- Toured to 4 UK cities/ towns 

- 10 performances to 920 audience members (mainly young people aged 15 to 28 years) 

- 10 panel debates 

- 7 Creative workshop sessions with 255 young people 

- Reached over 596 people from Global Majority and White working-class backgrounds just under 50% had never been to the theatre before.

## **Creative Learning Programme** 

- ‘Uncaging our World’ International Youth Theatre Festival July 2024 - took place in Oxford from the 19-28 July 2024. 

Mandala Theatre Company co-hosted this festival with Oxfordshire Youth & Oxford City Council, Oxford-Ramallah Friendship Association (ORFA), Oxford University, Pegasus Theatre, the Old Fire Station, OVADA and International partners - Ashtar Theatre, Ramallah & CREARC, Grenoble. The 7-day International Festival focused on Environmental sustainability and Climate Change including the effects of war and conflict in greatly contributing to the Climate Crisis having been co-planned and delivered with young people in Mandala Youth Voice group, was a resounding success. 

Mandala Youth Voice group (12 young people) met up several times between January and July 2024, to plan the International Youth Theatre Festival with staff. During the Festival week itself, Mandala Youth Voice group were there to greet the international groups, read poems they had written at the Welcome Event and generally help deliver the festival alongside staff. They ran the Sport social event, helped to prepare, and clear spaces, lead workshop groups at the Symposium and demonstrated their ownership and commitment to making the festival happen. 

40 young people from Oxford participated in the festival, the majority new to Mandala Theatre Company – these included previous participants and new members of Mandala Young Company, young people recruited through EMBS college, OCA and Pegasus Theatre amongst others. 38 International young people attended in total. The International companies from Lithuania and Germany, and two companies from our twin city - Grenoble attended. Sadly, Ashtar Theatre young company were unable to obtain permits to travel to Jerusalem to get visas and so were unable to make it in person to the festival. Despite this huge disappointment the professional company from Ashtar Theatre were able to perform their incredible show ‘Oranges and Stones’ written by Mojisola Adebayo, twice, and there was a moving and emotional zoom call with the young company in Ramallah talking to the young people at the festival. Quantara Association, from Tunisia, also struggled to obtain visas, eventually two young people and two leaders from Tunisia participated in the festival. All groups performed their hugely creative and insightful, entertaining plays at Pegasus Theatre and the Old Fire Station with members of the public buying tickets to attend alongside the festival participants. 

6 International Productions, festival participants and the General Public were able to watch at Pegasus Theatre and The Old Fire Station including: **Mandala Young Company** with ‘Transmissions in Advance of the Second Great Dying’ by Jessica Huang. Rehearsals and Performance of the play took place in April and July. This opened the Festival on Saturday 20 July 2024, to an almost sold-out audience at Pegasus Theatre. A moving, funny, and epic tale of grief and global warming through the intersecting lives of Earth’s human and non-human inhabitants in 2045. 

We held an **International Symposium focused on the question - ‘How can the Arts be central to the sustainable world we want to create?’.** Hosted by Pembroke College, Oxford University, the day began with some wonderful Keynote speakers and panellists from Oxford University, Green Arts Oxfordshire Network, Cowley Collective and Oxford City Council. This all-day event moved into facilitated discussion groups, creative presentations and ended with the creation of a Youth Arts Charter which all the participants signed up to. 

**‘The Lost City of Atlantis’ - Parade and short performances in Oxford City centre.** Wonderful, vibrant, and moving performances were presented in the Westgate Centre, Bonn Square and Broad Street as a culmination of the week of creative workshops which took place every day of the festival. The story of an ancient, advanced civilisation, full of beauty and architecture, becomes corrupted by greed and the desire for power and

its apocalyptic collapse, sinking under the water. The parallels of this ancient story first recounted by Plato – the Greek Philosopher 2,300 years ago to life in today’s 21st Century was revealed by the young people, through Puppetry, Dance, Physical Theatre, Spoken Word, and Circus. **78 young people, supported by 17 Artists and 17 volunteers,** performed the outdoor spectacle and parade at 3 different locations, **to a total audience of 2,500 people in Oxford.** It was a joyous and entertaining event in the streets of Oxford. 

**‘Uncaging our World’ Festival ended an incredible week of creativity and connection with the Fire show ‘Fuego Maestro’ by Axel Tüscher from Histoires 100 Fins** and a time for the young people, artists, and staff 

to celebrate an incredible week with food, music, dancing and connecting. It was a memorable week, with many new friendships formed, cultural understandings developed, and creative skills learnt. 

**Speak Up! – Youth Leadership Programme** was an 8-week Youth Leadership course using expressive arts (spoken word, poetry, and drama) to help young people improve their English and develop the confidence and communication skills to act as leaders and advocates for their communities. It took place every Tuesday from 28 January to 25 March 2025 at EMBS college Oxford. 

The main beneficiaries were students aged 16-18 attending EMBS Community College. We worked with them, developing a long-term offer that genuinely delivered on the stated aims to improve confidence, social skills, language skills, self-expression and ultimately employability for these marginalised young people. The project also enabled us to provide further training and **paid employment for two of Mandala’s young facilitators, who have themselves come through Mandala’s Creative Learning and Young Company programmes, both from the global majority.** 

The course ended with a mini-sharing and certificate presentation, and a planned future project to allow them to practise their newfound leadership skills. Mandala Theatre Company Trustees have taken on the guidance to operate the charity in accordance with charity law and the charity’s purpose. We ‘have regard’ for the Charity commission's public benefit guidance which means: 

- we are aware of the guidance 

- we have taken it into account when making decisions to which the guidance is relevant 

- if we decide to depart from the guidance, we will have good reasons for doing so. 

Volunteers worked with us to make the ‘Uncaging our World’ International festival a success. 17 people helped with food preparation and serving, facilitating discussion groups at the Symposium and being stewards on the parade and performances in the city centre. We are so grateful to all they brought to this event. 

## **Achievements and Performance** 

There have been many achievements for Mandala Theatre Company over the last 12 months, where the work of the charity has made a difference to young people’s lives especially but also to society. These include: 

**The ‘Seed Guardians’ Extended Tour Spring 2025** was made possible by generous funding from the Joseph Rowntree Foundations’ Storyteller’s fund. The funding enabled Mandala to extend the tour into Spring 2025 and tour to 8 new venues, with specific audiences of young people and local communities in London, Liverpool, Leeds, and Oxfordshire, as we believe many more people needed to see this play and join the conversation.

**‘Uncaging our World’ International Youth Theatre Festival was the first of its kind in Oxford since 2014.** The Feedback highlights what it meant to the participants: 

_‘My biggest highlight of the festival was performing the outdoor show and parade. I was performing in front of the largest audience that I had experienced, and I remember getting overwhelmed afterwards from the immense happiness that the festival brought me. Festivals like ‘Uncaging our World’ can be a life-changing experience for any young person.’_

The achievements Mandala has made in relation to the objectives set are: 

The advancement of education in the arts in Oxford, and the surrounding area: 

- 1) **Creative workshops with young people and students for the ‘Seed Guardians’ tours in the Autumn 2024 and Spring 2025** exploring Food Poverty in the UK and Food Sovereignty and ownership globally in schools, universities, colleges, and NGOs. 

- 2) **Mandala Young Company learning creative and theatre skills and performing** ‘Transmissions in Advance of the Second Great Dying’ by Jessica Huang to international audiences in Oxford as part of the ‘Uncaging our World’ Festival. 

A moving, funny, and epic tale of grief and global warming through the intersecting lives of Earth’s human and non-human inhabitants in 2045. 

_‘A thought provoking and visually arresting production. The performances are compelling, with the cast delivering particularly memorable portrayals that anchor the play’s emotional core across the board.’_ Review by Tayah Fraser - Creative Writing group 

- 3) **Mandala Young Company were part of creating and performing in ‘The Lost City of Atlantis’ parade and performances** in the streets of Oxford as part of the international festival. 

- 4) **Two professional tours of ‘Seed Guardians’ by Yasmin Sidhwa with poetry by Jenny Lewis, in Autumn 2024 and Spring 2025,** exploring Food Poverty in the UK and Food Sovereignty and ownership globally toured to schools, colleges, universities and theatre audiences in Oxfordshire and nationally. 

- 5) **International Symposium** (part of International Festival) **focused on the question - ‘How can the Arts be central to the sustainable world we want to create?’** . Hosted by Pembroke College, Oxford University, the day began with some wonderful Keynote speakers and panellists from Oxford University, Green Arts Oxfordshire Network, Cowley Collective and Oxford City Council. This all-day event moved into facilitated discussion groups, creative presentations and ended with the creation of a Youth Arts Charter which all the participants signed up to. 

Mandala’s Fundraising activities have involved a huge amount of partnership working, especially with Education establishments, including: 

- Funding from Oxford University through their Cultural Programme fund with Professor Danny Dorling. 

- Local authority funding through Oxford City Council Big Ideas and Big Impact Funds 

- Joseph Rowntree Foundation – Storyteller’s Fund – enabled an extended tour of ‘Seed Guardians’ in Spring 2025. 

- Donations from Oxfam, local business Lucy Properties, in kind support from Oxford University colleges – Somerville and Pembroke, and regular Mandala donors, made ‘Uncaging our World’ International Youth Theatre Festival happen, plus core funding from Arts Council England, as we are an NPO. 

## **Financial Review** 

The Charity remains financially secure, as much as we can be within the arts and current external circumstances. We continue to develop strong partnership working, which is often combined with securing funding. The company uses an accounts package linked to the bank account which provides better tracking and reconciliation of income and expenditure, profit and loss and is familiar with the accountants delivering the audit. We manage financial resources well and spend within our means. There are sometimes short-term issues of cashflow which arise from the nature of project funding when secured grants are paid in instalments.   We

are in a reasonably good financial position with a reserves policy in place (see below) but need to keep growing our income to ensure our creative programme has funding in place to ensure plans can be followed through. Our three-year funding with Arts Council England as one of their National Portfolio Organisations which is providing core funding to Mandala from April 2023 to 2026 has now been extended to 2027 and we will be applying for this to continue to 2028. This is enabling the company to plan with greater confidence and security. 

Within the current Business Plan, Mandala has developed its reserves from a zero-standstill position so that unrestricted funds are sufficient to: 

- Cover the notice period of staff (3 months minimum) 

- Terminate or cover other contractual obligations in case of closure 

- Provide funds to cover any legal costs of closure 

In recognition of Mandala’s growth, assets, and equipment we aim to expand our Reserves to ensure equipment and assets can be purchased to enable the organisation to function professionally and a programming fund set up to enable the organisation to seed and produce new work, often before funding is secured or to be used as match-funding for securing additional grants. The Reserves Policy therefore contains 2 new areas (funding permitted): 

- Asset and Equipment Replacement 

- Programming and Programme Development 

## **Reserves Accounting Year 2024/25 following independent examination in November 2025.** 

**Unrestricted reserves: £170,203** 

**Restricted reserves: £15,265** 

**Total reserves: £185,468.** 

## The Charity’s principal sources of funding are: 

Core funding from Arts Council England, Trusts and Foundations, Local authority, Earned Income from performances and workshops, Private donations. The principal risks facing the charity are: 

**1: Financial:** Artistically we’re growing and developing but to become sustainable, the company needs more core funding in addition to ACE and Oxford City Council core funding and to secure an Impact and Evaluation post. The ACE core funding has enabled us to employ a part-time Fundraiser, Communications Producer and Administration and Finance Officer. 

_Risk:_ Wellbeing of Artistic Director with all other staff only being part-time. Artistic Director is working long hours. 

_Mitigate:_ Successful application for NPO funding from ACE (for April 2023-March 2027) and other funders for core funding. We have applied to numerous Trusts and Foundations and hope more of these will be successful and apply for further longer-term funding. 

2: **Earned Income:** from Box Office or charging workshop fees is very precarious for Mandala’s work. To reach the diverse audiences we want to, it is a very difficult challenge and balancing act with the need to raise Earned Income, while trying to access new and diverse audiences. 

_Risk:_ Unpredictable nature of earning income. For the Audiences we want to work with, theatre is not part of their cultural spend and the pandemic and cost-of-living crisis has further cemented this. 

_Mitigate:_ The nature of the pathways we are trying to establish for Ethnically diverse and those from lower socio-economic backgrounds do have financial implications. Long term funding from one or two Trusts or Foundations.

- **3: Lack of a Permanent base:** short term leases, space to build and make work, storage (not being able to recycle and reuse etc). These result in increased costs and less ability to be more sustainable, which is something we are working on. 

We are currently resident company with Oxfordshire Youth where we have access to office and meeting room space, but rehearsal space is difficult to access. The space is only temporary, we hope it will become permanent soon. 

## **Structure, Governance and Management**

## APPOINTMENT OF CHARITY TRUSTEES 

1) Apart from the first charity trustees, every appointed trustee must be appointed for a term of three years by a resolution passed at a properly convened meeting of the charity trustees. 

2) In selecting individuals for appointment as appointed charity trustees, the charity trustees must have regard to the skills, knowledge and experience needed for the effective administration of the CIO. 

3) We have recently created a Young Trustee Pathway, where one or two young people aged 21 years + (who have been part of Mandala Young Company or Mandala Youth Voice) can be invited to become a Trustee for an initial period of one year. After this the Board can decide to invite them to become full Trustees and extend their place for an additional two years.

The Founder and Artistic Director of Mandala Theatre Company was employed and tasked by the Trustees to run the day-to-day activities of the charity from April 2021 to present. She is tasked with reporting back to the Board of Trustees four times per year on both the business and finances of the charity, including at the AGM where the financial accounts are presented by the Charity’s accountants - SPX Accountants, Oxford. Mandala Theatre Company is resident company at Oxfordshire Youth - this relationship has a MOU which is mainly there to support partnership funding applications, joint projects and continuing to provide a base for the charity. The two organisations function completely separately in terms of governance.

The trustees are responsible for preparing the Trustees’ Annual Report and the financial statements in accordance with applicable law and regulations. 

Charity Law requires the trustees to prepare financial statements for each financial year. Under that law the trustees have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law). 

In preparing these financial statements, the trustees are required to: 

- select suitable accounting policies and apply them consistently. 

- observe the methods and principles in the Charities SORP 

- make judgements and estimates that are reasonable and prudent. 

- state whether applicable UK Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements. 

- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charitable company will continue in operation. 

The trustees are responsible for keeping adequate accounting records that are sufficient to show and explain the charity’s transactions and disclose with reasonable accuracy at any time the financial position of the charitable company and which enable them to ensure that the financial statements comply with the Charities Act 2011. They are responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

I report on the accounts of the Charity for the period ended 31 March 2025, which are set out in pages 12 - 20 

## **Respective responsibilities of trustees and examiner** 

As the charity’s trustees you are responsible for the preparation of the accounts; you consider that the audit requirements of s144(2) of the Charities Act 2011 (the 2011 Act) does not apply and that an Independent Examination is needed. It is my responsibility to state, based on procedures specified in the General Directions given by the Charity Commissioners under s145 of the 2011 Act, whether particular matters have come to my attention. 

## **Basis of independent examiner’s report** 

An examination was carried out in accordance with the General Directions given by the Charity Commissioners.  An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records.  It also includes consideration of any unusual items or disclosures in the accounts and the seeking of explanations from you as trustees concerning any such matters.  The procedures undertaken do not provide all the evidence that would be required in an audit and, consequently, I do not express an audit opinion on the accounts.

## **1. ORGANISATION STATUS** 

Mandala Theatre Company CIO is a Charitable Incorporated Organisation. 

## **2. ACCOUNTING POLICIES** 

## **Basis of accounting** 

The charity constitutes a public benefit entity as defined by FRS102. 

These financial statements have been prepared under the historical cost convention and in accordance with applicable United Kingdom accounting standards and the requirements of the Statements of Recommended Practice 2019 (SORP 2019), ‘Accounting and Reporting by Charities’, issued by the Charities Commission and the Companies Act 2006, with FRS102. 

## **Fund accounting** 

Unrestricted funds are available for use at the discretion of the trustees in furtherance of the general objectives of the charity. 

Restricted funds are funds which are to be used in accordance with specific restrictions imposed by the donor or trust deed. 

## **Income** 

All income is included in the statement of financial activities when the charity is legally entitled to the income and the amount can be quantified with reasonable accuracy. Voluntary income is received by way of grants, donations and gifts and is included in full in the Statement of Financial Activities when receivable. Grants, where entitlement is not conditional on the delivery of a specific performance by the charity, are recognised when the charity becomes unconditionally entitled to the grant. 

## **Investment income and interest receivable** 

Income from investments and deposit interest is included in the statement of financial activities when it becomes receivable.  Investment income is included gross of recoverable taxation. 

## **Expenditure** 

Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all costs related to the category. Expenditure represents amounts invoiced, including value added tax. 

## **Fixed assets** 

Fixed assets (excluding investments) are stated at cost less accumulated depreciation. All assets costing £500 or more are capitalised and valued at historical cost. 

## **Depreciation** 

Depreciation is calculated to write off the cost of an asset, less its estimated residual value, over the useful economic life of that asset as follows: Office furniture – 20% straight line 

Computer equipment – 33% straight line 

## **Taxation** 

The Charity is exempt from corporation tax on its charitable activities.

Oxford City Council provided funding towards both core costs and project funding. Further information has emerged during the preparation of the 2024-25 accounts which shows that the funding received in 2023-24 and previous years was in fact fully spent.
