## 1.0 Introduction 

The trustees present their annual report for the year ending 31[st] December 2022. The financial statements have been prepared on the “Receipts and Payments” basis as defined by the Charity Commission to apply to a charity of our size. 

## 2.0 Reference and administrative details

## Trustees 

Sing Healthy Choirs was run by an initial set of trustees to manage the process of becoming a charity which was achieved on 24[th] April 2021. The first AGM was held on 25[th] May 2021 when there were a number of changes to the trustee structure.

In compliance with our constitution, two of the trustees (Ann Shaw and Lynn Marshall) stood down at the annual AGM on 26[th] May 2022. No members wished to stand for election and Ann and Lynn were re-elected unopposed back into their posts. 

## 3.0 Structure, governance and management 

Sing Healthy Choirs CIO is governed by its Constitution document of 26[th] April 2021. The Constitution defines the objects of the charity and the associated controls and governance around it. 

## 4.0 Objectives and activities 

Sing Healthy Choirs CIO has two objects for the benefit of the public:- 

1. To promote, improve, develop and maintain public education in, and appreciation of, the art and science of music in all its aspects by any means the CIO trustees see fit including through the presentation of public concerts and recitals

2. Such charitable purposes for the public benefit as are exclusively charitable according to the laws of England and Wales as the trustees may from time to time determine 

The charity seeks to fulfil its objects through the running of choirs that benefit both the members in their enjoyment of music and also the general public who benefit from the choir performances. 

Charitable donations are made to, primarily, local charities when the funding position of the charity permits. 

The trustees have complied with the duty in section 4 of the Charities Act 2006 to have due regard to the public benefit guidance published by the Charity Commission.

## 5.0 Achievements and performance 

## 5.1 General situation 

2022 represented the first full year of Sing Healthy Choirs being a CIO and also saw the transition to more normal operation after the constraints of Covid had been relaxed. Sing Healthy has continued to operate two choirs, one more oriented towards classical choral repertoire and the other to popular contemporary music. This continues to be a good mix, offering the members a choice and some do attend both. 

The post-Covid world allowed us to return to indoor rehearsals albeit through compliance with Making Music recommendations on distancing, cleaning and ventilation. Despite initial nervousness, we saw the return of most of our members and confidence grew with the arrangements in place (as it did in broader society). The trustees continue to be grateful to the organisers and members in establishing the safe environments at all our venues and following the guidance. 

Our two Music Directors developed repertoires for both choirs that were challenging in parts and immensely enjoyable. The trustees are similarly indebted to the Directors for their talent, musicality and willingness to try many new approaches for the enjoyment of the members and general public. 

Overall, our membership numbers have marginally increased. There is some seasonality to the membership numbers, but the trend is positive and we are pleased to welcome new people. The trustees provide the membership with newsletters to keep them abreast of choir activities, plans and charitable donations. 

As part of an overall strategic review of the charity, the trustees have engaged with the membership on different aspects of the choirs in order to determine where changes and improvements might be made. The responses to the engagement were overwhelmingly positive and supportive although there were some suggestions for changes. Some of these changes (e.g. a move of rehearsal location for one of the choirs) have already been implemented. 

## 5.2 Performances 

We have been able to hold a number of successful public performances this year as we have returned to more normal activities.  In April, we staged a Wokingham choir concert centred around Faure’s Requiem. This had been originally planned to take place in 2020, but cancelled due to the first lock down. 

July saw the Bracknell choir stage a Jubilee concert in conjunction with Ascot Brass. The concert comprised musical pieces from each decade of the Queen’s reign.

A summer concert/picnic was also held in July for the choir members, family and friends. This provided an opportunity for both choirs to come together, to enjoy each other’s music and to sing joint pieces.   Our CLASP Choir for adults with learning disabilities took part, too. 

In November, Wokingham choir staged a concert of chamber music and songs of Ralph Vaughan Williams with the Berkshire Maestros talented orchestra of young musicians, Camerata. 

Finally in December, we had our joint choirs Christmas concert in conjunction with CLASP self-advocacy charity. 

All our organised concerts proved to be very popular and appreciated. All were profitable and donations were presented to our chosen charities. 

Christmas time also saw the members doing multiple fundraising and publicity “sing outs” of popular carols at various Wokingham and Bracknell town centre locations. 

## 5.3 Charitable giving 

The charity has been very pleased to make an increased number of charitable donations this year from our concert profits. Recipient charities: 

**Link Visiting Scheme** - The Link Visiting Scheme was founded more than 20 years ago to help reduce loneliness amongst older people and to bring generations together in friendship and shared experiences. 

**Thames Hospice** (via Ascot Brass) – The charity’s highly skilled staff and volunteers work with patients and their families to develop a complete programme of care tailored to their needs, treating everyone with dignity and respect. 

**COATS** - Crowthorne Old Age to Teen Society is a charity whose object is to promote the welfare of Senior Citizens within Crowthorne and the surrounding area. It provides companionship, lunches, teas, activities, entertainment and services for local older people. 

**Berkshire Maestros** – A charity that provides high quality music opportunities and education in schools and centres across Berkshire. 

**First Days** - First Days was started in 2013 in response to needs in the local community in Berkshire. First Days reduces the long term effect of poverty on children by equipping them with the essential items they need for their early years and at school. 

**Pilgrim Hearts Trust** – Serving the poorest in our communities by helping the homeless and vulnerable adults. 

**Caring, Listening and Supporting Partnership (CLASP)** – a self-advocacy group for adults with learning disabilities

## 6.0 Financial review 

The return to more normal post-Covid operation of Sing Healthy Choirs has meant some significant changes in the financial performance. 

Overall the charity made a profit of just over £1.8k. However, some exceptional payments of approximately £2.3k were made in the year to our Music Directors such that the underlying profit for the year was over £4k. These exceptional payments were to make up for the reduction in fees which they generously accepted in 2021. The trustees agreed that the improvement in our overall financial position meant that we could address the underpayment. 

Our cash reserves have increased to just over £14k which represents our target level of approximately 50% of our subscription income. 

Our approach to charitable donations is to use the profits from our concerts. The increase in the number of concerts and the generosity of our audiences has allowed us to make over £5k in donations to a range of local charities selected by our members. 

(Note that for ease of comparison the numbers for 2021 in the CC16A table have been recut to align as far as possible with the line items for 2022)

## 6.1 2022 Commentary 

Comments are made on an exception basis 

## 6.1.1 Income 

The bulk of the charity’s income is sourced from member subscriptions. Subscription charges have remained unchanged and the increase in income represents an increase in membership, largely driven by the return to in-person rehearsals. 

The income for all the concerts has been aggregated in the accounts for simplicity. The additional concerts in 2022 has markedly increased the concert income over 2021. 2022 was the first full year as a charity and that is reflected in the Gift Aid income. The accounts now separate the Gift Aid claimed on subscriptions and the GASD claims from concerts and other events. 

The increase in events is also reflected in the music score income (and costs). The charity partially subsidises music scores for the members and in 2022 this subsidy amounted to just under £600 (i.e. the difference between music income and costs). 

## 6.1.2 Expenditure 

Our two Music Directors (and associated car mileage costs) continues as expected to represent the major area of spend for the charity. As noted at 6.0 above, their costs were increased this year by the repayment of rehearsal fees that were reduced in 2021. 

The trustees are delighted that the 2022 charitable donations were a fourfold increase over those possible to be made in 2021.  The number of concerts drives the level of donations and concert costs – hence the significant increase in numbers for these items vs 2021. Our overall approach is to keep the concerts financially “self-contained” with any surplus generated over the costs forming the charitable donation. We carry a risk margin in our financial planning for the potential of making a concert loss, but we have not needed to make any use of this in 2022. 

## 7.0 Plans for future periods 

The trustees have felt 2022 to be a much-welcomed return to normal operation and the increase in public singing concerts and carol-singing sessions has been a source of enjoyment for all. 

As a consequence, the trustees have had more time to think about how the charity might progress and initiated a broader strategic review of its activities to identify changes which might be made to improve. This process is still under review and discussion with our Music Directors who are pivotal to the week to week singing activities with the members.

Some improvements have already been made and the trustees are not expecting radical change given the overall positive feedback from the members on the current status quo. However, there are likely to be minor adjustments made as the opportunities arise. The trustees believe that Sing Healthy Choirs CIO continues to be well set up to meet our charitable objects.

I report to the trustees on my examination of the accounts of the above charity (“the Trust”) for the year ended 31/12/2022 

**Responsibilities and** As the charity trustees of the Trust, you are responsible for the preparation **basis of report** of the accounts in accordance with the requirements of the Charities Act 2011 (“the Act”). 

I report in respect of my examination of the Trust’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination, I have followed the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act. 

**Independent** I have completed my examination.  I confirm that no material matters have **examiner's statement** come to my attention (other than that disclosed below *) in connection with the examination which gives me cause to believe that in, any material respect: 

- accounting records were not kept in accordance with section 130 of the Act or 

- the accounts do not accord with the accounting records
