The trustees present their report and financial statements for the year ended 31 December 2022.
The financial statements have been prepared in accordance with the accounting policies set out in note 1 to the financial statements and comply with the charity's articles of association, the Companies Act 2006 and "Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)".
Objectives and activities
Formed on 7 November 2019 as a charitable company (company number 12303342), the EA Foundation became a registered charity in April 2021 (charity number 1194169 in England and Wales). As a result, 2022 represented our first full year operating as a charity and brought many exciting developments.
The Board of Trustees remains committed to our mission of providing financial support to organisations to help them address issues aligned to our core strategic pillars which are:

to provide educational opportunities , particularly for disadvantaged individuals and communities;
-
to improve access to basic services and infrastructure to disadvantaged communities, including but not limited to healthcare, clean water and electricity;
-
to support people in reduced circumstances, without sufficient means, or those who are experiencing times of need thereby providing important support for the relief of poverty or other forms of disadvantage such as disability;
-
to address environmental challenges and promote sustainable development, both in its own right and through the pursuit of the other key areas of focus listed here;
-
to ensure rapid and effective emergency responses to crises across the globe.
The trustees have paid due regard to guidance issued by the Charity Commission in deciding what activities the charity should undertake.
Achievements and performance
Our focus over the year was on our core grant-making activities. We worked with partners to conclude and monitor the first set of grants that were approved in late 2021. We also made a number of additional project grants and the first contributions to emergency appeals as detailed below.
We also spent time understanding the needs and priorities of the organisations and communities we work with, nurturing relationships and setting up structures to fund impactful projects. The Board intentionally focused on forging such relationships with both UK and international partners.
To enable us to fulfil our commitment to respond in an agile way to global crises, especially in light of the significant upheaval we saw last year, we established an emergency response partnership with the British Red Cross. This allowed us to rapidly contribute to crisis responses to the conflict in Ukraine and the food crisis in Africa.
Financial review
In total, our spending consisted of £167,426 in grant awards (2021: £93,782) and £17,652 on administrative overheads (2021: £2,565). We were able to keep our costs low in large part because various staff at Energy Aspects donated their time to support us in several areas including communications, finance, administration and graphic design. We appreciate all of this assistance, which was provided free-of-charge and has not been monetised in these accounts or by Energy Aspects Ltd.
Our revenue in the year totalled £5,063,597 (2021: £146,858). This included a donation of $100,000 (£82,471) from Energy Aspects Ltd and exceptional income of £4.97m received in August from the sale of shares in Energy Aspects Ltd that were previously gifted to the EA Foundation. The remaining £17,949 was bank interest. These funds put us into a position to significantly scale-up our grant-making activity.

As planned the trustees developed a new reserves policy for the charity. At the year end the charity had free reserves of £4,941,048.
The Board is looking to develop an investment policy to cover the next 3-5 years.

The Board has assessed the major risks to which the charity is exposed, and are satisfied that systems are in place to mitigate exposure to the major risks.
Grant Making
Even against a backdrop of global uncertainty, the Board is pleased to report that we awarded almost twice the value of grants in 2022 and the previous year. The individual awards are detailed below:
Project Funding
Feed the Minds
Grant value: £20,000 Location: Madagascar
Project summary: To establish a sustainable silk production value chain to increase incomes in the community and promote the protection and restoration of the mangrove forest of Bombetoka Bay, Madagascar.
United World Schools (UWS)
Grant value: £37,725 Location: Nepal
Project summary: To construct the UWS Laligurans school in the remote Nepalese village of Pipal Bote in the Sankhuwasabha district and cover the running costs for the first five years.
African Children’s Fund in partnership with the Mwana Trust
Grant value: £22,000 Location: Zimbabwe
Project summary: To construct a library hub and equip it with books and computers at Rowa Primary School in the Mutare Rural District in Zimbabwe.
Emergency Response
We established our emergency relief partnership with the British Red Cross in early 2022 and made our first donation to Ukraine Crisis in March, follows by our support for the Africa Food Crisis. We were delighted to have our support acknowledged in the British Red Cross Annual Trustee Report (Page 26).

Plans for future periods
The Board has set out ambitious plans to effectively utilise the income from the share sale through a range of activities including:
Grant-making
- We will increase funding opportunities by facilitating reactive and proactive grant giving with both new organisations and existing partners that have achieved the greatest impact.
Partnership working

Trustee Amrita Sen and one of our volunteers will kick off the new year by visiting our partners Sanitation First India and The Cycle in India to monitor progress of two of the first projects we funded to learn about the impact of our funding through first hand stories of change from the targeted communities.

We will continue to work with both existing partners and sourcing new organisations to better understand how we can add value to their work through our funding.
Operations

We plan to recruit a Foundation Director to ensure a more focused approach to scaling up our grant making activities

We are working to refine our strategic approach and strengthen our systems and processes, including core policies and procedures.

We plan to start publishing data on our grant-making activities in line with the 360Giving Initiative, as part of our commitment to open and transparent charitable giving.
Network strengthening
- Having joined the Association of Charitable Foundations (ACF) in 2022, we will continue to deepen our engagement with other relevant networks in coming years.
Structure, governance and management
The charity is a company limited by guarantee.
The trustees, who are also the directors for the purpose of company law, and who served during the year and up to the date of signature of the financial statements were:

The original trustees are the founders of the charity and all work for Energy Aspects Ltd, the main donor to the charity. Two trustees are not employees of Energy Aspects Ltd.
None of the trustees has any beneficial interest in the charitable company.
All of the trustees are members of the charitable company and guarantee to contribute £1 in the event of a winding up.
Auditor
In accordance with the company's articles, a resolution proposing that Alliotts LLP be reappointed as auditor of the company will be put at a General Meeting.

STATEMENT OF TRUSTEES' RESPONSIBILITIES
FOR THE YEAR ENDED 31 DECEMBER 2022
The trustees, who are also the directors of EA Foundation for the purpose of company law, are responsible for preparing the Trustees' Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).
Company Law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources, including the income and expenditure, of the charitable company for that year.
In preparing these financial statements, the trustees are required to:

select suitable accounting policies and then apply them consistently;

observe the methods and principles in the Charities SORP;
-
make judgements and estimates that are reasonable and prudent;

state whether applicable UK Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements; and
-
prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in operation.
The trustees are responsible for keeping adequate accounting records that disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

INDEPENDENT AUDITOR'S REPORT TO THE TRUSTEES OF EA FOUNDATION
Opinion
We have audited the financial statements of EA Foundation (the ‘charity’) for the year ended 31 December 2022 which comprise the statement of financial activities, the balance sheet and notes to the financial statements, including significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 The Financial Reporting Standard applicable in the UK and Republic of Ireland (United Kingdom Generally Accepted Accounting Practice).
In our opinion, the financial statements:

give a true and fair view of the state of the charitable company's affairs as at 31 December 2022 and of its incoming resources and application of resources, for the year then ended;

have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and
-
have been prepared in accordance with the requirements of the Companies Act 2006.
Basis for opinion
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditor's responsibilities for the audit of the financial statements section of our report. We are independent of the charity in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC’s Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.
Conclusions relating to going concern
In auditing the financial statements, we have concluded that the trustees' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.
Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the charity’s ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.
Our responsibilities and the responsibilities of the trustees with respect to going concern are described in the relevant sections of this report.
Other information
The other information comprises the information included in the annual report other than the financial statements and our auditor's report thereon. The trustees are responsible for the other information contained within the annual report. Our opinion on the financial statements does not cover the other information and we do not express any form of assurance conclusion thereon. Our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the course of the audit, or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact.
We have nothing to report in this regard.
Matters on which we are required to report by exception
We have nothing to report in respect of the following matters in relation to which the Charities (Accounts and Reports) Regulations 2008 require us to report to you if, in our opinion:

sufficient accounting records have not been kept; or

the financial statements are not in agreement with the accounting records; or

Responsibilities of trustees
As explained more fully in the statement of trustees' responsibilities, the trustees, who are also the directors of the charity for the purpose of company law, are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the trustees determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error. In preparing the financial statements, the trustees are responsible for assessing the charity’s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the trustees either intend to liquidate the charitable company or to cease operations, or have no realistic alternative but to do so.
Auditor's responsibilities for the audit of the financial statements
We have been appointed as auditor under section 144 of the Charities Act 2011 and report in accordance with the Act and relevant regulations made or having effect thereunder.
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor's report that includes our opinion. Reasonable assurance is a high level of assurance but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.
Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud, is detailed below.

Use of our report
This report is made solely to the charity’s trustees, as a body, in accordance with part 4 of the Charities (Accounts and Reports) Regulations 2008. The company is entitled to the exemption from the audit requirement contained in section 477 of the Companies Act 2006, for the year ended 31 December 2022, although an audit has been carried out under section 144 of the Charities Act 2011.
The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of financial statements.

1 Accounting policies
Charity information
EA Foundation is a private company limited by guarantee incorporated in England and Wales. The registered office is 25 North Colonnade, London, E14 5HZ.
1.1 Accounting convention
The financial statements have been prepared in accordance with the charity's Articles of Association, the Companies Act 2006 and "Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)". The charity is a Public Benefit Entity as defined by FRS 102.
The financial statements are prepared in sterling, which is the functional currency of the charity. Monetary amounts in these financial statements are rounded to the nearest £.
The financial statements have been prepared under the historical cost convention.
1.2 Going concern
At the time of approving the financial statements, the trustees have a reasonable expectation that the charity has adequate resources to continue in operational existence for the foreseeable future. Thus the trustees continue to adopt the going concern basis of accounting in preparing the financial statements.
1.3 Charitable funds
Unrestricted funds are available for use at the discretion of the trustees in furtherance of their charitable objectives.
1.4 Income
Income is recognised when the charity is legally entitled to it after any performance conditions have been met, the amounts can be measured reliably, and it is probable that income will be received.
Cash donations are recognised on receipt. Other donations are recognised once the charity has been notified of the donation and a cash value can be established with reasonable certainty, unless performance conditions require deferral of the amount. Income tax recoverable in relation to donations received under Gift Aid or deeds of covenant is recognised at the time of the donation.
Legacies are recognised on receipt or otherwise if the charity has been notified of an impending distribution, the amount is known, and receipt is expected. If the amount is not known, the legacy is treated as a contingent asset.
1.5 Expenditure
Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit to a third party, it is probable that a transfer of economic benefits will be required in settlement, and the amount of the obligation can be measured reliably.
Expenditure is classified by activity. The costs of each activity are made up of the total of direct costs and shared costs, including support costs involved in undertaking each activity. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs which contribute to more than one activity and support costs which are not attributable to a single activity are apportioned between those activities on a basis consistent with the use of resources. Central staff costs are allocated on the basis of time spent, and depreciation charges are allocated on the portion of the asset’s use.
Expenditure is allocated to each charitable activity on a direct cost basis, or as an apportionment of support costs based on time spent by staff/volunteers

1.6 Cash and cash equivalents
Cash and cash equivalents include cash in hand, deposits held at call with banks, other short-term liquid investments with original maturities of three months or less, and bank overdrafts. Bank overdrafts are shown within borrowings in current liabilities.
1.7 Financial instruments
The charity has elected to apply the provisions of Section 11 ‘Basic Financial Instruments’ and Section 12 ‘Other Financial Instruments Issues’ of FRS 102 to all of its financial instruments.
Financial instruments are recognised in the charity's balance sheet when the charity becomes party to the contractual provisions of the instrument.
Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.
Basic financial assets
Basic financial assets, which include debtors and cash and bank balances, are initially measured at transaction price including transaction costs and are subsequently carried at amortised cost using the effective interest method unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest. Financial assets classified as receivable within one year are not amortised.
Basic financial liabilities
Basic financial liabilities, including creditors are initially recognised at transaction price unless the arrangement constitutes a financing transaction. Financial liabilities classified as payable within one year are not amortised.
Derecognition of financial liabilities
Financial liabilities are derecognised when the charity’s contractual obligations expire or are discharged or cancelled.

None of the trustees (or any persons connected with them) received any remuneration or benefits from the charity during the year.
6 Employees

7 Taxation
The charity is exempt from tax on income and gains falling within section 505 of the Taxes Act 1988 or section 252 of the Taxation of Chargeable Gains Act 1992 to the extent that these are applied to its charitable objects.

11 Related party transactions
There were no disclosable related party transactions during the year (2021 - none).
As detailed in the Trustees' Report, four of the trustees are employees of Energy Aspects Ltd, which is the source of all donations to the charity.
The charity also has a minor shareholding in a class of shares of EA Group Holdings Ltd (the ultimate parent of Energy Aspects Ltd) which is not valued in these accounts as the trustees are not able to establish a value, as consideration could only be realised in certain circumstances, which the trustees currently regard as remote.

We have fulfilled our responsibilities as directors of the charitable company under the Companies Act 2006 for preparing financial statements, in accordance with the applicable financial reporting framework, the Statement of Recommended Practice for Charities, SORP FRS102 (FRS 102 SORP) that give a true and fair view and for making accurate representations to you as auditors.

We confirm that all accounting records have been made available to you for the purpose of your audit, in accordance with your terms of engagement, and that all transactions undertaken by the charitable company have been properly reflected and recorded in the accounting records. All other records and related information, including minutes of all management and members' meetings, have been made available to you. We have given you unrestricted access to persons within the charitable company in order to obtain audit evidence and have provided any additional information that you have requested for the purposes of your audit.

We confirm that significant assumptions used by us in making accounting estimates, including those measured at fair value, are reasonable.

We confirm that all known actual or possible litigation and claims whose effects should be considered when preparing the financial statements have been disclosed to the auditor and accounted for and disclosed in accordance with the applicable financial reporting framework (FRS 102 SORP).

We confirm that there have been no events since the balance sheet date which require disclosing or which would materially affect the amounts in the financial statements, other than those already disclosed or included in the financial statements.

We confirm that we are aware that a related party of the charity is a person or organisation which either (directly or indirectly) controls, has joint control of, or significantly influences the charity or vice versa and as a result will include: trustees/directors, other key management, close family and other business interests of the previous. We confirm that all related party relationships and transactions have
been accounted for and disclosed in accordance with the applicable financial reporting framework.

We confirm that the charity has had, at no time during the year, any arrangement, transaction or agreement to provide credit facilities (including loans, quasi-loans or credit transactions) for trustees, nor to guarantee nor provide security for such matters.

We confirm that the charity has not contracted for any capital expenditure other than as disclosed in the financial statements.

We confirm that we are not aware of any possible or actual instance of noncompliance with those laws and regulations which provide a legal framework within which the charity conducts its activities, and which are central to the charity’s ability to conduct its activities.

We acknowledge our responsibility for the design and implementation of internal controls to prevent and detect fraud. We confirm that we have disclosed to you the results of our own risk assessment that the financial statements may be misstated as a result of fraud.

We confirm that there have been no actual or suspected instances of fraud involving trustees, management or employees who have a significant role in internal control or that could have a material effect on the financial statements. We also confirm that we are not aware of any allegations of fraud by former trustees, employees, regulators or others.

We confirm that, having considered our expectations and intentions for the next 12 months and the availability of unrestricted reserves, the charity is a going concern.

We confirm that in our opinion the effects of unadjusted misstatements are immaterial, both individually and in aggregate, to the financial statements as a whole.

We confirm that all grants, donations and other income, including those subject to special terms or conditions or received for restricted purposes, have been notified to you. There have been no breaches of terms or conditions during the period regarding the application of such income.

We confirm that we are not aware of any matters of material significance that should be reported to the Charity Commission, that they are not already aware of.

We acknowledge our legal responsibilities regarding disclosure of information to you as auditors and confirm that:

so far as each trustee is aware, there is no relevant audit information of which you as auditors are unaware; and

each trustee has taken all the steps that they ought to have taken as a trustee to make themselves aware of any relevant audit information and to establish that you are aware of that information.
We confirm that the above representations are made on the basis of enquiries of management and staff with relevant knowledge and expertise (and, where appropriate of supporting documentation) sufficient to satisfy ourselves that we can properly make these
representations to you and that to the best of our knowledge and belief they accurately reflect the representations made to you by the trustees during the course of your audit.
