## **Trustees' Report for the Period 3 March 2021 to 30 June 2022** 

The Trustees (who are also the Directors) are pleased to present their annual Trustees Report together with the financial statements for the period ending 30 June 2022 which are also prepared to meet the requirements for a Directors report and accounts for Companies Act purposes. 

The financial statements comply with the Charities Act 2011, the Companies Act 2006, the Memorandum and Articles of Association and Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and the Republic of Ireland (FRS 102) effective 1st June 2015. 

## **Reference and Administrative Details** 

Reference and administrative details are shown in the schedule of members of the Board and professional advisors shown on page 1 of the financial statements. 

## **The Trustees** 

The Trustees who served the charity during the period to 30th June 2022 were as follow: -

## **Objectives and Activities** 

County Community Trust's principal object is to arrange, promote and deliver activities for the benefit of the public in particular in Stockport and its surrounding areas, including community participation in healthy recreation for children and other citizens who have needs due to their disablement, poverty or other social and economic circumstances - with the aim of improving their overall health, skills and conditions of life. 

## **Financial Review** 

In the period ended June 2022, the trust generated an income of £351,021 and incurred expenditure of £309,525. This resulted in an operating surplus of £41,496. 

The Balance Sheet for the Trust on 30 June 2022 showed a total of Trust funds of £41,496. 

The Board is pleased with the performance of County Community Trust in its first 15 months of operation and the commitment, professionalism and enthusiasm of the staff team who have all contributed to this performance. 

The Board is satisfied that the Trust is now well positioned to build upon its first full year of operation, and is confident that the Trust will continue to be self-financing. Notwithstanding this expectation, the Trust continues to receive the support of Stockport County Football Club. 

## **Public Benefit Statement** 

The Hatters Project Limited gives careful consideration to the Charity Commission's general guidance on public benefit in setting its own aims, objectives and planned activities for the coming year. This is detailed in the performance and achievements section set out below. 

## **Achievements and performance** 

In the period ending 30th June 2022, the Hatters Project Limited, under the working name of County Community Trust delivered a range of projects across Stockport and the surrounding area. This was the first full year of the charity's programme of delivery since becoming a registered charity in March 2021.

The main focus of the year was to develop a number of outreach and community activities as part of the charity, which  is the official charity of Stockport County Football Club. During this period, County Community Trust was able to offer a range of programmes and activities to encourage learning, and to promote healthy lifestyles to help make a real difference to the lives of people in the local community. 

The charity established three departments, (Health and Well-Being, Schools and Partnerships) to enable it to carry out its aims and objectives. Each department is led by a senior manager within the charity, who is managed by the overall General Manager. 

The charity also worked hard to create a strong relationship with the Stockport County's senior management team to ensure the charity was able to benefit from the use of the club brand and facilities to help benefit the local community. This has enabled joint programmes to be delivered such as the successful schools assembly programme and the  opening up of the club stadium, Edgeley Park to be more accessible to the community especially as part of the Health and Wellbeing programmes. 

This period also coincided with Stockport County Football Club winning promotion back into the Football League in May 2022 which enabled it to access core funding and support through the EFL Trust. 

## **Health and Wellbeing** 

During 2021-22 financial year, County Community Trust's Health and Wellbeing programmes have made a real impact in making a positive difference to people's lives in the local community. The projects delivered provide opportunities  to support people living in Stockport and the surrounding areas with physical and learning disabilities, mental illness, dementia and complex needs. The programmes are aimed at vulnerable groups of people who may be living in loneliness and social isolation to help improve lives of attendees, whether that be physically, socially or emotional improvements. 

The projects and activities delivered as part of the Health and Wellbeing Programmes include: 

-The weekly adult pan disability football sessions which started in September 2021 and continue to grow in numbers with 20 players registered (male and female). The project supports young people and adults with a range of needs to engage with football, sport and physical activity opportunities. There are now two Stockport County adult  pan-disability teams that play in the monthly East Cheshire Ability Counts league tournament. The Trust runs this league in partnership with the Cheshire FA which has grown to involve 15 teams across Cheshire with over 120 players. 

-Weekly sessions for people with complex mental health needs which are delivered at Heathfield House in Cale Green, Stockport. Up to 18 patients attend weekly alongside their support staff. The provision has helped to improve physical health and mental wellbeing by providing opportunities and support to people living with long-term health and serious mental illness. 

-The Trust's Walking Football Project was launched in July 2021. The sessions have proved to be extremely successful with over 65 different people registered. There is a range of ages taking part, with different levels of ability, agility with one player attending who is 86 years of age. The sessions also provide a strong social element with the aim of  reducing social isolation within the community.  The aim is to start a weekly Women's walking football group early in 2023. 

-County's Social Well-being Group began mid-November 2021 and is a weekly drop-in session at Edgeley Park, Stockport County's stadium. This project has grown with over 150 vulnerable local people (male and female) attending since it began alongside engagement from 45 local agencies. Attendees take part in therapeutic interventions by  enjoying stress-relieving activities such bingo and quizzes alongside gentle yoga and art therapy delivered by trained qualified professional therapists with the aim of positively improving health and mental wellbeing, confidence, and self-esteem. 

## **Schools** 

The Schools department works hard to make football and PE more accessible to schools to help increase physical activity in Stockport and the surrounding area. 

During the last financial year, the Trust worked with 16 partner schools delivering high quality National Curriculum based PE lessons.  This engaged with approximately 2500 children each week in the Stockport and Tameside area.

Schools were invited to take part in a number of tournaments which offered pupils the chance to play on the pitch at Edgeley Park, the home of Stockport County FC. 

Trust coaches also developed a Football Festival- for seven grass roots girls team which took place on the pitch at Edgeley Park to help celebrate International Women's Day. 

The Trust set up a number of Soccer Schools to run through the school holidays. This gave up to 40 children each day the chance to access low cost holiday provision based on the 3F's, fun, friends and football. 

In addition, the Trust was also able to add value to other areas of the curriculum including the establishment of a Black History and Healthy ME Project in partner schools. 

The Trust donated a number of sets of Stockport County kit to partner schools for those schools that did not have their own school kit. 

## **Partnerships** 

The Partnerships department delivered a range of projects, specifically aimed at improving social inclusion across deprived communities in Stockport and the surrounding area. During the last financial year, the partnership department ran some of the following activities, 

Delivery of the Holiday Activity Fund (HAF) programme in conjunction with Stockport Council at Dial Park Primary in Offerton, Stockport providing children with free holiday activities throughout the summer holiday whilst also providing food for the participants who would usually be in receipt of a free school lunch. During July and August, the Trust engaged with over 200 children, providing around 800 lunch packs. In addition, the Trust also delivered a Christmas HAF programme to 100 children distributing over 100 food hampers to families in need over the Christmas holidays. 

The launch of youth engagement football sessions at five local sites to engage with young people to reduce anti-social behaviour. This includes sites at Poynton (working in partnership with East Cheshire Council), Hattersley (in  partnership with Onward Housing Group) and Cheadle Heath. 

The "Return of the Supporters Fund', a project which engaged 10 primary schools in the local area through providing them with a chance to visit Edgeley Park to learn more about their local football club. 

Wellbeing Day at Edgeley Park which provided support and advice from 24 different organizations and services, to  help signpost the local community about where they can access help and support for any health concerns. 

Premier League Primary Stars Programme. This programme supports teachers in delivering PE to their students as well as the opportunity to enter an Under 11s girls football tournament. Around 24 primary schools from across Stockport took part in this competition with the winning school representing Stockport County in the Northwest regional competition which took place at Manchester United's training ground. 

County in the Park sessions delivered free football sessions during the school holidays at 15 local parks across Stockport. The project culminated with County on the Park which provided the young people with the opportunity to play football on the pitch at Edgeley Park. 

## **Plans for future periods** 

The plan for the future is that County Community Trust will remain financially self-sufficient and not rely on financial support from Stockport County FC. It is still important for the Trust and Stockport County FC to be closely aligned and to work closely together 

County Community Trust plans to increase the programmes it delivers over the next 12 months and to grow its delivery team to help increase the positive impact the work of the Trust within its local community. 

One of the key aims is to produce a new strategy for the organisation setting out its mission, purpose and values to help shape the projects it delivers ensuring it meets the needs of people within Stockport and the surrounding areas.

## **Small company provisions** 

This report has been produced in accordance with the small companies regime under the Companies Act 2006. 

The Trustees have pleasure in presenting their report and financial statement for the charity for the period ending 30 June 2022. 

## **INCORPORATION** 

The charitable company was incorporated on 3 March 2021. 

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

The Hatters Project Limited is a registered charity (No 1194114) and Limited Company (No 13241679) and is governed by its Articles of Association which were adopted on 3rd March 2021. The Hatters Project Limited also has a working name of County Community Trust. 

The Articles of Association include the selection and appointment of new Trustees. 

The day-to-day operations of the charity are managed by the general manager who report directly to the Board. The Board has instigated systems and controls in relations to such matters as finance, contracts and employment and considers these to be appropriate safeguards in relation to the day-to-day operations of the Trust. 

The Trustees continues to review the risks associated with running the Trust.

## **Independent examiner's report to the trustees of The Hatters Project Limited ('the Company')** 

I report to the charity trustees on my examination of the accounts of the Company for the period 3 March 2021 to 30 June 2022. 

## **Responsibilities and basis of report** 

As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible  for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). 

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act. 

## **Independent examiner's statement** 

Since your charity's gross income exceeded £250,000 your examiner must be a member of a listed body. I can confirm that I am qualified to undertake the examination because I am a registered member of ACCA which is one of the listed bodies. 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 

1. accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or 2. the accounts do not accord with those records; or 

3. the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an  independent examination; or 

4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their  accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)). 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the period ended 30 June 2022. 

The members have not required the company to obtain an audit of its financial statements for the period ended 30 June 2022 in accordance with Section 476 of the Companies Act 2006. 

The trustees acknowledge their responsibilities for 

- (a) ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006 and 

- (b) preparing financial statements which give a true and fair view of the state of affairs of the charitable company  as at the end of each financial year and of its surplus or deficit for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company.

## **1. ACCOUNTING POLICIES** 

## **Basis of preparing the financial statements** 

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. 

## **Income** 

All income is recognised on an accrual basis in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. 

## **Expenditure** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. 

## **Tangible fixed assets** 

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life. 

Fixtures and fittings - 25% on reducing balance Computer equipment - 33% on cost 

## **Taxation** 

The charity is exempt from corporation tax on its charitable activities. 

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes. 

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements. 

## **Pension costs and other post-retirement benefits** 

The charitable company operates a defined contribution pension scheme. Contributions payable to the charitable company's pension scheme are charged to the Statement of Financial Activities in the period to which they relate.

## **13. RELATED PARTY DISCLOSURES** 

The charity is a private company limited by guarantee. The charity is controlled by the trustees who are all directors of the company. 

A loan of £50,000 was provided to the charity by Select Group International Limited, of which trustee, G P Beswick, is also a director. This amount was outstanding as at 30 June 2022.
