All governance and strategic planning responsibilities are carried out directly by the Trustees. This past year has continued to be a period of strategic pause and internal consolidation for First Light CIO. Due to a combination of health considerations among the trustees and the lingering impacts of prior global disruptions, our public-facing operational activities have remained temporarily dormant. However, we remain fully committed to the long-term mission and preservation of First Light CIO. The Trustees have intentionally preserved the charity's structure rather than winding down, utilizing this quiet period to conduct a thorough review of our operational capacity and charitable purpose. Crucially, our internal review has highlighted the need to modernise and refine our registered Charitable Objects to ensure they accurately align with our current resources, trustee expertise, and community needs. We are actively laying the legal and structural groundwork to update these objects with the Charity Commission in the upcoming year. We extend our ongoing gratitude to our supporters for their patience as we complete this governance realignment to re-emerge in a strong, sustainable, and impactful manner. Sarfaraz Manji Founder & Chair ## **First Light CIO** First Light (FLCIO) Annual Report October 2024 - September 2025 ## **Organisational Background** First Light is a Charitable incorporated organisation (CIO) which looks to make awards to other charities and not-for-profits (NFPs) We are still defining and building our organisational capacity, which will be updated in future reports. ## **Objectives and Activities** ## Registered Charitable Objects The charity's objects, as set according to the law of England and Wales, are to advance such charitable purposes as the Trustees see fit from time to time, in particular but not limited to: ## 1. Relieving poverty 2. Relieving or preventing sickness and improving health anywhere in the world by: - a. Making grants to charities and non-governmental organisations; - b. Providing or assisting in the provision of free medical treatment; and - c. Providing or assisting in the provision of items, facilities, and services that will relieve poverty, relieve or prevent sickness, and improve health. ## **Summary of Activities & Public Benefit Statement** During the reporting period, the charity undertook no direct public projects, events, or grant-making activities. The Trustees confirm that they have given careful consideration to the Charity Commission’s general guidance on Public Benefit in exercising their duties and planning the future strategic direction of the charity. The objective of this amendment is to narrow and refine our core scope to areas where the CIO can deliver the greatest measurable impact upon reactivation. Formal applications for object modifications will be prepared for Charity Commission submission during the 2025–2026 financial year. First Light (FLCIO) Annual Report October 2024 - September 2025 ## **Financial Review & Reserves Policy** - **Income and Expenditure:** For the period 1st October 2024 to 30th September 2025, First Light CIO recorded £0 Income and £0 Expenditure. - **Banking & Financial Accounts:** The charity did not operate an active bank account, incur liabilities, or hold financial holdings/debts during this reporting period. - **Reserves Policy:** Because the charity experienced zero financial transactions during the year, a formal reserves policy has not yet been put into operational practice. A comprehensive reserves policy will be formally established and adopted prior to the commencement of fundraising and financial operations. - **Custodian Risk / Assets:** The charity holds no assets as a custodian trustee on behalf of others.
