Report of the Trustees for the Period 13th April 2021 to 31st July 2022 

The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the period 13th April 2021 to 31st July 2022. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts  in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). 

This CIO was established in April 2021 to take over the running of the Wray Village Institute from the Charitable Trust of the same name (registered Charity number 1088712). 

The objects of the charity were broadened to allow the support of local charitable purpose. 

The Village Institute and all of its contents and reserves were transferred from this charity in  May 2021 and it was subsequently closed in March 2023. 

## **INCORPORATION** 

The charitable company was incorporated on 13th April 2021 and commenced trading on the same date. 

## **OBJECTIVES AND ACTIVITIES Objectives and aims** 

The objects of the charity are 

(1) The provision and maintenance of a village hall for the use of inhabitants of the parish of Wray-with-Botton without distinction of political, religious or other opinions. Includes use for meetings, lectures, classes and other forms of recreation and leisure time, occupation in the interests of social welfare and with the object of improving the conditions of life for the said inhabitants and 

(2) The promotion of any other charitable purpose for the benefit of the inhabitants of the  parish or Wray-with-Botton which the Charity Trustees in their absolute discretion think fit. 

The Trustees have had regard to the guidance issued by the Charity Commission on public benefit.

## **OBJECTIVES AND ACTIVITIES** 

## **Significant activities** 

Wray Village Institute is the home of numerous clubs, charities and societies. 

If the Charity makes an operating surplus in the year it was agreed that these not for profit organisations can use the property without charge. These organisations include 

Wray School Preschool (registered charity number 1142503) Wray and Hornby Beavers, Cubs and Scouts. Wennington & District WI Wray Over 60s Wray Sports Committee 

There are also classes and activates provided by local businesses and the Institute can be used  as a venue for birthday parties and other events. 

## **ACHIEVEMENT AND PERFORMANCE** 

## **Charitable activities** 

In addition to hosting the aforementioned charitable organisations the Institute was host to  eight birthday parties and two elections in the year 

There was also some filming and a weekly pilates class 

Wray Flix began showing films in the institute again in April 2022. A program of films continues. 

## **Fundraising activities** 

The annual Wray Scarecrow Festival is created by a sub committee of the Charity. This runs in  the 10 days ending on the May Day bank holiday every year and involves scores of volunteers. 

2022 saw the first Scarecrow Festival after the COVID-19 pandemic forced the cancellation of the events in 2020 and 2021 

The event was a great success and raised £ 12,115. Our thanks go to the sub committee and all of the volunteers for all their hard work.

## **FINANCIAL REVIEW** 

## **Financial position** 

The Charitable Trust, Wray Village Hall, transferred in reserves of £59,323 at the start of the period. 

In 2021 the Charity applied for, and received, £13,936 of COVID-19 grants to cover the closure  and restarting of activities. There were significant running nad set up costs incurred in the old charity in addition to the lack of a scarecrow festival. These grants helped restore the reserves of the Charity nearly to pre-pandemic levels. 

The Fundraising income of £12,115 and Room Hire income of £800 were sufficient to cover the running costs of the Institute which this year added up to  £11,270. 

The Charity - through the same events sub committee - also put on the Wrayndeer event at Christmas which cost £587. Wray Flix began a program of films at the institute at a cost of £110  in the year. 

There were legal fees of £2,129 incurred in the incorporation of the charity. 

A marquee was purchased at a cost of £1,854 due to damage of another while being used during the pandemic. The cost of this is being spread over the next 7 years as depreciation of £371 in  the accounts. 

Overall the Reserves of the Charity ended the year at £71,707. 

This made up of the aforementioned marquee held at £1,483, amounts due from users of £285 and cash and bank reserves of £69,939. These funds are currently held in the current account until required. 

## **Reserves policy** 

The Charity's reserve policy is to ensure there are sufficient unrestricted free reserves to meet its financial obligations. 

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **Governing document** 

The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006.

## **Independent examiner's report to the trustees of Wray Village Hall ('the Company')** 

I report to the charity trustees on my examination of the accounts of the Company for the period 13th April 2021 to 31st July 2022. 

## **Responsibilities and basis of report** 

As the charity's trustees of the Company (and also its directors for the purposes of company  law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). 

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act.

## **Independent examiner's statement** 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 

1. accounting records were not kept in respect of the Company as required by Section 386  of the 2006 Act; or 

2. the accounts do not accord with those records; or 

3. the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or 

4. the accounts have not been prepared in accordance with the methods and principles of  the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)). 

I have no concerns and have come across no other matters in connection with the examination  to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the period ended 31st July 2022. 

The members have not required the company to obtain an audit of its financial statements for  the period ended 31st July 2022 in accordance with Section 476 of the Companies Act 2006. 

The trustees acknowledge their responsibilities for 

- (a) ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006 and 

- (b) preparing financial statements which give a true and fair view of the state of affairs of  the charitable company as at the end of each financial year and of its surplus or deficit for  each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company.

## **1. ACCOUNTING POLICIES** 

## **Basis of preparing the financial statements** 

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of  Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. 

## **Income** 

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. 

## **Expenditure** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive  obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis  consistent with the use of resources. 

## **Tangible fixed assets** 

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life. 

## **Taxation** 

The charity is exempt from corporation tax on its charitable activities. 

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.
