Structure, governance and management

The Charity is a company limited by guarantee, incorporated on 4th February 2021 and registered as a Charity on 12th April 2021. The company was established under a Memorandum of Association which established the objects and powers of the charitable company and is governed under its articles of association. The Trustees/Directors of the Charitable Company who served during the period and up to the date of signature of the financial statements were:

Objectives and activities

The Company's main objective is the promotion of community participation in sporting and non-sporting activities, which contribute to the physical and mental wellbeing of beneficiaries. In particular, this will be achieved by the provision of a range of opportunities and programmes delivered by qualified, enhanced DBS checked coaching staff in a range of areas across the Bromley Borough.

Through doing this, the Company will provide access to such activities in a safe, accessible and suitable facility, in the interests of such beneficiaries who are in need of such a provision, which may be by reason of their age, disability, medical condition, level of health and fitness, financial hardship, socio-economic background, race or gender.

In the delivery of all of the Company's activities, the deliverer has ensured and will continue to ensure that activities are promoted and conducted in a way which does not reflect detrimentally to Bromley Football Club.

The Trustees have paid due regard to the guidance issued by the Charity Commission in deciding what activities should be undertaken.

Achievements and performance

The Company commenced its activities at a time where COVID-19 was still very much prevalent, and where the impact on the sport and leisure world was still significant. Despite this, the Bromley FC Community Sports Trust started its provisions in accordance with Government COVID-19 Advice, adhering to the FA's COVID-19 Rules and Regulations at all times, and at a high-quality standard. Initially, particular focus was given to those who may have faced increased difficulties as a result of the pandemic, such as disabled individuals and as time went on, further initiatives were introduced, making opportunities available to beneficiaries regardless of their background and level of physical ability.

Projects were also carried out in partnership with The National League Trust and The Bromley Children and Families Forum during this period. All activities have been chosen by Trustees as means to address local need, and ensure the Trust is improving the physical and mental wellbeing of people of a range of backgrounds within the Borough of Bromley.

Overview of activities

During the period, the Trust undertook a range of activities, both to combat the effects of the pandemic, and to fulfil its mission of providing opportunities through sport, improving the physical and mental wellbeing of its community.

Saturday Soccer Schools

The Trust successfully ran weekly Soccer Schools on a Saturday morning for children aged 4-15. These focussed on general fitness levels, co-ordination, and ball skills. This had been identified as an area of concern by local Primary School PE co-ordinators, so the Trust was quick to put the provision into place as soon as COVID restrictions allowed it to. Specialist Goalkeeping sessions were also put into place.

Girls' Wildcats Centre

Part of the Trust's vision was to increase the levels of activity and opportunities for girls, and this began with an FA Approved Wildcats Centre. Members of Coaching staff received specialist training from the FA to enable this project to start and run smoothly.

Holiday Soccer Camps

With a number of professions returning to the office, whilst continued to work remotely, children's levels of physical activity were set to continue to suffer. We offered Summer and October Soccer Camps to combat this, encouraging children to improve their physical, and in turn, mental wellbeing, as opposed to remaining inactive at home. The Trust put into place a number of COVID safety measures, which included a one-way system, staggered entry and exit points, and a requirement for hand sanitiser to be brought in by parents and carers.

PAN Disability Football

This was the first activity the Trust was able to introduce post-pandemic, given special allowances were made for disabled individuals in outdoor sporting activity by the Government and the FA. Sessions were run for people aged 12 and above who had a range of conditions and/or disabilities. The Trust was pleased to partner with fellow local charity CASPA to run these sessions.

Weekday Soccer Schools

As a result of support from Sport England and The National Lottery, the Trust was able to launch Midweek Soccer School sessions to support those from lower income families, who could not afford football training otherwise. These sessions targeted children from specific areas of deprivation in the Bromley Borough, with the strategy being to work alongside schools within these locations to identify children and families who were in need.

HaF Christmas Provision

The Trust was delighted to host its first ever HaF (Holiday, activities and Food) Camp in December 2021. This was funded by the Bromley Children & Families Forum, targeting children with disabilities and primarily those on Free School Meals (FSM). Each day included a football training session, visit from an inspirational or educational guest speaker, and a free hot meal for every child in attendance.

Man v Fat programme

With the obesity rate in Bromley being 57.2% at the time of the Trust's set-up, the decision was made that this was a key local need which it was felt the Trust could have a key part to play. Hence, a partnership was sought with Man v Fat, a National Organisation, to address this in the Borough of Bromley. In its initial period, the scheme has helped over 200 men lose a combined total of 571kg of weight.

Financial review

The Trust has had a satisfactory financial outcome for its first financial period, making a small profit. It was agreed as part of a risk audit, the need to grow Trust reserves, and that this should start within the next 12-18 months. Such reserves must be used for the organisation's purposes, and that should a significant drop in funding or participant income occur, or such an event as another pandemic, the Trust would be able to continue its charitable activities, whilst further ways to raise funds can be explored.

Appointment of Directors/Trustees

The Trustees have agreed that whenever a member of the board departs, a 'skills audit' of the remaining trustees will be carried out, in order to identify the required skillset of any newly appointed Trustee. Bromley Football Club (95) Ltd may appoint up to two trustees to the Charity, nominated by the board of the Football Club, in the interests of maintaining a positive and productive relationship with the primary partner of the Charity, supporting its growth and development.

Decision making

Within the charity, the day-to-day work is carried out by a small team of leadership staff, with Trustees also involved where needs be. Regular reports are provided to Trustees, who offer relevant advise and expertise.

Trustees' responsibilities statement

The trustees, who are also directors for the purposes of company law, are responsible for preparing the trustees' report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).

Company law requires the charity trustees to prepare financial statements for each year which give a true and fair view of the state of affairs of the charitable company and the incoming resources and application of resources, including the income and expenditure, for that period.

In preparing these financial statements, the trustees are required to:

In the following 12 months, the Trust is excited to work towards both continuing the above projects, as well as introducing a range of new initiatives to support beneficiaries in its community, in both mental and physical wellbeing. These include:

These activities have been discussed among Trustees, who believe they are key to meeting the developing needs arising in the Borough of Bromley, and the Trust is already putting plans into place for launching these.

I report to the trustees on my examination of the financial statements of Bromley FC Community Sports Trust ('the charity') for the period ended 31 December 2021.

Responsibilities and basis of report

As the trustees of the company (and also its directors for the purposes of company law) you are responsible for the preparation of the financial statements in accordance with the requirements of the Companies Act 2006 ('the 2006 Act’).

Having satisfied myself that the accounts of the company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of the charity’s accounts as carried out under section 145 of the Charities Act 2011 (‘the 2011 Act’). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act.

Independent examiner's statement

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:

  1. accounting records were not kept in respect of the charity as required by section 386 of the 2006 Act; or 2. the financial statements do not accord with those records; or

  2. the financial statements do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a ‘true and fair' view which is not a matter considered as part of an independent examination; or

  3. the financial statements have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102).

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

1. General information

The charity is a public benefit entity and a private company limited by guarantee, registered in England and Wales and a registered charity in England and Wales. The address of the registered office is The Stadium, Hayes Lane, Bromley, Kent, BR2 9EF.

2. Statement of compliance

These financial statements have been prepared in compliance with FRS 102, 'The Financial Reporting Standard applicable in the UK and the Republic of Ireland', the Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (Charities SORP (FRS 102)) and the Companies Act 2006.

3. Accounting policies

Basis of preparation

The financial statements have been prepared on the historical cost basis, as modified by the revaluation of certain financial assets and liabilities and investment properties measured at fair value through income or expenditure.

The financial statements are prepared in sterling, which is the functional currency of the entity.

Going concern

There are no material uncertainties about the charity's ability to continue.

Judgements and key sources of estimation uncertainty

The preparation of the financial statements requires management to make judgements, estimates and assumptions that affect the amounts reported. These estimates and judgements are continually reviewed and are based on experience and other factors, including expectations of future events that are believed to be reasonable under the circumstances.

Fund accounting

Unrestricted funds are available for use at the discretion of the trustees to further any of the charity's purposes.

Designated funds are unrestricted funds earmarked by the trustees for particular future project or commitment.

Restricted funds are subjected to restrictions on their expenditure declared by the donor or through the terms of an appeal, and fall into one of two sub-classes: restricted income funds or endowment funds.

Incoming resources

All incoming resources are included in the statement of financial activities when entitlement has passed to the charity; it is probable that the economic benefits associated with the transaction will flow to the charity and the amount can be reliably measured. The following specific policies are applied to particular categories of income:

Resources expended

Expenditure is recognised on an accruals basis as a liability is incurred. Expenditure includes any VAT which cannot be fully recovered, and is classified under headings of the statement of financial activities to which it relates:

All costs are allocated to expenditure categories reflecting the use of the resource. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs are apportioned between the activities they contribute to on a reasonable, justifiable and consistent basis.

Tangible assets

Tangible assets are initially recorded at cost, and subsequently stated at cost less any accumulated depreciation and impairment losses. Any tangible assets carried at revalued amounts are recorded at the fair value at the date of revaluation less any subsequent accumulated depreciation and subsequent accumulated impairment losses.

An increase in the carrying amount of an asset as a result of a revaluation, is recognised in other recognised gains and losses, unless it reverses a charge for impairment that has previously been recognised as expenditure within the statement of financial activities. A decrease in the carrying amount of an asset as a result of revaluation, is recognised in other recognised gains and losses, except to which it offsets any previous revaluation gain, in which case the loss is shown within other recognised gains and losses on the statement of financial activities.

Depreciation

Depreciation is calculated so as to write off the cost or valuation of an asset, less its residual value, over the useful economic life of that asset as follows:

Impairment of fixed assets

A review for indicators of impairment is carried out at each reporting date, with the recoverable amount being estimated where such indicators exist. Where the carrying value exceeds the recoverable amount, the asset is impaired accordingly. Prior impairments are also reviewed for possible reversal at each reporting date.

For the purposes of impairment testing, when it is not possible to estimate the recoverable amount of an individual asset, an estimate is made of the recoverable amount of the cash-generating unit to which the asset belongs. The cash-generating unit is the smallest identifiable group of assets that includes the asset and generates cash inflows that largely independent of the cash inflows from other assets or groups of assets.

For impairment testing of goodwill, the goodwill acquired in a business combination is, from the acquisition date, allocated to each of the cash-generating units that are expected to benefit from the synergies of the combination, irrespective of whether other assets or liabilities of the charity are assigned to those units.

Financial instruments

A financial asset or a financial liability is recognised only when the charity becomes a party to the contractual provisions of the instrument.

Basic financial instruments are initially recognised at the amount receivable or payable including any related transaction costs.

Defined contribution plans

Contributions to defined contribution plans are recognised as an expense in the period in which the related service is provided. Prepaid contributions are recognised as an asset to the extent that the prepayment will lead to a reduction in future payments or a cash refund.

When contributions are not expected to be settled wholly within 12 months of the end of the reporting date in which the employees render the related service, the liability is measured on a discounted present value basis. The unwinding of the discount is recognised as an expense in the period in which it arises.
