b) Structure, Governance & Management
Type of Governing Document
Constitution – based on the Charity Commission’s model governing document for Charitable Incorporated Organisations.
Objects
As defined in the Paisajes Piano Festival Sierra de Gata Constitution (Governing Document) our objects are:
- for the public benefit, to promote the art of piano music, in particular but not exclusively, classical piano music through the means of an annual music festival delivering professional music performances and associated educational workshops.
Trustee Selection Methods
Trustees are appointed or re-appointed by a resolution passed at a properly convened meeting of the charity trustees. There must be at least three trustees and no more than 12.
In appointing Trustees due consideration is given to ensuring that the Trustees have the personal qualities and, between them, the skillset necessary to manage the charity effectively and in accordance with charity law.
The process is - set out the criteria; - advertise internally (full membership) and
externally if appropriate; - shortlist/consideration by the full board of Trustees;
- nomination, induction, training.
c) Activities
Statutory Declaration
The Trustees confirm that they have paid due regard to the guidance issued by the Charity Commission on public benefit in deciding what activities the charity should undertake.

Outputs and Outcomes
Key Outputs
The first edition of the Paisajes Piano Festival Sierra de Gata took place from 12[th] to 15[th] of August 2021 and whilst the charity's initial objective was to hold a festival every year it became clear that it would not be possible to do so. Firstly, the festival relies wholly on the goodwill of the owners of the venue, on their support and the support of many of their family and friends. They provide free board and lodging for all of the musicians, build and erect the stage and lighting, and undertake all the management and hands-on tasks of running a festival over several days. By so doing they lose a significant part of their annual income as the premises are normally let commercially and so were only able to commit to a next festival in 2023. The Trustees considered alternative venues but concluded that none would be feasible for a festival in 2022. Second, the Trustees considered that an annual festival would place heavy demands on fund raising and would present too great a financial risk. At the time a decision had to be made, it was uncertain how Covid and its affects would play out, in particular how it would affect musicians and audiences' willingness, and indeed ability to travel, which presented additional financial risk and difficult management issues.
As a consequence activity was confined to fundraising for the 2023 festival. Grants from two organisations were promised and donations from private individuals were received during the year.
Two fundraising events – concerts to be performed by the Artistic Director and Trustee Simone Tavoni - were planned but cancelled at the last minute due to illhealth and the last minute cancellation by the venue because of the breakdown of the heating system on a very cold weekend.
How the Public Have Benefitted.
There were no events undertaken in 2022.
Trustee Development
The Trustees were encouraged to participate in development opportunities as and when appropriate.
e) Financial Review
Details of Any Funds Materially in Deficit
The Charity has no funds which are materially in deficit.
Policy on Reserves
Our policy on reserves is to generate and maintain a balance which is sufficient:
-
to preserve the financial viability of the Charity in the event that unforeseen and/or unavoidable circumstances precipitate a short-term fall in its income;
-
to enable the Charity to set up new projects on a pilot basis in order to demonstrate the viability and potential benefits of such activities before seeking the necessary funding to maintain them on an on-going basis.
For these purposes we will endeavour to generate and maintain reserves which are at least 10% of total annual income.
Principal Sources of Funding and Outgoings
£2,327 was raised by way of private donation from individuals.

Our balance of £3,472 provides pump-priming for the next edition of the Festival in 2023.
Statutory Statements on Liabilities
The Trustees declare that:
-
The charity has given no guarantees where potential liability under the guarantee is outstanding at the date of this statement;
-
The charity has no debt outstanding at the date of this statement which is owed by the CIO and which is secured by an express charge on any assets of the CIO.
